What to Do Before Selling Farm Property: A Tax and Financial Checklist

Before selling a farm, define the assets and parcels involved, reconstruct basis and depreciation, verify title and local assessment rules, and compare sale routes and payment terms.

Before you list, accept an offer, or sign a contract, identify exactly which assets and ownership interests are being sold, rebuild the tax basis and depreciation records for each asset, verify title and property restrictions, and compare the net proceeds and risks of different sale terms. A farm sale is usually a bundle of assets with different tax treatment—not one tax calculation. This U.S.-focused checklist helps you prepare, but it cannot estimate your tax bill or local charges without details about the property, ownership, records, and transaction.

1. Decide what the sale includes

Begin with the decision that shapes every later step: are you selling the whole operation, selected parcels, or the real estate while keeping some business assets? A partial sale can affect access, utilities, irrigation, and the viability of land that remains. Consider whether your goal is retirement income, liquidity, continued farming, a transition to heirs, or less responsibility for managing the property. Selling is not the only possible path; a lease or future transfer may better fit some owners’ plans.

Make an ownership and asset schedule

List each parcel and parcel identification number, acreage, and owner or entity interest. Separately identify land, farm buildings, the residence, equipment, livestock, inventory, and water rights or irrigation assets where relevant. Note which items are included, excluded, or still undecided. A single purchase price may cover several asset classes, but federal tax consequences are generally determined asset by asset.

Separate the home and personal-use components from the farm business assets for analysis. The IRS explains in Publication 225 (2025), Farmer’s Tax Guide that a qualifying home gain may be eligible for the home-sale exclusion, while business property follows business-property rules. Whether an exclusion applies depends on the facts; do not assume the residence is treated like the surrounding farmland.

Set the sale scope before marketing

For a whole-farm sale, make sure the proposed package matches the ownership records and the assets you intend to convey. For selected parcels, identify what remains and check whether the proposed boundaries leave usable access, roads, utilities, or water arrangements for either side. If there are several owners, entities, heirs, or co-owners, establish who must approve the sale and sign before the property is marketed or an offer is accepted.

2. Confirm title, boundaries, and property facts

Gather current deeds, legal descriptions, parcel maps, entity documents, mortgage balances, and lien information. Resolve questions about co-ownership, inheritance, or authority to sell early. NC FarmLink’s seller guidance specifically flags deed ownership and mortgage liens as preparation issues; the same checks are useful elsewhere, but its North Carolina-specific tax discussion does not establish rules for other states.

Check boundaries and rights that travel with the land

Find available surveys and verify access. Identify easements, rights of way, conservation restrictions, mineral rights, leases, and other deed restrictions. These can affect both marketability and how a buyer can use the property. Penn State Extension’s farmland assessment checklist emphasizes understanding boundaries and the effect of easements and rights of way on agricultural use.

Do not assume a right or restriction is obvious from the way the farm is currently used. Review recorded documents and, where needed, have a title professional or attorney explain what will remain in force after the transfer. Make a list of unresolved items rather than describing them to buyers as settled facts.

Assemble records a buyer may ask to see

  • Acreage by use, soil fertility information, and available yield history.
  • Irrigation or well capacity and records, drainage information, and details of improvements.
  • Permits, environmental matters, existing leases, allowable uses, and property-tax information.
  • Relevant maintenance or operating records that help substantiate what you say about the land and buildings.

Accurate records make it easier to describe the property and respond to due diligence. They also help you distinguish documented facts from estimates or conditions that still need verification.

Ask about preferential agricultural assessments

If the property receives a state or county preferential agricultural-use assessment, ask the assessor or county tax office whether a sale, change in use, or loss of eligibility could trigger a rollback or other charge. NC State’s present-use-value discussion addresses North Carolina’s program only; it should not be generalized to another state. The amount and trigger, if any, depend on the local program and property history.

3. Reconstruct basis and depreciation before agreeing on price

Taxable gain is not simply the difference between the contract price and what you paid for the farm. You need a defensible adjusted basis for the relevant assets and a proposed allocation of the sale price among them. The IRS defines basis this way: “Your basis is the amount of your investment in property for tax purposes.” — Internal Revenue Service, Publication 225 (2025), Farmer’s Tax Guide, Chapter 6.

Build the tax file by asset

  • Purchase, inheritance, gift, or exchange documents and the initial basis records.
  • Invoices and other records for improvements that may increase basis, plus records of other basis adjustments.
  • Depreciation schedules and prior returns showing depreciation claimed or allowable, Section 179 deductions, and business-use allocation.
  • Records of soil and water conservation deductions or cost-sharing benefits that may affect disposition treatment.
  • Closing costs and seller expenses, including broker commission, legal and title charges, appraisal fees, transfer taxes, recording fees, and other sale expenses.

Basis can differ by asset and can change over time. Improvements may increase it; depreciation and some other tax items reduce it. Missing purchase or improvement records, incomplete depreciation schedules, and old returns that do not match current asset records can make a proposed gain calculation unreliable. Give the full file to your tax preparer before you settle the contract allocation.

Allocate the price and identify likely tax treatment

Ask your tax preparer to review a proposed allocation among land, buildings, equipment, livestock, inventory, and the residence. The allocation matters because gain or loss is computed asset by asset, and the same sale can involve different rules for different components. Ask whether Form 8594 reporting is required for the transaction. Do not treat a buyer’s allocation or a single price for the entire farm as automatically controlling your tax result.

Depreciation recapture can cause part of the gain to be taxed as ordinary income rather than under the treatment that might otherwise apply to a gain on property. The IRS guide also discusses Section 1231 treatment, but the result depends on asset type and the seller’s circumstances. Have the preparer model the property and business assets separately rather than applying one assumed tax rate to the total price.

4. Compare sale routes and estimate net proceeds

Ask for a side-by-side estimate for realistic sale routes and payment structures before selecting one. Compare what you might receive after debt payoff, transaction costs, taxes to verify, and any buyer note or retained rights—not just the headline price. Iowa State University Extension’s Selling the Land discussion says the result of a sale route depends on the bidders and does not identify one method as universally highest-priced. A qualified local appraisal can help establish value, particularly for inherited land.

Decision What to compare Questions to resolve
Sale scope Whole farm versus selected parcels Will the remainder retain practical access, utilities, and agricultural viability?
Sale route Broker listing, auction, or direct sale Which local buyers might each route reach, what are the execution costs and timeline, and how uncertain is the price?
Payment terms Cash at closing versus seller financing What cash is available when needed, what tax is due when, and what credit and collateral risks does a note create?
Land-use terms Unrestricted use versus conservation or deed limits How do restrictions affect buyer interest, continued agricultural use, and family or preservation goals?
Tax and local charges Federal tax treatment plus location-specific costs How do basis, depreciation, asset allocation, residence treatment, installment eligibility, rollback taxes, transfer charges, and recording fees apply?

No sale method is established as the best choice for every farm. Local buyer access, likely competition, execution costs, timing, and the seller’s need for liquidity all affect the decision. Obtain professional valuation and transaction advice appropriate to the property and market rather than relying on a universal rule.

5. Understand deferred payments before offering seller financing

An installment sale generally has at least one payment due after the tax year in which the sale occurs. Eligible gain may be recognized as payments arrive, which can spread recognition over time. That does not mean every part of the transaction’s tax is deferred or that the seller has cash when tax is due.

Separate tax timing from payment risk

The IRS says Section 1245 or Section 1250 depreciation recapture is generally taxable in the year of sale even if the seller receives no payment that year. Inventory generally cannot use the installment method when the seller must maintain inventories, and related-party restrictions may also apply. Have a tax professional check eligibility for each asset and the proposed parties and terms before treating installments as a tax-planning result.

Seller financing also turns part of the sale proceeds into a credit exposure. Evaluate the buyer’s ability to pay, the interest rate, maturity, collateral, payment schedule, and the consequences of default against your cash needs and retirement plans. A buyer note can provide income over time, but it is not equivalent to cash at closing.

Have the documents reviewed before signing

Ask counsel to draft or review the note, mortgage or deed-of-trust security, default provisions, and any contract-for-deed arrangement. Confirm the rights the documents actually give you if a payment is missed. Do not assume that the tax treatment, collateral priority, or legal remedy follows from an informal understanding or from the label used for the transaction.

6. Check whether the Section 1062 election could apply

A federal election described in the IRS’s 2025 Farmer’s Tax Guide and the Instructions for Form 1062 may be relevant to some qualifying farmland sales. The materials describe an election to pay the qualifying net income tax liability on a sale or exchange to a qualified farmer in four equal annual installments. The guide says it may apply to farmland sold or exchanged to a qualified farmer after July 4, 2025; the form instructions describe the election for tax years beginning after July 4, 2025, with the first installment in the year of the qualified sale or exchange.

An IRS/Treasury announcement in October 2026 concerns proposed regulations and describes a general farming-use condition: qualifying farmland generally must be U.S. real property that the taxpayer used for farming or leased to a qualified farmer for farming during substantially all of the 10 years before the sale. This is a screening point, not a determination that a particular owner or transaction qualifies. The law and filing details are time-sensitive, so have a tax professional confirm the statutory requirements, qualified-farmer status, deadlines, forms, and current final or proposed authority before relying on the election.

7. Align the transaction with family and estate goals

Before choosing a buyer or structure, agree on what a successful outcome means for the owners and family. Priorities may include retirement income, immediate liquidity, keeping land in farming, fair treatment of farming and non-farming heirs, or reducing ongoing management responsibilities. These goals can point toward different choices about sale scope, payment timing, land-use restrictions, or whether to sell at all.

University of Maryland Extension’s estate-planning discussion identifies conservation easements as one possible farm transition or estate-planning tool and recommends setting goals and assessing net worth before choosing a strategy. That source’s tax discussion is specific to Maryland; it does not establish a nationwide tax outcome for an easement or farm transfer. If preserving agricultural use matters, review applicable land-use and conservation options with local legal, tax, and land professionals before promising restrictions to a buyer.

8. Use this pre-contract checklist

  1. Define the deal: Write down the parcels, assets, residence, rights, and ownership interests included or excluded.
  2. Resolve authority and title questions: Collect deeds and entity records, identify owners and required approvals, and check mortgages, liens, boundaries, access, easements, leases, and restrictions.
  3. Prepare property records: Organize acreage, land-use, soil, yield, water, drainage, improvement, permit, environmental, lease, and tax information that can substantiate the listing.
  4. Rebuild the tax file: Gather original acquisition records, basis adjustments, improvement costs, depreciation and Section 179 history, relevant conservation records, and expected selling expenses.
  5. Model the allocation: Ask a preparer to review price allocation and asset-level treatment, including depreciation recapture, residence treatment, installment eligibility, and any Form 8594 requirement.
  6. Compare net outcomes: Estimate cash at closing and later payments after debt payoff, fees, taxes to verify, and any retained rights for plausible routes and terms.
  7. Check local charges: Ask the relevant assessor or county tax office about agricultural assessment consequences and verify local transfer, recording, and closing costs.
  8. Review the documents: Before signing, have appropriate legal and tax professionals review the purchase agreement, allocation, financing documents, security, deadlines, and filing obligations.

The amount of tax, rollback charges, title status, asking price, and best sale route cannot be determined from a general checklist. They depend on the property’s location, ownership, asset mix, basis and depreciation records, debt, and final terms.
