What was included in the December 2006 deal?
Thomson announced on December 21, 2006, that it had reached a definitive agreement to sell its consumer-electronics accessories activities outside Europe to Audiovox. The transaction included rights to use the RCA name for accessories. Thomson described the announced price as about US$50 million, plus additional compensation over five years tied to sales of RCA-branded products. Audiovox expected the deal to close in early 2007, according to EE Times’ contemporaneous report.
The accessories were products designed to work with audio, video, or other consumer-electronics equipment. The announced business included roughly 115 employees in the United States, Canada, China—including Hong Kong—and Malaysia. Alongside RCA, the report named Jensen, Acoustic Research, Recoton, Spikemaster, and Ambico among the brands involved.
This was a sale of business activities and rights to the RCA name within a product field, not a transfer of every asset associated with RCA. The deal should also not be confused with a sale of the RCA music business.

Why does the completed accessories deal appear as approximately $59 million?
Audiovox announced that the Americas accessories acquisition closed on January 29, 2007, for approximately US$59 million, including a working-capital adjustment. Its closing release said Audiovox acquired RCA rights for consumer-electronics accessories and listed Recoton, Spikemaster, Ambico, and Discwasher among the included brands. Thomson’s 2007 Form 20-F likewise records US$59 million in cash proceeds for the North American accessories sale, completed on that date.
The two headline amounts describe the same initial accessories transaction at different stages and on different price terms: Thomson’s 2006 announcement gave an approximate US$50 million figure plus sales-linked compensation over five years, while Audiovox’s closing announcement reported approximately US$59 million including a working-capital adjustment. The closing figure is not the price of the later audio/video sale.

How was the later audio/video transaction different?
At the end of December 2007, Audiovox separately purchased Thomson’s non-European audio/video business. Thomson’s Form 20-F reports US$19 million in cash proceeds for that transaction and says Audiovox received worldwide RCA rights within the audio/video product field. These were distinct transactions, with different business scopes, dates, proceeds, and RCA rights.

Thomson’s filing does not establish a separate value for the RCA rights or permit a product-line valuation comparison. The proceeds figures should therefore be read as reported transaction amounts, not as a standalone valuation of the RCA name.

Why did Thomson sell, and what became of the RCA name?
The sale fit Thomson’s wider plan to dispose of its audio/video and accessories businesses worldwide. Its 2007 filing traces that plan to a December 2005 decision to seek partners for audio/video, accessories, and related after-sales activities. Audiovox CEO Patrick Lavelle said the RCA name strengthened the company’s consumer-electronics accessories portfolio and gave it greater distribution flexibility.
RCA’s name and marks have since been used through licensing. The official RCA licensing page identifies Talisman Brands, Inc. as the owner of the RCA marks and says RCA-branded products are used under license. That page alone does not establish all current regional licensees or the rights attached to each product category.
