For shoppers, the clearest change is who owns brands such as Pringles, Cheez-It and Pop-Tarts—not a documented change to their prices or products. The often-quoted $35.9 billion is the deal’s approximate enterprise value; it is not annual sales.
What does “$36 billion” refer to?
Kellanova’s August 2024 announcement said Mars would pay $83.50 in cash for each Kellanova share, for a transaction enterprise value of $35.9 billion. Enterprise value is a measure of a company’s overall transaction value; it is not the same as the per-share cash payment or annual revenue. The announcement said Mars intended to fund the purchase with cash on hand and new debt. Kellanova’s deal announcement provides the terms.
Separately, Mars projected before closing that its combined Snacking business would generate around $36 billion in annual revenue and include nine billion-dollar brands. That was a company projection, not the purchase price and not a verified post-close revenue result in the cited announcement. Mars’s December 8, 2025 announcement gives that projection.
Which brands are now under Mars?
The acquisition brought Kellanova’s portfolio into Mars. Mars named Pringles, Cheez-It, Pop-Tarts, Rice Krispies Treats, RXBAR and Kellogg’s international cereal brands among the brands in that portfolio. They join Mars brands including Snickers, M&M’s, Twix, Skittles, Extra and KIND. The change is corporate ownership; it does not mean these brands have become one product line or that every item is changing. Mars’s completion announcement lists the portfolios.

Did Mars buy Kellogg’s cereal?
Not all of it. In 2023, Kellanova spun off its North American cereal business as WK Kellogg Co. The FTC notes that Kellanova continued to sell breakfast cereal in other markets, including the European Union. Mars’s acquisition therefore does not mean it acquired the North American cereal business that became WK Kellogg Co. The FTC’s statement describes the distinction.
Will Pringles, Cheez-It or other snack prices change?
The ownership change is confirmed, but the reviewed official deal and regulatory announcements do not establish that the acquisition has caused a particular price increase or decrease. They do not quantify a deal-caused change in recipes, package sizes or product availability either. Prices and promotions can change for many reasons; the available materials do not isolate an effect from this merger.

Mars described the combination in terms of growth, complementary capabilities and consumer-focused innovation. Those are the company’s expectations, not evidence that shoppers have already seen a specific benefit or change.

United States
The Federal Trade Commission granted early termination of its review. It said staff examined specific product markets as well as possible portfolio effects, using interviews, data analysis, sworn testimony and document review. FTC Bureau of Competition Director Daniel Guarnera said the evidence did not meet the Clayton Act Section 7 standard for an anticompetitive merger. That is the agency’s conclusion about its review, not a guarantee about every future competitive outcome.

European Union
The European Commission initially opened an in-depth investigation after expressing serious doubts. Its hearing officer’s report said the market investigation did not confirm those doubts, and the Commission granted unconditional approval. Mars announced that approval on December 8, 2025; the deal closed three days later.
Regulatory approval explains why the transaction could proceed. It does not, by itself, establish what will happen to a shopper’s grocery bill or to an individual product.
