The deal included Intel’s NAND SSD business, NAND component and wafer business, and Dalian NAND manufacturing facility; Intel retained its separate Optane business. The sale closed in two phases, with the final transfer completed on March 27, 2025.
What was included in the $9 billion deal?
The transaction covered Intel’s NAND memory and storage business. That meant both products and the assets used to make them:
- Intel’s NAND solid-state drive (SSD) business
- NAND components and wafers
- The Dalian NAND memory manufacturing facility in China
Intel kept its distinct Optane business. Its October 2020 announcement also said it intended to invest the transaction proceeds in long-term growth priorities. Intel’s announcement of the sale
This was a business and manufacturing-asset transaction, not a consumer SSD recommendation. SK hynix reported that Intel’s NAND businesses within its Non-Volatile Memory Solutions Group generated about $2.8 billion in revenue and $600 million in operating income for the six months ended June 27, 2020. Those are historical half-year figures, not annual results or a measure of the business today. SK hynix’s October 2020 announcement

How did the two closing phases work?
The parties announced the agreement on October 20, 2020, but the assets and payments changed hands in stages. Intel’s SEC filings document completion of the second phase on March 27, 2025.
| Phase | Assets and operating control | Payment | Timing |
|---|---|---|---|
| First closing | SK hynix acquired the SSD business and Dalian facility. Intel continued manufacturing and selling NAND wafers from Dalian under an interim agreement. | SK hynix announced a $7 billion payment at the first closing. | Completed in December 2021. |
| Second closing | The remaining NAND technology and related assets transferred to SK hynix. The interim manufacturing and sales agreement for Dalian ended. | The original deal described about $2 billion remaining. Intel later reported receiving approximately $1.9 billion net of certain adjustments. | Completed March 27, 2025. |
The $2 billion and $1.9 billion figures describe different things: the former was the announced remaining payment, while the latter is Intel’s reported net proceeds after certain adjustments. Intel’s 2021 SEC-filed release Intel’s March 2025 SEC filing

What became of Intel’s SSD business?
The SSD business acquired in the first phase became Solidigm, a standalone U.S. subsidiary under SK hynix. Solidigm’s documented focus includes enterprise SSDs. The business should be understood as the successor to the acquired Intel SSD operation, rather than as a statement that every Intel memory product or business moved to SK hynix. SK hynix’s 2025 offering circular says Chinese approval for the first phase included conditions concerning reasonable pricing and support for third-party entry in China’s SSD market for five years. That description establishes the terms reported in the circular; it does not establish whether the conditions remain in force today. SK hynix investor-relations materials
