What Sam Altman’s Exit From OpenAI’s Safety Committee Actually Changed

Altman left OpenAI’s internal safety committee—not OpenAI. The group became a board oversight body with authority to delay model launches, but it remains inside OpenAI’s governance structure.

Sam Altman did not leave OpenAI when he left its safety committee. On September 16, 2024, OpenAI announced that its CEO was stepping down from the Safety and Security Committee as the group became an independent board oversight committee. The change was meant to separate management from board-level safety oversight, but it did not create an outside regulator or watchdog.

What happened on September 16, 2024?

OpenAI said Altman was leaving the company’s Safety and Security Committee after the committee completed a 90-day review of its safety and security processes. The company said the committee had reviewed the safety criteria and evaluation results for the o1 model.

OpenAI simultaneously repositioned the group as an independent Board oversight committee. Zico Kolter, a Carnegie Mellon professor and OpenAI director, became chair. The announced members were Kolter, Adam D’Angelo, retired U.S. Army General Paul Nakasone and Nicole Seligman. The announcement is documented in OpenAI’s September 16, 2024 update.

Altman remained OpenAI’s CEO. His departure was from the committee, not from the company or its governing structure.

What the committee was before the change

OpenAI formed the Safety and Security Committee on May 28, 2024. Its initial leadership comprised board members Bret Taylor, Adam D’Angelo and Nicole Seligman, together with Altman. Its mandate was to make recommendations to the full board on critical safety and security decisions across OpenAI’s projects and operations.

Paul Nakasone joined the board and committee in June 2024, according to OpenAI’s announcement of his appointment. Kolter joined the board on August 8, 2024, as described in OpenAI’s board announcement.

What authority did the restructured committee receive?

OpenAI described the committee as a governance body overseeing safety and security processes for model development and deployment. Its stated responsibilities included:

  • Receiving safety evaluations for major model releases.
  • Receiving regular reports on technical assessments and post-release monitoring.
  • Working with the full board on launch oversight.
  • Delaying a release until identified safety concerns were addressed.

That last power is narrower than an unlimited veto. OpenAI’s announcement establishes authority to delay a launch while concerns remain unresolved; it does not say the committee can permanently cancel a product, regulate other companies or overrule the board on every issue.

What “independent” means here—and what it does not

In OpenAI’s wording, independence means separation from company management within OpenAI’s board governance. It does not mean the committee sits outside OpenAI, reports to a government or has statutory enforcement powers.

The committee was not described as an independent nonprofit, public-interest commission or body with unrestricted access to every company record. OpenAI said it would be briefed by company leadership and work with internal safety and security teams, which makes it an internal oversight mechanism even if its members are independent directors or outside experts.

Why Altman’s departure mattered

A CEO leaving a committee that oversees management’s safety decisions can reduce an obvious self-review problem: the executive responsible for business execution is no longer one of the committee’s members. That is a governance rationale, not a stated explanation for Altman’s departure.

OpenAI did not publicly attribute the change to misconduct, a particular safety incident or a conflict-of-interest finding. The company presented it as part of the committee’s restructuring. Any claim that Altman was removed specifically because of a conflict would go beyond the cited announcement.

The committee also was not described as performing every technical evaluation itself. OpenAI said company teams and external organizations would conduct evaluations, while the committee would receive results and exercise oversight.

The governance context from 2023 and 2024

In November 2023, OpenAI’s board removed Altman as CEO and from the board, saying he had not been consistently candid in communications with the board. The announcement is preserved in OpenAI’s leadership-transition statement.

Altman later returned as CEO and rejoined the board. In March 2024, OpenAI said an independent WilmerHale review had concluded and that the board retained full confidence in Altman and Greg Brockman. OpenAI said the prior board’s decision was not based on concerns about product safety or security, development pace, finances or statements to stakeholders; its summary appears in the review announcement.

That history makes the 2024 committee design important to governance observers, but OpenAI did not say the restructuring was a formal response to the 2023 dispute.

What the 90-day review produced

OpenAI said the review led to recommendations in five broad areas:

  1. Independent governance for safety and security.
  2. Stronger security measures.
  3. Greater transparency.
  4. Collaboration with external organizations.
  5. A unified framework for safety during model development and monitoring.

The review covered both safety and security. Safety can involve harmful capabilities, misuse, alignment and reliability; security can involve protecting model weights, infrastructure, data and research from attacks or unauthorized access.

What changed in OpenAI’s later structure?

OpenAI’s current structure description says the Safety and Security Committee remains a committee of the OpenAI Foundation. The Foundation controls OpenAI Group through special voting and governance rights, and the committee oversees safety and security practices across OpenAI, including OpenAI Group.

This later arrangement confirms that “independent” did not mean permanently separate from OpenAI. The 2024 announcement gave a specific membership list, but the current structure page confirms the committee’s continued existence without establishing that the 2024 roster is unchanged.

What remains unproven about the oversight

OpenAI’s announcement establishes a board-level role and launch-delay authority, but it does not by itself answer several questions that determine how strong the oversight is in practice:

  • Whether the committee has independent staff, budget and technical advisers.
  • How completely it can access evaluations, incident reports and deployment data.
  • Whether management must disclose or explain a delayed launch.
  • How disagreements between the committee and executives are resolved.
  • Whether committee decisions and recommendations are published.
  • Whether its authority covers research, products, partnerships and post-release monitoring equally.
  • Whether it can challenge decisions by the full board itself.

Those are tests of effectiveness, not facts established by the September 2024 announcement.

Bottom line

Altman’s exit was a meaningful internal governance adjustment: OpenAI moved safety oversight away from direct management participation and gave a board committee authority to delay releases until safety concerns were addressed. It was not the creation of an external AI-safety commission, and it did not prove that OpenAI’s safety governance had become fully independent or effective.
