What happened to Software AG’s businesses?
The changes came in stages rather than as one sale. In July 2024, IBM completed its acquisition of webMethods and StreamSets. By January 7, 2025, Software GmbH said it had also closed sales of Alfabet and Cumulocity, following earlier divestments of TrendMiner, webMethods, and StreamSets. The announcement identified ARIS and Adabas & Natural as the businesses that would continue under Software GmbH.
In the IBM filing for the quarter ended June 30, 2024, IBM reported consideration of approximately $2.3 billion (€2.13 billion) for webMethods and StreamSets. IBM said the acquisition closed on July 1, 2024, after regulatory approvals. IBM’s completion announcement confirms the date; the amount is stated in its quarterly SEC filing.

The dates and continuing-business description come from Software GmbH’s January 7, 2025 announcement. Cumulocity’s later announcement provides the management-buyout detail and says Software AG is now a trademark of Software GmbH: Cumulocity’s January 20, 2025 announcement.

What remained under Software GmbH?
Software GmbH named two businesses for its standalone strategy: ARIS and Adabas & Natural (A&N), each to have its own management team. The company’s statement was: “This change is part of the group’s strategy to operate Adabas & Natural (A&N) and ARIS as standalone businesses, each led by its own management team.” That describes the named continuing portfolio, but does not establish that no other assets or central functions remained.

A change in ownership does not, by itself, answer whether a customer’s contract, support arrangement, product roadmap, or migration options changed. The transaction announcements establish portfolio ownership moves, not current customer terms. Customers should check the relevant business’s current official documentation and contact their account representative about contract continuity, support responsibilities, roadmap commitments, and any integration or migration choices.
