Keep the ordinary evidence for the transaction—such as the order, invoice, delivery or service proof, payment and accounting records—plus enough information to show who authorized the AI agent and reconstruct what it did. Indian law does not establish a separate, universal AI-agent recordkeeping category. Existing electronic-record rules address automated systems, while the requirements that apply to a business still depend on its legal form, tax status, sector and transaction.
This is India-wide general information current to 7 October 2026, not a determination of the rules for a particular business. Ask an Indian chartered accountant or lawyer to confirm applicable duties and retention periods.
What to keep for each AI-agent transaction
Build a transaction file that connects the agent’s authority and activity to the commercial outcome and the business’s accounts. The following is a prudent auditability checklist, not a statutory AI-log schema: the cited laws do not prescribe every field below for every business.
- Authority and scope: Retain the instruction, approval, delegation or policy permitting the agent to act. Identify the business and the person or role that approved the relevant action, along with applicable limits, spending thresholds, human-approval requirements and overrides.
- Instruction and operating context: Preserve the transaction-relevant request or trigger, material data provided to the agent, and relevant system or workflow version, policy or configuration. Keep enough context to explain what the agent was allowed to do; avoid retaining unrelated material without a business or legal need.
- Agent activity and communications: Keep the transaction-relevant action or message and, where available, the exact electronic record sent or received. Record timestamps, recipient or counterparty, destination, and necessary tool or system interactions so the resulting action can be reconstructed.
- Commercial evidence: Link the contract or purchase order, invoice, receipt, delivery or service evidence, payment and settlement records, tax records, and any transaction-related correspondence or acceptance.
- Accounting and corrections: Retain the accounting entry and its supporting documents, reconciliations and corrections. Where the applicable recordkeeping regime requires or supports it, preserve an edit history showing what changed, when, and by whom or which process.
- Integrity and retrieval: Keep records complete, legible and retrievable for the applicable period, in their original form or an accurate representation. Use suitable backups and access controls, and ensure required origin, destination and dispatch/receipt details remain available.
- Personal data: Identify whether inputs or outputs include personal data and apply the privacy duties in force for the relevant processing date. The DPDP Rules’ commencement is staged; do not assume every provision was in force on 7 October 2026.
Example: an agent places a purchase
For a purchase, link the approval and spending limit to the agent’s instruction and outgoing order, then retain the counterparty response, contract or purchase order, invoice, delivery or service confirmation, payment evidence and accounting/tax entry. Preserve timestamps and origin/destination details with the electronic records so the business can connect the authorization, order, response and outcome.

What Indian electronic-record law says about automated agents
The Information Technology Act, 2000 recognizes electronic records where a law requires information in writing, provided the information is available electronically and remains usable for later reference. Section 7 sets out retention conditions: accessibility for subsequent use; retention in the original format or a format demonstrably representing the original accurately; and details identifying origin, destination, and dispatch and receipt date and time. See the Information Technology Act, 2000.
Section 11 addresses attribution: an electronic record may be attributed to its originator when sent by that originator, by someone authorized to act for it, or by an information system programmed by or on the originator’s behalf to operate automatically. That makes the authority trail and traceable electronic record especially relevant to an agent workflow. Attribution under this provision does not, by itself, resolve every question about contract formation, sector rules, tax, payments or consumer obligations.

“An electronic record shall be attributed to the originator— … by an information system programmed by or on behalf of the originator to operate automatically.”
Electronic retention can therefore be appropriate when the statutory conditions are met, but another applicable law may impose additional format or recordkeeping requirements.

Which retention and accounting rules may apply?
GST-registered businesses
GST-registered persons must maintain the accounts and records required by the GST framework. CBIC’s section 36 material states a baseline retention period of 72 months from the due date for furnishing the annual return for the year to which the covered accounts and records relate. This is a GST period for covered records, not a universal deadline for every business document. Check the CBIC GST Act section 36 material.
GST materials also contemplate electronic recordkeeping and production, backups, and audit-trail or interlinkage information when demanded; see the GST Council’s detailed agenda notes on electronic records. For retention control, calculate and record the applicable annual-return due date, then check for an audit, notice, dispute or other preservation duty before deleting records.

Companies using accounting software
For companies using accounting software to maintain books for a financial year commencing on or after 1 April 2023, Rule 3 of the Companies (Accounts) Rules requires software with an audit trail for each transaction, a dated edit log for each change to the books, and an audit trail that cannot be disabled. The rules also address accessibility in India, completeness and unaltered or accurately represented records, legible display and retrieval, and daily backups of electronic books and papers on servers physically located in India. These requirements concern companies and the records within the rule’s scope; do not automatically apply them to every business form. See the Companies (Accounts) Rules, Rule 3.
Personal data and staged DPDP Rules commencement
The Digital Personal Data Protection Rules, 2025 were published on 13 November 2025. Under their staged commencement schedule, rules 1, 2 and 17–21 commenced on publication; rule 4 is scheduled to commence one year later, and rules 3, 5–16, 22 and 23 eighteen months later. As of 7 October 2026, the provisions scheduled for the one-year and eighteen-month dates had not yet commenced under that schedule. If agent records contain personal data, determine which duties applied on the relevant date and facts, and retain consent, notice, sharing or processing evidence where applicable. Income-tax records across the statutory transition
The Income Tax Department says the Income-tax Act, 2025 applies to tax years beginning from 1 April 2026, while assessment year 2026–27 and earlier-year proceedings continue under the 1961 Act framework. Label tax records by tax year and retain material needed under the law governing the relevant return, assessment or proceeding. See the department’s transition guidance.

Do businesses need to keep every prompt forever?
No universal requirement to retain every prompt forever is established by the official materials cited here. Keep transaction-relevant evidence for the applicable statutory period and any longer audit, dispute or legal hold. Minimize unrelated personal or confidential material consistently with applicable law and business needs.
