Nvidia’s market capitalization is its share price multiplied by its total outstanding common shares. It is a snapshot of the market value of Nvidia’s publicly traded equity at a particular time—not the company’s cash balance, revenue, assets, debt-inclusive value, or a verdict that the stock is cheap or expensive.
The market-cap formula
The calculation is:
Market capitalization = current public share price × total outstanding shares

The SEC’s Investor.gov glossary defines it as “the value of a corporation determined by multiplying the current public market price of one share of the corporation by the number of total outstanding shares.” “Outstanding” shares are shares issued by the company and currently held by investors and other holders, rather than shares the company has repurchased and holds as treasury stock.

#1 Best Overall
Because the share price moves throughout every trading session, market capitalization is time-sensitive. The share count can also change when a company issues shares, withholds shares for employee-tax obligations, repurchases stock, or otherwise changes its equity structure. A market-cap number without a price timestamp and a share-count date is incomplete.
What Nvidia’s published numbers actually show
Nvidia’s filings contain several figures that are easy to mistake for one live, current market-cap number. They are not synchronized and do not all measure the same thing.
| Figure | Date and scope | What it means |
|---|---|---|
| 24.1 billion shares | Common shares outstanding on August 21, 2026, reported in Nvidia’s FY2027 second-quarter Form 10-Q | A dated share-count snapshot, not a share count synchronized to a particular quoted share price |
| 24,147 million shares | Shares at July 26, 2026, in the FY2027 second-quarter equity roll-forward | Period-end equity data; the same roll-forward records changes during the quarter |
| Approximately $4.0 trillion | Aggregate market value of voting stock held by non-affiliates on July 25, 2025, in Nvidia’s FY2026 Form 10-K | A historical regulatory disclosure based on that day’s Nasdaq closing price and excluding shares held by directors and executive officers |
| 24.3 billion shares | Shares outstanding on February 20, 2026, in the FY2026 Form 10-K | Another dated share count, not a replacement for the later August 2026 snapshot |
The approximately $4.0 trillion figure is therefore not Nvidia’s current total market capitalization. It is historical, tied to July 25, 2025, and limited to voting stock held by non-affiliates. It should not be combined with a share count from a different date as though the result were a live market value.

No synchronized current market-cap amount was established for October 13, 2026. Publishing a “current” figure would require a contemporaneous NVDA market price and a share count with a clearly stated date and scope.
Why dates and share counts matter
Suppose you multiply a price observed today by Nvidia’s 24.1 billion shares reported as of August 21, 2026. That can be a useful approximation if you label it correctly, but it is not necessarily the exact capitalization at the price timestamp. Shares may have been issued or repurchased after August 21, and the filing itself is not a real-time share register.

Nvidia’s FY2027 second-quarter equity roll-forward illustrates the changes that make share counts date-specific. For the quarter ended July 26, 2026, it reports 32 million shares issued, 12 million withheld for taxes, and 94 million repurchased, with amounts presented in millions. Those movements help explain why two filings can show different outstanding-share totals even when both are accurate.
When comparing Nvidia with another company, use a share price and share count from the same date whenever possible. If dates differ, disclose the difference rather than presenting the figures as a precise ranking. Also verify whether a source uses basic shares outstanding, a diluted share count, or a special regulatory definition such as non-affiliate voting stock.
What market capitalization measures
Market value of equity
Market cap expresses what the public market, in aggregate, is valuing the company’s common equity at the stated time. It incorporates investors’ changing expectations about future growth, profitability, competition, capital needs, and risk through the share price.
A snapshot, not a permanent property
It is a quoted market value at a point in time. Nvidia’s capitalization can rise or fall even when the number of shares barely changes because the share price changes. It can also change because the company issues or repurchases shares.
A size measure for equity markets
Market capitalization is useful for describing the relative size of publicly traded companies and for constructing equity indexes. It does not, by itself, describe operating performance or tell you how much money Nvidia has available to spend.

What market capitalization does not measure
It is not Nvidia’s cash
Market cap is not money on Nvidia’s balance sheet. Cash, cash equivalents, and investments are accounting figures reported in financial statements. A company can have a large market cap and relatively little cash, or a smaller market cap and substantial cash.
It is not revenue or profit
Revenue records sales over an accounting period. Net income records accounting profit after expenses and other items. Market cap is the market value of equity and may reflect expectations about future results rather than the latest reported quarter.
It is not the value of all assets
Property, equipment, inventory, receivables, goodwill, and other assets appear on the balance sheet under accounting rules. Their reported amounts are not interchangeable with the stock market’s equity value.
It is not enterprise value
Enterprise value is a separate comparison measure that starts with equity value and adjusts for financing and cash, commonly expressed as market cap plus debt and other debt-like claims, minus cash and cash equivalents. The exact treatment can vary by analyst. Market cap alone does not include those adjustments, so it should not be used as a substitute for enterprise value when comparing businesses with different debt or cash positions.
It is not the cost of buying Nvidia outright
Multiplying the quoted price by outstanding shares does not produce a guaranteed acquisition price. A buyer would need to consider a control premium, debt, cash, transaction terms, regulatory issues, and the market impact of an attempted purchase. The market-cap formula describes traded equity value, not a negotiated takeover price.

How Nvidia’s 2024 stock split affects the calculation
Nvidia’s FY2026 Form 10-K states that it completed a ten-for-one stock split in June 2024. A split changes the number of shares and the per-share price in opposite directions. Immediately after a ten-for-one split, one old share becomes ten shares, while the per-share price is adjusted to roughly one-tenth of its pre-split level, all else equal.
For a simple illustration, 1 billion shares at $1,000 represents $1 trillion. After a ten-for-one split, 10 billion shares at approximately $100 still represents $1 trillion. The split changes the units used to quote the stock; it does not by itself create or destroy aggregate equity value.
How to calculate a defensible Nvidia market-cap estimate
- Choose the price timestamp. Specify whether you are using an intraday quote, the official closing price, or another clearly identified price. Do not call a closing-price calculation “current” during a later trading session.
- Choose the share-count basis. Use total common shares outstanding from a dated filing or another clearly identified source. Note whether the figure is basic, diluted, or limited to a special category of holders.
- Match the dates as closely as possible. A price and share count from the same date provide a more coherent snapshot than figures taken months apart.
- Multiply without changing the units. If the price is in dollars per share and the share count is in billions, the result is dollars in billions. Convert millions to billions before presenting the result if needed.
- Label the result. State the price date, share-count date, source, and any approximation. If the dates do not match, say so in the calculation’s description.
Using the August 21, 2026 filing count as an illustration, a hypothetical price of $200 multiplied by 24.1 billion shares would equal approximately $4.82 trillion. That is a hypothetical calculation, not Nvidia’s reported market cap or a current quote.

A very large capitalization means the public market is assigning a very large aggregate value to the company’s equity. It does not prove that the shares are overvalued or undervalued. To assess valuation, investors need to relate price to measures such as earnings, cash flow, sales, growth, margins, and the company’s capital structure, while using comparable dates and consistent definitions.
Nor does market cap predict future returns. Nvidia’s FY2026 filing identifies risks including competition, changing market needs, and mismatches between supply and demand. A market price already reflects the expectations and risks that buyers and sellers are incorporating at that moment; an analyst still has to decide whether those expectations are realistic.

Common mistakes and how to avoid them
- Calling the July 25, 2025 figure current: describe it as the historical, non-affiliate voting-stock value disclosed in the FY2026 Form 10-K.
- Mixing dates silently: put the price date and share-count date beside every calculation.
- Treating a split as new value: remember that shares and per-share price adjust proportionally.
- Confusing market cap with enterprise value: identify debt and cash adjustments when using an enterprise-value comparison.
- Using size as a valuation conclusion: market cap describes scale, not whether the stock is a bargain, expensive, safe, or certain to rise.
- Assuming a filing is real time: a reported share count is a dated snapshot, and later issuance or repurchases can change it.
A practical checklist for comparing Nvidia with another company
- Are both share prices measured at the same close or timestamp?
- Are both share counts dated close to that price?
- Do both figures cover total outstanding shares, or does one use a restricted holder category?
- Have stock splits and other corporate actions been reflected consistently?
- Are you comparing equity value, or do you actually need enterprise value?
- Are you avoiding the conclusion that the larger company is automatically better valued?
Answering those questions turns market capitalization from a headline number into a properly qualified comparison.
Frequently Asked Questions
Why might two websites show different market caps for Nvidia?
They may use different share-count dates, closing versus intraday prices, basic versus diluted shares, or different treatments of restricted and affiliate-held stock. Check each figure’s timestamp and definition before comparing them.
Does Nvidia’s ten-for-one split make its market cap ten times larger?
No. The split multiplied the share count by ten and reduced the per-share price proportionally, so aggregate market value was unchanged by the split alone.

1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsCan market cap tell me whether Nvidia’s stock is a good investment?
No. It measures the market value of equity at a stated time. Investment analysis also requires valuation measures, operating results, financial position, competitive conditions, risks, and expectations about future performance.
What share count should I use for a calculation?
Use a clearly dated total common-shares-outstanding figure that is as close as possible to your price timestamp, and identify whether the source reports basic shares, diluted shares, or a narrower regulatory category.
