Tokenization in banking is a way to record a digital representation or claim on a programmable platform, often distributed-ledger technology (DLT). The token itself is not the key question. What matters is the legal and economic claim behind it: a bank deposit liability, a stablecoin issuer’s redemption obligation, or ownership of a security.

Those claims can use similar technical infrastructure but are not interchangeable forms of money or ownership. This guide explains how each works, where the potential efficiency comes from, and which legal, liquidity, operational and cyber risks remain.

What is tokenization in banking?

Tokenization is a representation and recordkeeping method. A bank, issuer or other arrangement records a digital token corresponding to an asset, liability or claim on a platform such as a blockchain or another DLT network. Smart contracts can perform predefined actions when stated conditions are met.

Federal Reserve Governor Lisa D. Cook described the concept in a May 8, 2026 speech: “Generally, an asset is considered “tokenized” when a DLT is used to record ownership of that asset.” The same technology can record a claim that is not ownership, such as a commercial-bank deposit. The legal documents, issuer, redemption terms and governing records therefore matter more than the word token.

The Bank for International Settlements (BIS) describes tokenization as “the process of recording claims on real or financial assets that exist on a traditional ledger onto a programmable platform.” In practice, a tokenized system may connect messaging, reconciliation, payment and asset-transfer functions that historically ran on separate systems.

What a token does—and does not—prove

  • A token can show that a particular ledger recognizes a balance or entitlement.
  • It does not, by itself, prove who owes the holder money, which assets back the claim, or which legal rights transfer with the token.
  • It does not automatically eliminate banks, custodians, brokers, settlement risk or counterparty risk.
  • The result depends on the contract, applicable law, custody and recordkeeping, platform governance, interoperability and connections to legacy systems.

A dated market-size reference

In her May 2026 speech, Cook said U.S. tokenized assets had a market capitalization of around $25 billion, more than double the estimate from the preceding year. She identified government-bond funds as the largest category, with credit funds and money-market funds growing. This is a dated estimate attributed to the Federal Reserve Board, not a live October 2026 market value, and it cannot be used to compare the size of deposits, stablecoins and tokenized securities directly.

How tokenization works in a financial transaction

A tokenized transaction normally has both an on-chain component and an off-chain legal and operational framework. The following sequence shows what to examine.

  1. Define the claim. The issuer specifies whether the token represents a deposit liability, a redemption claim against reserves, a security, or another entitlement.
  2. Establish the authoritative records. Documents and account systems determine ownership, obligations, eligible holders, transfer restrictions and what happens if the platform is unavailable.
  3. Mint or issue tokens. A controlled process creates tokens only when the issuer or authorized arrangement records the corresponding liability or asset.
  4. Transfer under programmed rules. Smart contracts can check identity, eligibility, time, collateral or payment conditions before permitting a transfer.
  5. Settle payment and delivery. A transaction may link the transfer of a security with payment in a delivery-versus-payment arrangement. If both legs complete as one atomic action, one side should not be delivered without the other, although the practical protection depends on the systems and legal agreements connecting them.
  6. Redeem, burn or reconcile. When a holder cashes out or an asset matures, tokens may be removed from circulation and records reconciled with bank, custodian and transfer-agent systems.

Interoperability is decisive. A token that moves quickly on one network can still face delays if cash, identity checks, custody instructions or the underlying asset remain on a separate system. Round-the-clock token trading can also create liquidity demands outside normal banking hours.

What is a tokenized deposit?

A tokenized deposit is still a bank deposit liability, represented and transferable on a distributed ledger. The Conference of State Bank Supervisors (CSBS) defines it as “a digital representation of a bank deposit liability, recorded and transferable on a distributed ledger, such as a blockchain.” The bank remains the obligor; changing the recordkeeping rail does not turn the deposit into a stablecoin or a security.

Why banks are exploring tokenized deposits

  • Programmable payments: a payment can be released when delivery, documentation or another condition is verified.
  • Atomic settlement: payment and delivery may be coordinated in one transaction flow.
  • Integrated collateral: a bank could automate collateral calls, substitutions or releases when contractual triggers occur.
  • Potentially continuous operation: a network may process transfers beyond traditional batch or market hours, subject to the bank’s controls and liquidity arrangements.

These are potential platform capabilities, not guaranteed outcomes. Banks may build systems through consortia or third-party vendors, and the CSBS letter asks regulators for clearer expectations about deposit insurance, ownership, on-chain and off-chain records, and compliance with Bank Secrecy Act, anti-money-laundering and sanctions requirements.

Insurance and records are arrangement-specific

The CSBS request should not be read as saying tokenized deposits are categorically uninsured or categorically insured. Coverage, account ownership, recordkeeping and supervisory treatment depend on the bank, account structure and applicable law. A holder should identify which bank owes the deposit, how the balance appears in the bank’s official records, who can redeem it and what happens if the token ledger and the bank’s core ledger disagree.

Are tokenized deposits the same as stablecoins?

No. A tokenized deposit is a bank’s deposit liability. A stablecoin is a crypto asset designed to maintain a stable value relative to a reference asset, such as a fiat currency, gold or a basket. The SEC Division of Corporation Finance staff used that description in an April 4, 2025 statement.

Feature Tokenized deposit Stablecoin
Primary obligor A commercial bank The stablecoin issuer or the legal arrangement behind it
Underlying claim A deposit account liability A crypto-asset claim intended to track a reference value
Backing The bank’s balance sheet and deposit obligations May involve reserves or other mechanisms; design and reserve controls vary
Holder’s route to value Deposit withdrawal or transfer under the bank’s terms Issuer redemption rights and any secondary-market liquidity
Insurance and oversight Depends on the bank, account structure and jurisdiction Depends on the issuer, design and applicable law; no single status applies to every stablecoin

The SEC staff’s April 4, 2025 view is deliberately narrow. It concerns a described “covered” design with a one-for-one U.S.-dollar value, redemption at that value and low-risk, liquid reserves sufficient to cover tokens in circulation. The staff said its view applies only to that factual setting; it is not a universal ruling for all stablecoins. Other designs can have different reserve, governance, redemption, disclosure and run risks.

Why the distinction matters in a crisis

A deposit holder looks to the bank and the deposit account framework. A stablecoin holder looks to the issuer’s redemption promise, reserve assets, custody arrangements and operational ability to process redemptions. A token can trade on a secondary market even when the reserve assets or direct redemption channel are unavailable. That difference can produce a price below the reference value and does not become a deposit guarantee merely because the token is intended to be stable.

How do tokenized securities work?

A tokenized security represents an ownership interest or other security on DLT, or is issued directly on DLT. Two broad structures are common:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Issuer-native issuance

The securities issuer creates the security on a DLT-based system. The offering documents, transfer agent or equivalent records and applicable securities law define who owns the security and which economic, voting and information rights attach to it.

Token linked to an existing security or asset

A third party may issue a token that gives the holder an entitlement linked to a traditionally issued security or to assets held by an intermediary. In this structure, the token holder may not own the underlying security directly. The intermediary’s custody, bankruptcy protections, redemption process and contractual terms determine what the holder can claim.

The label “tokenized security” therefore does not prove that the holder has identical rights to a holder of the traditional instrument. Read the offering, custody and transfer documents for voting, dividends or interest, settlement finality, transfer restrictions and the procedure for errors or network outages.

Are tokenized securities treated differently from regular securities?

Technology-neutral treatment is possible, but it is conditional. A March 5, 2026 FAQ from the Federal Reserve, OCC and FDIC says an eligible tokenized security should generally receive the same treatment as its non-tokenized form under the U.S. bank capital rule. The FAQ does not distinguish permissioned from permissionless chains for that purpose.

Eligibility is the important qualifier: the tokenized version must carry legal rights identical to the non-tokenized security under the FAQ’s framework. Other capital, collateral, custody, operational-risk and risk-management requirements still apply. The FAQ is an explanation of capital treatment, not blanket approval of every tokenized security or every blockchain arrangement.

What benefits can tokenization provide?

The strongest case is coordination, not a promise that every transaction becomes faster or cheaper.

  • Less reconciliation: a shared programmable record can reduce the need to match separate messages and ledgers.
  • Conditional workflows: code can release funds or collateral after verified events.
  • Delivery-versus-payment: payment and asset delivery can be linked, reducing the chance that one leg completes alone.
  • More flexible collateral: collateral calls, substitutions and releases can be automated when rules and valuation data are reliable.
  • New distribution and settlement models: smaller or more frequent transfers may be feasible where identity, compliance and liquidity are adequately handled.

BIS frames a sound monetary system around singleness (different forms of money accepted at par), elasticity (the ability to supply payment liquidity when needed) and integrity (resilience to financial crime and illicit activity). Its analysis argues that tokenized central-bank reserves, commercial-bank money and government bonds could support those functions, while concluding that stablecoins fall short of them as a system mainstay. That is BIS’s institutional assessment, not a universal regulatory consensus.

What are the risks of tokenization in finance?

Legal and recordkeeping risk

A token may move while the legally authoritative record does not, or the token may represent only a contractual claim on an intermediary. Conflicts between on-chain and off-chain records, unclear governing law and uncertain insolvency treatment can undermine ownership or redemption.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Liquidity and run risk

A token market can operate when the underlying asset, bank branch, reserve custodian or redemption system is closed. Cook identifies the possibility that an after-hours disruption could accelerate redemptions. A mismatch between token-market liquidity and underlying-asset liquidity can turn a normal price movement into a disorderly run.

Interconnection risk

Tokenized funds, deposits, stablecoins and traditional markets can become more tightly connected. Stress in one market may transmit through collateral, redemption, payment or custody links into another.

Smart-contract, cyber and operational risk

Code can contain defects, access controls can fail and a network or vendor can go offline. Upgrades, key management, identity services, oracle data and incident response all require governance. Automation makes a rule execute consistently; it does not make the rule correct or the input data accurate.

Compliance and illicit-finance risk

Transferability does not remove customer-identification, sanctions, transaction-monitoring or record-retention duties. Permissionless access can complicate controls, while permissioned systems introduce administrator and concentration risks. The applicable jurisdiction and regulated entities determine the obligations.

How to evaluate a tokenized product before using it

  1. Identify the legal claim: ask whether it is a deposit, redemption claim, security or an indirect entitlement.
  2. Name the obligor: find the bank, issuer, securities issuer, custodian and any guarantor.
  3. Read redemption terms: check who may redeem directly, minimums, timing, fees, eligible settlement assets and suspension rights.
  4. Verify authoritative records: determine which ledger controls in a discrepancy and how balances are reconciled.
  5. Check rights and restrictions: review voting, income, transfer eligibility, geographic limits and secondary-market access.
  6. Assess backing and custody: identify reserve assets or underlying securities, segregation, valuation and insolvency treatment.
  7. Test resilience: ask about outages, lost keys, code changes, cyber incidents, recovery procedures and manual processing.
  8. Confirm regulatory scope: establish the jurisdiction, license or charter, insurance characterization and whether a cited regulatory statement actually covers this design.

Where the evidence and rules stand

U.S. agencies are addressing different questions rather than issuing one universal “tokenization” rule. The CSBS letter dated November 4, 2025 requests joint guidance on tokenized-deposit insurance, records, ownership and compliance. The March 2026 interagency FAQ addresses capital treatment for eligible tokenized securities. The SEC’s April 2025 staff statement addresses a narrowly described stablecoin design. Each document has its own date, agency, jurisdiction and factual scope.

For broader monetary-system design, BIS provides an analytical framework rather than binding law. A product marketed across borders may therefore face multiple, overlapping regimes. A claim that a token is “regulated,” “insured” or “equivalent” to a traditional instrument should always be tested against the actual issuer, documents and jurisdiction.

The practical bottom line

Tokenization can make financial claims programmable and allow payment, delivery and collateral processes to be coordinated on shared rails. Its value depends on the legal claim and the surrounding institutions, not on the token format alone. Tokenized deposits remain bank liabilities; stablecoins depend on issuer-specific stabilization and redemption arrangements; and tokenized securities carry only the rights their issuance and custody documents provide. Before treating any token as money, an investment or collateral, identify who owes you value, what records control, how redemption works and what happens when the technology or liquidity fails.
