Re:

What Is a Stop-Loss Order and How Do You Set One?

A stop-loss order activates a market order when a stock reaches your stop price—but the stop price is not a guaranteed execution price. Here is how to set one, compare stop-limit and trailing orders, and check broker-specific rules.

A stop-loss order, also called a stop order, tells your broker to activate an order when a stock reaches a price you specify. For a typical protective sell stop, you place the stop below the stock’s current market price. When the trigger is reached, the broker sends a market order. The critical limitation is that the stop price triggers the order; it is not a guaranteed sale price, and the eventual fill can be materially different in a fast or thin market.

This guide explains how stop, stop-limit and trailing-stop orders work for U.S. stocks, how to enter one through a typical brokerage order ticket, and which broker rules you must verify before submitting.

What is a stop-loss order?

A stop-loss order is an instruction held by a brokerage to buy or sell a security after the market reaches a specified stop price. Investor.gov describes a stop order as an order that becomes a market order once its stop price is reached: Investor.gov’s stop-order glossary.

Protective sell stops

If you own shares and want to automate an exit if the price declines, you generally use a sell stop below the current market price. The order remains inactive until the broker’s applicable trigger standard detects the stock at or below that level. It then becomes a market sell order.

Buy stops for short positions

If you are short a stock, a rising price can increase your loss. A buy stop is generally placed above the current market price to help close the short position if the stock rises to the trigger. The same trigger-versus-execution distinction applies: activation does not fix the price at which the shares are ultimately bought.

What the stop price does—and does not do

The SEC’s investor bulletin puts the central point plainly: “The stop price is not the guaranteed execution price for a stop order.” The bulletin, updated August 18, 2026, explains that a market order generated by a trigger may execute at a substantially different price when markets move rapidly or available liquidity is limited: SEC, “Stop, Stop-Limit, and Trailing Stop Orders – Investor Bulletin”.

Consequently, a stop order can help automate an exit, but it does not guarantee a maximum loss, a particular fill, or even a fill at the stock’s closing price. A brief intraday move can activate it even if the stock later recovers before the session ends.

How a stop order works from entry to execution

  1. You submit the order. You identify the stock, side (sell or buy), number of shares, stop price, duration and any session settings your broker offers.
  2. The order waits. Until the broker’s trigger condition is met, the stop order is not a market order and normally does not execute.
  3. The trigger is observed. Depending on the firm, a last-sale price, a bid or ask quotation, or another stated reference may be used. The same stock can therefore trigger differently at different firms.
  4. The order converts. A regular stop converts to a market order when triggered. The broker routes that market order for execution, and prices can change between the trigger, routing and fill.
  5. The position changes. After execution, check the filled quantity and average price in your account. If the order is only partially filled or remains open, follow the broker’s instructions for managing the remainder.

Order handling is not instantaneous. Investor.gov’s explanation of the order process notes that routing and execution take time and that prices can change during that process: Investor.gov, “Executing an Order”.

How do you set a stop-loss order?

Broker interfaces use different labels and controls, so treat the following as a generic workflow rather than a promise that every platform looks the same.

  1. Decide what the order is meant to do. Select a sell order for shares you own or a buy order intended to manage a short position. Confirm the ticker, exchange-listed security and exact share quantity.
  2. Open the order ticket. Choose the broker’s stop order type. Some tickets label it “stop,” “stop market” or “stop-loss.” Do not confuse it with a regular market order or a stop-limit order.
  3. Enter the stop price. Type the trigger level using the ticket’s required decimal format. Verify whether the ticket describes the condition as “at or below” for a sell or “at or above” for a buy.
  4. Choose duration and session availability. Review whether the order is valid only for the current trading day or remains open for a longer period, and which trading sessions the firm supports. Do not assume that a stop entered during regular hours will monitor premarket or after-hours trading.
  5. Read the trigger standard. Look for language specifying last-sale prices, quote prices or another reference. A firm may also disclose special handling during opening or closing auctions, trading halts or fast markets.
  6. Review the order summary. Check side, quantity, symbol, stop price, duration, session, estimated commissions or fees (if any), and whether the order is a stop or stop-limit. Make sure the ticket does not show a limit price you did not intend to use.
  7. Submit and obtain confirmation. Send the order only after the review. Save the confirmation number or status screen, then verify that the order is listed as open or working. An order is not active merely because you clicked through a ticket.
  8. Monitor changes to your plan. Recheck the order after corporate actions, a change in share quantity, a partial sale, or a new trading plan. Cancel or replace it through the broker when appropriate, and verify the resulting status.

Stop, stop-limit and trailing stop compared

The useful comparison is between price control and execution certainty after a trigger. No order type provides both an assured price and an assured fill in every market.

Order type What happens at the trigger Price control Execution tradeoff
Stop (stop-loss) Becomes a market order. No limit controls the fill price. It generally seeks execution after activation, but the market price can be materially different from the stop.
Stop-limit Becomes a limit order. The limit price sets the least favorable price you are willing to accept, according to the order’s buy or sell direction. The order can remain unfilled if the market moves beyond the limit or available shares are insufficient.
Trailing stop The stop follows favorable price movement by a selected dollar or percentage distance, then stops moving when the market turns against the position. The trailing distance determines the moving trigger; it does not set the eventual market fill. A short-term move can activate it, and the resulting execution can differ from the trigger.

What is the difference between a stop-loss and a stop-limit order?

A regular stop prioritizes the attempt to execute after the trigger by converting to a market order. You surrender control over the execution price. A stop-limit prioritizes a price boundary: after the stop is reached, the order becomes a limit order that will execute only at the limit price or a more favorable price. That boundary can prevent an unexpectedly poor fill, but it can also leave you holding the position because no acceptable counterparty appears.

Many stop-limit tickets require two values: a stop price that activates the order and a limit price that governs execution. Your broker may impose a required relationship between those values or reject combinations it considers invalid. Read the firm’s explanation before submitting; the SEC’s order-type bulletin provides additional background: SEC, “Understanding Order Types – Investor Bulletin”.

How trailing stops move

A trailing stop uses a dollar amount or percentage rather than a permanently fixed distance from the market. For a long position, a rising stock can move the stop upward by the selected distance. If the stock then declines, the stop remains at its most recently adjusted level instead of moving back down. A trailing buy stop for a short position works in the opposite direction.

The SEC gives a hypothetical illustration rather than a recommendation: a stock bought at $20 rises to $24, and a $1 trailing amount can leave the stop at $23 after the price turns down. The example demonstrates the arithmetic only; it does not identify a suitable distance for any investor or stock. A trailing stop still can be activated by a temporary move and, once activated, its market order still has execution-price risk.

How should you choose a stop price?

There is no universal percentage

The SEC material cautions investors to think carefully about the stop level but does not prescribe one percentage or formula that suits every stock and investor. A distance that is small relative to a volatile stock’s ordinary fluctuations may trigger repeatedly; a very wide distance may allow a larger loss before activation. The appropriate level depends on your strategy, time horizon, position size, tolerance for loss, and the stock’s trading behavior. Those factors can inform a plan, but they do not make the eventual price certain.

Use arithmetic as an illustration, not a recommendation

Suppose, purely hypothetically, that you bought 100 shares at $50 and selected a stop 10% below the purchase price. The arithmetic is $50 × (1 − 0.10) = $45, and the difference between the purchase price and the trigger is $5 per share, or $500 for 100 shares before fees and taxes. That $500 is a distance to the trigger, not a guaranteed loss: a gap or fast decline could produce a fill below $45, while a temporary dip could trigger a sale before a recovery. The example does not tell you what level to use.

Separate a trigger plan from a risk budget

A stop order is one execution instruction, not a substitute for deciding how much capital to expose. If a chosen trigger would create more risk than your plan permits, changing the share quantity may address the dollar exposure more directly than moving the trigger arbitrarily. Consider how the order interacts with earnings announcements, news, overnight gaps and the possibility that you will be unable to monitor the account.

Broker rules you must verify

Stop orders are not handled identically by every brokerage. Before relying on one, check the firm’s current help page and the live order ticket for:

  • whether stop and trailing-stop orders are offered for the specific stock and account type;
  • which market data reference triggers the order, such as last sale, bid or ask;
  • which sessions are monitored and whether the order is eligible during extended hours;
  • available durations, including day-only and longer-lasting instructions;
  • minimum price increments, restrictions around volatile or halted securities, and rules for replacing or canceling an order; and
  • how partial fills, order rejections and corporate actions are reported.

Availability and trigger conventions can change. Do not assume that a setting used at one firm will have the same meaning at another, and do not treat an order as working until its status is confirmed in your account.

Common failure modes and how to respond

The stock touches the stop and then recovers

A brief intraday print or quotation can satisfy the trigger even when the stock closes above it. If that outcome would be unacceptable, reassess whether the order type and trigger method fit your plan rather than assuming the broker made an error.

The fill is below a sell stop

Fast declines, overnight gaps, limited liquidity and changing quotes can produce a fill below the stop. Review the execution report, time and quantity, then compare them with the broker’s disclosed trigger and routing rules. A regular stop does not convert into a guaranteed-price sale.

A stop-limit remains open

Check both the stop and limit values and the order status. If the market moved beyond your limit, the order may be behaving as designed: price control has taken priority over execution. Decide whether to leave, cancel or replace it according to your plan; do not assume that activation means shares were sold.

The order never triggered

Confirm that the order was accepted rather than rejected, that the duration has not expired, and that the price reference and eligible session matched what you expected. A quote that appears to reach a level on a chart may not be the reference your broker uses.

Scope: what this explanation covers

The mechanics and quotations here are based on U.S. Securities and Exchange Commission and Investor.gov investor education about stocks. Options, futures, cryptocurrency, foreign securities and other venues can have different order types, trigger sources, session rules and protections. Apply this explanation to those products only after consulting the relevant venue and broker documentation.

A stop order is therefore best understood as an automated trigger with a chosen tradeoff: a regular stop seeks a market execution without controlling the price, while a stop-limit controls the permissible price but may not execute. Confirm the exact controls in your own broker’s ticket before you rely on either order.
