A business partnership is a business that two or more people own or run together, sharing its profits, losses and responsibilities. The U.S. Small Business Administration (SBA) puts it simply: “Partnerships are the simplest structure for two or more people to own a business together.” (U.S. Small Business Administration, “Grow your business.”)
The simplicity applies to the ownership idea, not to the legal details. “Partnership” covers several arrangements with different liability rules, different management roles and different paperwork, and state law governs many of those details. This guide uses a United States frame throughout. Where a rule depends on the state, it is flagged as such.
What makes an arrangement a partnership
In plain terms, a partnership exists when two or more people carry on a business together and share in what it earns. The federal tax definition is the clearest test available. IRS Publication 541 (revised December 2025) explains that an unincorporated organization with two or more members is generally classified as a partnership for federal tax purposes when it carries on a business or venture and divides the profits, subject to listed exceptions.
That federal test answers a tax question, not a complete state-law question. A couple who run a shop together without filing anything may be treated as a partnership for federal tax purposes, yet their personal liability, their authority to sign contracts and their ability to sue or be sued depend on the state where they operate. Treat the federal classification as one piece of the picture.

The main forms of partnership
The SBA describes three forms that readers most often encounter. Each one allocates liability and control differently.
General partnership
A general partnership is the default arrangement when two or more owners carry on a business together without forming a separate entity. In most states, general partners share responsibility for the business’s debts, and each partner can typically bind the business in ordinary dealings. Because it is the simplest arrangement, it also gives the least protection to personal assets. Confirm the rules for your state before relying on this description.
Limited partnership (LP)
An LP separates two groups of owners. According to the SBA’s overview, an LP has one general partner with unlimited liability, and the other partners have limited liability. Limited partners also tend to have limited control over management. An LP therefore suits an arrangement where one person runs the business and others contribute money without taking part in daily decisions. Limited partnerships are created under state law, so the filing and the rules for who may be a general partner vary by state.

Limited liability partnership (LLP)
The SBA describes an LLP as similar to an LP, except that every owner has limited liability. It states that an LLP protects a partner from the partnership’s debts and from the actions of other partners. That protection is the main reason owners of professional practices and similar firms choose this form. The shield’s scope, and the requirements to hold it, are set by state statute, so the protection can differ from one state to another.

Liability and control: the questions that decide the form
Most partnership decisions come down to five questions. Work through them in this order before choosing a form.

- Personal liability: If the business borrows money, loses a lawsuit or fails to pay a supplier, which owners can the creditor pursue personally?
- Control and decision rights: Who manages daily operations, who can sign contracts and who approves major spending?
- Taxes: How will business income and each owner’s share be taxed at the federal level and in the state?
- Formation and ongoing paperwork: What must be registered, filed or renewed locally, and how often?
- Capital and ownership: How will owners contribute money or work, how will profits be shared, and how will a partner enter or leave?
The SBA notes that structure affects taxes, fundraising, paperwork and personal liability, and that ownership rules, liability, taxes and filing requirements vary by state. It recommends consulting business counselors, attorneys and accountants for a specific decision.
The partnership agreement
A partnership agreement is the owners’ internal rulebook. It does not protect anyone from outside creditors, and it does not replace the entity filings described above. Its job is to decide, in advance, how the partners will make decisions and what each partner must do, is allowed to do and is responsible for. The SBA describes limited partnership agreements and LLP agreements as internally binding documents that define decision-making and the partners’ duties, powers and responsibilities. It recommends such an agreement even where a state does not require one.
What a sound agreement usually addresses
Use the following as a drafting checklist to take to a lawyer or accountant. Each item is a subject worth settling in writing. None of them is a statutory minimum in every jurisdiction.

- Capital contributions: how much each partner puts in, in cash, property or services, and what happens if more money is needed.
- Roles and authority: who manages which functions, and which decisions need every partner’s approval.
- Profit and loss allocation: how income and losses are split, and whether that split differs from ownership percentages.
- Deadlock resolution: what happens when partners split evenly on a decision.
- Departures and buyouts: how a partner can leave, how the business value is set, and how payment is made.
- Dispute resolution: whether disagreements go to mediation, arbitration or court.
- Dissolution: how the business winds down, who sells assets and how debts are paid.
Formation paperwork varies
Do not assume a partnership can be formed with no paperwork in every location. The SBA states that certificates and other required documents differ by state and by structure. A general partnership may need little or no filing in some states, while an LP or LLP requires a state filing before it can claim its liability structure. Check the secretary of state or the equivalent office where the business operates.

The pass-through rule
IRS Publication 541 says a partnership generally does not pay federal income tax itself. Instead, it passes its profits and losses through to the partners, who report their shares on their own returns. The partnership files an annual information return, Form 1065, that reports the business’s income and each partner’s share. Because each partner’s tax result depends on their own circumstances, avoid assuming that every partner owes the same amount or that the arrangement is tax-free. Partnership tax rules are detailed, so use the current publication and a qualified tax professional for specific figures.
Where an LLC fits
Owners often compare a partnership with a limited liability company (LLC). The IRS “Limited liability company (LLC)” guidance explains that an LLC’s federal tax treatment depends on its number of members and any elections it makes. A domestic LLC with more than one member is generally treated as a partnership for federal income tax unless it elects to be taxed as a corporation. That federal classification is separate from the LLC’s state-law status, which is created by filing with the state. Keep the two questions apart when comparing options.

Partnership, LLC or corporation: a decision checklist
Use this sequence to narrow the choice. Each step identifies a question the answer to which points toward or away from a partnership.
- Do you need personal protection from business debts? If yes, a general partnership is usually not enough; compare an LLP, an LP, an LLC or a corporation under state law.
- Will one person run the business while others only invest? If yes, an LP may match the arrangement, since limited partners typically have limited control.
- Do you want the same liability shield for every owner? If yes, look at an LLP (where available for your type of business) or an LLC.
- How much paperwork can you handle? A general partnership usually involves the least formation work, but the agreement still matters.
- Do you expect to raise outside capital or bring in investors? Structure affects fundraising, so ask a financial adviser how investors will be treated under each option.
- Have you confirmed the federal tax result and the state tax and filing requirements? Ask an accountant to model the choice for your facts.
Before you form a partnership
Settle the agreement in writing before the first sale, loan or hire. Confirm the state filing requirements and the liability protection that each form provides there. Then take the written agreement and your planned structure to a business attorney and an accountant, who can apply current state and federal rules to your situation.
