What Happened to Trump’s “TikTok America” Plan? The U.S. Joint Venture Explained

Trump’s proposed “TikTok America” evolved into TikTok USDS Joint Venture LLC. Here’s how the ownership, algorithm and U.S. security structure differ from the original plan.

“TikTok America” was the reported name for an April 2025 proposal to put TikTok’s U.S. business under a new company. The proposal became TikTok USDS Joint Venture LLC, announced as completed in January 2026. The new venture is majority-owned by investors other than ByteDance, but ByteDance kept a 19.9% stake. For users, creators and advertisers, that means a changed corporate and security structure—not evidence of a new app or an immediate change to TikTok’s interface.

What “TikTok America” meant

“TikTok America” was a reported working name for a proposed U.S.-specific company, not the name of a wholly separate social network. The final venture is called TikTok USDS Joint Venture LLC. It covers U.S. operations and is intended to place key functions—including data security and control of the U.S. recommendation system—under a new governance structure.

It helps to distinguish the early proposal from the outcome: “TikTok America” described the reported plan; TikTok’s U.S. operations are the business and service for American users; and TikTok USDS Joint Venture LLC is the name associated with the completed venture.

Why TikTok faced a U.S. divest-or-ban law

The Protecting Americans from Foreign Adversary Controlled Applications Act, enacted in 2024, barred distribution, maintenance or updating of covered applications controlled by a foreign adversary unless a qualifying divestiture took place. The law took effect with respect to TikTok on January 19, 2025, according to Executive Order 14352.

The issue was not simply where TikTok stored its servers. A qualifying arrangement had to address ownership and control, access to U.S. user data, operational ties to ByteDance, recommendation algorithms and data-sharing. Moving data to U.S. servers alone would not resolve those questions.

How the April 2025 proposal changed

On April 2, 2025, The Information reported a preliminary proposal under which new U.S. investors would own roughly half of a new company, ByteDance would hold less than 20%, and the U.S. entity would license TikTok’s recommendation algorithm. The report also described a possible stake for existing ByteDance investors. Those were proposed terms, not the final ownership split, and the plan still depended on agreement from ByteDance and China.

The reported concept later became a different, completed joint venture. TikTok announced the venture on January 23, 2026, after a reported January 22 closing. The White House had outlined its proposed qualified-divestiture framework in September 2025; its fact sheet and executive order describe the administration’s view of the arrangement.

The percentages and investor roles were reported by TikTok, with further transaction coverage from the Associated Press and Reuters. Oracle, Silver Lake and MGX together hold 45%; ByteDance’s 19.9% is below one-fifth. “Majority-owned by non-ByteDance investors” is more precise than saying ByteDance disappeared or that Oracle owns TikTok.

What each participant brings

ByteDance

ByteDance retains an economic stake and is the source of TikTok’s technology heritage. The central distinction is between owning a minority share and retaining prohibited control. The White House said ByteDance would be limited to one director on a seven-member board and excluded from the security committee. Those governance details are the administration’s account; practical influence can also depend on contracts, personnel and technical dependencies.

Oracle

Oracle is both a 15% managing investor and the designated security provider. The administration describes its role as including U.S. data hosting and security oversight, with monitoring of software updates, data flows and recommendation systems. That is more than passive investment, but it does not mean Oracle owns the venture or that hosting data in the United States by itself answers every question about access, processing or software supply chains.

Silver Lake and MGX

Silver Lake and Abu Dhabi-based MGX each hold a 15% stake and are managing investors. Their stakes contribute to the non-ByteDance ownership, but the public materials cited here do not establish every investor’s detailed operational responsibility or disclose the full cap table.

What “control of the algorithm” can mean

The algorithm question is more complicated than whether a system was “sold.” The April 2025 proposal reportedly contemplated a license from ByteDance. The later White House framework said the U.S. venture would control the U.S. app’s algorithm and code, and that recommendation models using U.S. user data would be retrained and monitored by trusted U.S. security partners. The Associated Press also reported that the algorithm would be licensed to the U.S. venture and that Oracle would oversee it.

These terms describe different things. A license permits use under agreed terms; operational control concerns who can run or change the system; retraining concerns how a model is adapted with data; and an outright sale would transfer ownership. The available public descriptions do not establish that the original algorithm was sold outright. Whether U.S. operational control also delivers technological independence depends on the venture’s access to code, ability to approve and deploy changes, staffing and ability to keep the service running if a technology or licensing relationship is disrupted.

What changes—and does not change—for users

Structural changes described publicly

  • U.S. user data is to be held in a U.S.-based cloud environment operated by Oracle.
  • A new U.S. legal entity is responsible for the venture’s U.S. operations.
  • The White House says U.S.-controlled moderation and recommendation operations, as well as added monitoring of data flows and software updates, are part of the security framework.
  • The administration’s framework and ABC News coverage describe the venture’s scope as including CapCut and Lemon8 as well as TikTok.

Changes users should not assume

  • There is no established basis here to say users must download a separate app or migrate their accounts.
  • The deal announcement does not establish an immediate change to TikTok’s interface or recommendation feed.
  • The U.S. venture does not make TikTok globally independent of ByteDance.
  • U.S. data storage does not prove that every processing step occurs in the United States or that all national-security concerns are eliminated.
  • A new ownership structure does not, by itself, demonstrate politically neutral moderation or more transparent recommendations.

For creators and advertisers, the corporate change may matter to risk assessments and long-term planning, but the public terms cited here do not establish a particular change to creator tools, ad products, campaign performance or revenue.

Does the arrangement satisfy the law?

The White House determined that the framework qualified under the statute. Its stated rationale was that the venture would be majority-owned and controlled by U.S. persons, ByteDance and its affiliates would remain below the 20% threshold, the venture would control the U.S. app’s algorithm, code and moderation decisions, sensitive U.S. data would be kept outside foreign-adversary control, and security partners would monitor updates, algorithms and data flows.

That is the administration’s legal determination, not a finding that every lawmaker, litigant, national-security expert or China-policy specialist agrees. Nor is it the same as a public, independent audit of all technical controls.

What remains contested or hard to verify

  • Minority ownership versus practical influence: A 19.9% stake is below the stated threshold, but influence can also arise through contractual rights, personnel or technology dependencies.
  • Algorithmic dependence: A U.S. entity may operate or retrain a system whose technology derives from ByteDance. Legal separation does not automatically mean technological independence.
  • Data access and processing: U.S. storage addresses location, but questions about metadata, derived profiles, backups, access permissions and cross-border systems require more detail than a server-location claim provides.
  • Verification: The public may not see the full security agreement, source-code audits or monitoring procedures. Without those details, outsiders cannot independently verify every safeguard.
  • Geopolitical durability: Reporting described Chinese approval as a condition in the deal process. Any technology-transfer or licensing relationship could be affected by U.S.-China tensions.
  • Political and legal scrutiny: Executive action was central to the arrangement, leaving questions about how its enforcement will be reviewed and whether the terms remain legally durable.
  • Product scope: CapCut and Lemon8 were described as within the framework, but governance details should not be presumed identical for every product without product-specific confirmation.

What to watch in practice

The most useful tests of whether the deal produces meaningful U.S. control are concrete governance and technical details, not the company’s name or ownership headline alone:

  • Who has board appointment, voting and veto rights, and who can make security decisions?
  • Who can change ranking systems, training data, model weights and recommendation policies?
  • Who can access raw data, logs, backups and derived user profiles?
  • Who writes, reviews, signs, deploys and approves software updates?
  • Can ByteDance personnel or contractors continue operating core U.S. systems?
  • Are security audits independent, recurring and documented, and what happens if the venture fails a compliance check?
  • Can the U.S. service continue if China restricts technology transfer or algorithm licensing?
  • Will users receive meaningful disclosures about data handling and recommendations?

These are the points that distinguish majority U.S. ownership on paper from effective control over a service’s technology and operations.
