What Happened to Netflix’s Warner Bros. Deal—and the $2.8 Billion Breakup Fee

Netflix did not buy Warner Bros. or HBO Max. WBD ended the deal in February 2026, Paramount Skydance paid Netflix a $2.8 billion termination fee, and Paramount completed its WBD acquisition in October.

Netflix did not buy Warner Bros. or HBO Max. Its proposed acquisition of Warner Bros. Discovery’s studios and streaming businesses ended in February 2026, when Warner Bros. Discovery (WBD) accepted Paramount Skydance’s superior offer. Paramount Skydance paid Netflix a $2.8 billion termination fee on WBD’s behalf. Paramount completed its acquisition of WBD on October 6, 2026.

Did Netflix buy Warner Bros. and HBO Max?

No. Netflix agreed in December 2025 to acquire WBD’s Warner Bros. film and television studios, HBO Max, and HBO after WBD planned to separate its Discovery Global business. The deal never closed. WBD terminated the agreement on February 27, 2026, after its board determined that Paramount Skydance had made a superior proposal and Netflix declined to raise its offer. The Associated Press reported that Paramount completed its acquisition of WBD on October 6, 2026.

What was the Netflix deal worth?

Netflix and WBD announced a cash-and-stock agreement on December 5, 2025, valued at $27.75 per WBD share and approximately $82.7 billion in enterprise value. It covered the studios and streaming assets, not all of WBD as then structured; the plan depended on a separation of Discovery Global. Netflix’s announcement described the proposed transaction and its terms.

Enterprise value includes debt as well as equity value, so it is not interchangeable with a takeover price quoted on another basis. AP later described Paramount’s takeover price as $81 billion excluding debt, and reported nearly $111 billion including debt. Those figures refer to the Paramount transaction, not Netflix’s proposed deal.

How much was the breakup fee, and who received it?

The fee actually paid to Netflix was $2.8 billion. WBD’s SEC filing says Paramount Skydance paid it on WBD’s behalf on February 27, 2026, when WBD terminated the Netflix agreement. WBD’s filing records the termination and payment.

The title’s $5 billion figure is not established by the reviewed official sources as the final contractual fee or the amount paid. Do not treat it as the realized breakup fee.

The separate $5.8 billion regulatory fee

WBD’s board said that if Netflix failed to complete the merger for regulatory reasons, WBD would receive a $5.8 billion termination fee. That was a conditional payment to WBD in a different scenario; it was not paid to Netflix and was not the fee triggered by WBD’s termination of the agreement. WBD’s board statement explains the condition.

How did the deal fall apart?

  1. December 5, 2025: Netflix and WBD announced their definitive agreement for the studios and streaming assets.
  2. February 17, 2026: Netflix said the agreement was fully financed and definitive. WBD had filed a proxy and scheduled a special shareholder meeting for March 20. WBD also received a narrow seven-day waiver to engage with Paramount Skydance; this was the status at that time, not the final outcome. Netflix’s update gives its account of the agreement’s status then.
  3. February 26–27, 2026: WBD’s board found Paramount Skydance’s offer superior. Netflix declined to increase its bid, saying a higher price would make the transaction no longer financially attractive. WBD terminated the Netflix agreement on February 27. AP reported the board decision and Netflix’s response.
  4. February 27, 2026: Paramount Skydance paid Netflix the $2.8 billion termination fee on WBD’s behalf, as WBD’s filing records.
  5. October 6, 2026: Paramount Skydance completed its acquisition of WBD, bringing HBO Max, Warner Bros. titles, and WBD networks such as CNN under the same ownership as Paramount+ and CBS, according to AP.

Who owns Warner Bros. and HBO Max now?

As of October 6, 2026, Warner Bros. Discovery is part of the Paramount/Skydance combination. Warner Bros. titles and HBO Max did not become Netflix properties. Netflix’s co-CEOs Ted Sarandos and Greg Peters said the transaction had been a “nice to have” at the right price, not a must-have at any price, as quoted by AP. At the closing announcement, Skydance CEO David Ellison called the acquisition a historic day for the company and industry, AP reported.
