Finmeccanica’s board authorized the merger of Elsag Datamat and SELEX Communications on 28 March 2011. Effective 1 June 2011, Elsag Datamat was incorporated into SELEX Communications, which then took the name SELEX Elsag. Finmeccanica said the reorganization was intended to strengthen the group’s capabilities in ICT, security and automation.
What changed on 1 June 2011?
The merger was an incorporation of Elsag Datamat into SELEX Communications, rather than the creation of a separately named company from the two businesses. After the incorporation took effect, SELEX Communications changed its name to SELEX Elsag. Finmeccanica’s 2011 half-year financial report records the board’s authorization on 28 March and the effective date of 1 June.
The same report identifies transfers to SELEX Elsag, effective 1 June, of interests in Seicos, SELEX Service Management and DIGINT. It names those interests specifically but does not establish that they were the only associated transfers. Finmeccanica (now Leonardo), Half-year financial report at 30 June 2011.
Why did Finmeccanica say it was merging the companies?
Finmeccanica placed the transaction within a group plan launched in 2010 to optimize industrial assets in Defence and Security Electronics. Its stated goal was to bring together expertise in information and communication technology, security and automation, so the group could respond to demand for integrated ICT solutions and secure network management services.

That was the company’s rationale for the reorganization, not evidence that the merger later achieved those aims. The announcement framed SELEX Elsag as part of a planned three-centre structure:

What did the announcement claim the new entity would enable?
As reproduced by Teleborsa, the announcement attributed to then-chairman and CEO Pier Francesco Guarguaglini the expectation that the new entity would help the operating companies focus on their missions, meet customer demand for turnkey solutions and optimize costs. That statement describes the company’s intended benefits, not a measured result. Because the reproduced text joins “operating” and “companies” as “operatingcompanies,” the wording should not be treated as a verified verbatim quotation.
