Microchip and the other defendants denied liability. The parties reached a proposed class settlement in 2026, but as of October 4, 2026, a judge had not yet given it final approval.
How the severance dispute began
The dispute traces back to the acquisition of Atmel, a semiconductor company. In September 2015, Atmel agreed to be acquired by Dialog Semiconductor. Microchip later made a competing offer, and Atmel entered a merger agreement with Microchip on January 19, 2016. The litigation record recounts employees’ position that the earlier Dialog transaction triggered protections under the Atmel Severance Guarantee Benefit Program. It also describes assurances from Atmel management that plan benefits would remain available regardless of which buyer prevailed; these were part of the record, not a final ruling that employees were owed the benefits they claimed.
Microchip’s acquisition closed on April 4, 2016, and Atmel became its wholly owned subsidiary. The merger agreement required Microchip to honor specified disclosed employment and compensation contracts, including certain severance and termination agreements. It also provided compensation and benefits protections for continuing U.S. employees through December 31, 2016. Those provisions formed part of the background to the dispute, but did not by themselves resolve how the Atmel plan applied to particular terminations.
What the employees and defendants argued
Former employees alleged that, after the acquisition, Microchip said the Atmel plan had expired and offered reduced severance to employees terminated without cause if they signed releases. They contended that additional benefits remained due under the plan. The defendants disputed that interpretation, denied liability, and argued that the plan did not require the additional payments and that the releases were enforceable.

The case was filed by Schuman and Coplin in September 2016. The court’s August 3, 2026 preliminary-approval order describes it as a “long-running ERISA class action.” The underlying dispute concerns this particular plan and class; it does not establish a general rule for severance plans or releases in other mergers.
Who was included in the certified class
The U.S. District Court for the Northern District of California certified a class in February 2020. In its 2026 preliminary-approval order, the court describes the class as 220 former U.S. Atmel employees terminated without cause between April 4, 2016, and March 19, 2017. The same order states that 215 class members signed releases in exchange for part of the plan benefits.

Those criteria are a useful starting point for understanding the proposed settlement, but they do not determine any individual’s eligibility or payment amount. A person who believes they may be covered should compare their circumstances with the court-authorized settlement notice and case records.
Why the releases became a central issue
The district court ruled in defendants’ favor on the named plaintiffs’ releases, applying a test under which it found those releases enforceable. In June 2025, the Ninth Circuit reversed that ruling and set out a non-exhaustive, nine-factor framework for assessing whether a release or waiver was knowing or voluntary. The appeals court’s decision did not itself calculate the benefits due to every class member; it returned the release question for a broader analysis.

In 2026, the district court denied motions to decertify the class and reopen discovery, and trial was set for July 9. The parties reported reaching a settlement in June, before the proposed settlement received preliminary approval on August 3.
What the proposed settlement would pay
The court-authorized settlement notice divides proposed payments according to whether a class member signed a release in exchange for partial severance:

The notice identifies 3.96% as the one-year federal Treasury bill rate used in the proposal. It does not mean every class member would receive the same dollar amount: the calculation depends on the unpaid severance amount and the period used to calculate interest. The notice states: “As a former Atmel employee, you are entitled to a settlement payment even if you previously signed a claims release in 2016 or 2017 in exchange for 50% of the amount that you would have been entitled to under the Atmel Severance Plan.” That statement describes the proposed settlement for its class, not a general rule about severance disputes.

Under the proposed terms, class members would not need to file a formal claim. To receive a payment, however, they would need to submit completed W-4 and W-9 forms within 45 days after the settlement’s effective date, if final approval is granted. The 45-day period is tied to that future effective date; it had not begun as of October 4, 2026.

The notice says the unpaid severance portion would be treated as wage income, with payroll taxes withheld. The interest portion would be treated as non-wage income without withholding. These are the proposed settlement’s stated tax treatments, not individualized tax advice.
Approval status and deadlines as of October 4, 2026
Preliminary approval allows the settlement process to continue; it does not make the settlement final or resolve the case on final terms. The court-authorized notice and settlement information site listed October 1, 2026, as the deadline to opt out or object, and scheduled the final approval hearing for October 15, 2026, at 2 p.m. The opt-out and objection deadline had passed by October 4, while the hearing was still in the future.
Because final approval, the effective date, and any payment deadline depend on later proceedings, anyone potentially covered should check the official settlement information site or court docket for current instructions. The proposed 45-day form-submission window should not be treated as a deadline until the effective date is established.
