The 2017 lawsuit over Chip Gaines’ former Magnolia Real Estate partners was not a court-proven fraud scandal, and Joanna Gaines was not identified as a defendant in that case. John L. Lewis and Richard L. Clark alleged that Chip bought their business stakes for $2,500 apiece without disclosing relevant information about Fixer Upper’s impending national exposure. They sought more than $1 million. The original claims were dismissed in 2020, and a confidential settlement in 2023 ended the remaining claims and appeals; its terms were not made public in the cited reporting.
What the 2017 lawsuit alleged
Lewis and Clark, described in contemporaneous reporting as former Magnolia Real Estate partners, sued Chip Gaines in 2017. Their complaint alleged that he bought their interests for $2,500 each shortly before public news of Fixer Upper’s national exposure, and that he failed to disclose information relevant to their decision to sell. Those are the plaintiffs’ allegations, not findings that a court established as fact. CBS News reported on the filing and allegations in 2017; KWTX also covered the suit.
The plaintiffs sought more than $1 million in damages, along with non-monetary relief. That figure was their requested damages—not an award, a proven loss, or the amount of any settlement.
Claims and response
Coverage of the complaint identified claims including conspiracy liability, breach of fiduciary duty, fraud by nondisclosure, and statutory fraud. Gaines’s attorney, Jordan Mayfield, characterized the claims as meritless in a statement reported at the time. That was the defense’s position, not a judicial determination.

How the case ended
The original claims were dismissed in February 2020. Gaines’s defamation countersuit against Lewis and Clark continued after that dismissal. In July 2023, the parties reached a confidential settlement that dismissed all claims and appeals, including any potential appeal of the earlier dismissal. KWTX reported the resolution and quoted Lewis and Clark’s attorney, John Mabry: “I am not at liberty to discuss the terms of the settlement due to a confidentiality agreement signed by the parties.” KWTX’s 2023 report does not establish a public settlement amount, admission of wrongdoing, or verdict.
Why some headlines include Joanna Gaines
The parties in the central 2017 former-partners case were Lewis, Clark, and Chip Gaines; Joanna Gaines was not identified as a defendant in the reporting on that suit. She was named with Chip in a different lawsuit filed in 2022 by a literary agent, along with their companies and United Talent Agency.

That separate complaint concerned alleged unpaid commissions tied to amendments to a HarperCollins publishing agreement, including changes involving the number of books and authorship. In June 2024, a New York court granted defendants’ motions to dismiss the complaint in its entirety. The court’s decision is available in the 2024 opinion. This was not the 2017 Magnolia Real Estate dispute.

What readers can—and cannot—conclude
