What FMC Bought From DuPont: Insecticide, Herbicide and R&D Assets

FMC bought specified DuPont insecticide, cereal herbicide and crop-protection R&D assets in a 2017 regulatory divestiture. The deal closed November 1, 2017.

FMC did not buy DuPont. Under a 2017 divestiture agreement tied to the Dow-DuPont merger, FMC acquired specified crop-protection businesses and research assets from DuPont; DuPont acquired FMC’s Health and Nutrition business and received $1.2 billion in cash. FMC completed its acquisition on November 1, 2017, and later reported that integration was complete in 2020, apart from certain ERP initiatives finalized in early 2021.

What did FMC buy from DuPont?

The transferred assets were a defined crop-protection portfolio, not all of DuPont or all of its agricultural businesses. FMC described the acquired businesses as including:

  • Insecticides: the global chewing-pest portfolio marketed around Rynaxypyr, Cyazypyr and indoxacarb. The European Commission identifies their active ingredients as chlorantraniliprole, cyantraniliprole and indoxacarb.
  • Cereal herbicides: global broadleaf herbicide assets encompassing nine active ingredients: thifensulfuron, tribenuron, metsulfuron, chlorsulfuron, ethametsulfuron, triflusulfuron, flupyrsulfuron, azimsulfuron and lenacil.
  • Research and development: a substantial part of DuPont’s crop-protection discovery and development organization, along with related intellectual property, registrations and data packages.
  • Manufacturing: FMC’s 2017 announcement described a global network of four active-ingredient facilities and 10 regional formulation plants.

FMC also said the transferred research pipeline included 15 synthetic active ingredients in development and a library of 1.8 million synthetic compounds. These are figures from the 2017 announcement, not a description of the portfolio’s present status.

Why did DuPont sell these crop-protection assets?

The agreement followed competition concerns raised by the proposed combination of Dow and DuPont. The European Commission required divestitures to address those concerns in crop-protection markets, and its decision records clearance of FMC’s acquisition subject to conditions and obligations, including remedies concerning certain cereal post-emergence broadleaf herbicide activities in the European Economic Area. The sale was therefore part of the regulatory remedy connected to the merger, rather than a sale of DuPont as a whole.

How the linked transaction worked

The parties announced a reciprocal exchange on March 31, 2017. FMC acquired the specified DuPont crop-protection assets; DuPont acquired FMC Health and Nutrition and received $1.2 billion in cash from FMC. The cash payment was one element of the linked transaction, not the price of the DuPont assets stated in isolation.

What FMC said the acquired business was worth

FMC’s March 2017 announcement projected approximately $1.5 billion in revenue and $475 million in EBITDA for the acquired business in 2017. Those were announcement-era estimates; the cited material does not establish the business’s actual 2017 revenue or EBITDA. FMC also expected its first two insecticide products to generate more than $1 billion in 2017 revenue and said they then had full patent protection. These, too, were company projections made at the time, not verified results.

Then-FMC chairman, president and CEO Pierre Brondeau called the transaction “a significant step forward for FMC, and for our Agricultural Solutions business in particular.” That was management’s characterization when the deal was announced.

Is FMC’s 2026 strategic review related to the DuPont acquisition?

No. On February 4, 2026, FMC said its board had authorized a preliminary exploration of strategic options, including a possible sale of FMC, and that there was no assurance the review would result in a transaction. That review concerns FMC’s options in 2026; it does not reopen or change the completed 2017 acquisition.
