What Filmmakers Should Check Before Signing a Film Financing Agreement

Before signing a film financing agreement, confirm who is committing money, when it must be paid, what the financier receives in return, and how the film’s revenue will be divided. Then check how the agreement fits with the project company, chain of title, lender and distribution documents, and what happens if production runs over budget or the film is not delivered. Because those terms depend on the contract and governing law, have an entertainment lawyer qualified in the relevant jurisdiction review the complete deal—not just the financing agreement.

Start with the parties, project company, and authority to sign

List every party and its role: the production company, any project-specific company, rights holder, lender, equity investor, distributor, sales agent, guarantor, and collection-account manager. Check the legal name of each signatory, which entity is responsible for each promise, and whether the person signing has authority to bind that entity. A promised guarantee or security is only useful if it is actually given by a party able to perform.

Read the financing agreement alongside the company’s corporate documents and the rest of the financing package. SAG-AFTRA’s financial-assurances process identifies company structure, financing, distribution, and chain of title as related review areas, and its document requirements include corporate and financing documents as well as chain-of-title materials (SAG-AFTRA overview; SAG-AFTRA document requirements).

Trace the rights into the project

Check that the production company controls the rights it needs to make and exploit the film. Follow the chain from the original material through options and extensions, exercise or purchase, assignments, writer and director agreements, co-development arrangements, and any relevant releases or quitclaims. Verify that required fees were paid, options were exercised on time, and transfers cover the intended uses. WIPO’s rights-clearance guidance for independent filmmakers explains why producers need to verify that the rights required for exploitation have actually been transferred.

Separate funding from ownership and control

Do not assume that supplying money automatically gives an investor copyright, editorial control, or authority over distribution. Identify the actual rights grant, any reserved rights, and any approval or consultation powers. The result can also depend on local law or a particular funding program. For example, Canadian Heritage’s guidance for the Canadian Film or Video Production Tax Credit describes limits on copyright ownership and initial licensing control for certain non-prescribed persons under that program’s criteria; it is not a universal rule for private film investments (Canadian Heritage / CAVCO guidance).

Confirm the amount, timing, and conditions for funding

Write down the committed amount and currency, each instalment, payment date, payment method, and any interest or fees. For milestone-based funding, define the evidence required for each draw and who decides whether it is sufficient. Make sure the schedule matches the production’s cash-flow needs; an amount that arrives too late to pay an essential cost may not solve the project’s financing gap.

Identify every condition precedent—the requirement that must be met before a payment is due. These may include full financing, approvals, cast or distribution attachments, insurance, delivery of chain-of-title documents, an approved budget, escrow, or other signed documents. For each condition, check who must satisfy it, the deadline, whether it can be waived, who can waive it, and what happens if it is delayed or never met. An overview of film financing agreements identifies amount, payment timing, funding conditions, rights, recoupment, credits, and reporting as matters for the deal documents to address (Liaise Lawyers overview). SAG-AFTRA’s financial-assurances FAQ also illustrates why bank, lender, and receipt-flow arrangements need to be considered together (SAG-AFTRA FAQ).

Map the recoupment waterfall and define revenue

Do not rely on a headline return percentage or a phrase such as “net profits.” Draw the payment order from incoming receipts through each deduction and repayment tier, and check that it matches the other financing and distribution documents. Identify who is senior, who shares pari passu (at the same priority), and who is subordinated. An intercreditor or subordination agreement may change the order stated in a financing agreement.

Make the calculation traceable

  • Receipts: Define which film revenues count, how they are reported, and whether receipts are routed through a collection account.
  • Deductions: Specify permitted distribution expenses, collection charges, affiliate fees, reserves, interest, and any caps or approval requirements.
  • Payment order: State when production lenders, secured lenders, investors, and contingent participants are paid, and how competing claims are handled.
  • Participation: Define when backend participation or profits begin and how they are calculated from the defined receipts.

SAG-AFTRA’s FAQ discusses whether a lender will enter an intercreditor or subordination agreement and whether receipts flow through a collection account before loan repayment or a residuals set-aside. Screen Australia describes recoupment rights in its own funding arrangements and says it generally will not subordinate its recoupment right to other equity investors. Those examples demonstrate why priorities must be checked across the project documents; they do not establish the priority of a private investor or a universal market waterfall (SAG-AFTRA FAQ; Screen Australia recipient information).

Specify the rights, term, and control the financier receives

Identify every right granted or pledged and its limits. Check the media and territories covered, exclusivity, term, sublicensing authority, and any sequel, remake, or other derivative rights. Read the provisions governing reversion or termination: establish what event triggers them, what obligations must first be met, and how rights return or are released.

Separately identify approval rights, consultation rights, delivery acceptance, and authority over distribution decisions. Compare these provisions with the underlying-rights agreements and any existing sales or distribution deal so that one contract does not promise control or exclusivity the project has already granted elsewhere. WIPO’s rights-clearance guidance addresses the need to verify transferred rights and review documentation for underlying works (WIPO guide).

Understand security, guarantees, and production risk

Check what backs repayment

If the agreement grants security, identify the collateral, who grants it, which obligations it secures, its priority relative to other lenders, and the conditions for release. Read any parent-company or individual guarantee to see who is liable, for what amount and duration, and subject to which limits or defenses. SAG-AFTRA’s financial-assurances materials refer to security agreements from rights holders and possible guarantees from parent companies or other financially responsible parties; these are examples of assurance arrangements, not automatic requirements for every private deal (SAG-AFTRA overview).

Allocate overruns, delays, and delivery obligations

Check whether the budget is fixed or may change, who must fund an overrun, and whether the filmmaker or production company is required to contribute more money. Establish what happens if another financing source withdraws or fails to pay. Review production deadlines, required delivery materials, acceptance criteria, and any cure period before a missed obligation becomes a default. Then read the remedies for default, termination, and failure to complete, along with insurance, indemnities, and liability caps. The documents and governing law determine how these risks are allocated; the cited guidance does not establish one universal allocation.

Secure reporting, audit, and dispute rights

Set a workable schedule for financial statements and payments. Define accounting periods, what receipt and deduction detail each statement must show, and how long records must be kept. Specify audit access, notice requirements, who pays audit costs, and what happens if an audit finds an underpayment. Confirm that receipts are deposited into the agreed account and cannot be redirected contrary to the agreed controls. SAG-AFTRA discusses collection-account flows in relation to loan repayment and reserves; Screen Australia describes collection or disbursement accounts controlled by a collection-account manager or administrator in its own funding arrangements (SAG-AFTRA FAQ; Screen Australia recipient information).

Also check governing law, venue, arbitration or court procedures, notice methods, amendment requirements, assignment, confidentiality, and publicity. Reconcile the financing agreement with existing distribution, sales, guild, grant, tax-credit, and lender obligations. Funding programs may impose their own documentation requirements: for example, Screen Ireland’s guidance calls for clear chain-of-title documentation and a project-specific bank-account letter in relevant funding circumstances. That requirement applies to the described funding context, not automatically to every production (Screen Ireland funding guidelines).

Compare financing offers on the same assumptions

Use the same budget, revenue assumptions, and project documents for each offer. Compare the full economic and practical effect rather than choosing by headline interest or profit participation alone.

Comparison area What to compare
Net funds and timing Amount actually available to the production, instalment dates, payment certainty, and conditions before each draw.
Repayment and revenue Priority, return calculation, permitted deductions, reserve treatment, and how the offer fits with other lenders’ claims.
Rights and control Rights granted, territory, media, duration, approvals, distribution authority, and reversion terms.
Security and completion risk Collateral, guarantees, overrun responsibility, completion obligations, and remedies if funding or delivery fails.
Ongoing accountability Receipt routing, reporting detail and timing, audit access, dispute process, and termination provisions.

These terms can depend on financing, rights, corporate, distribution, and collection-account documents working together, so compare the complete packages rather than isolated clauses (Liaise Lawyers overview; SAG-AFTRA document requirements; SAG-AFTRA FAQ).

Get jurisdiction-specific review before signing

The relevant legal rules depend on the country, financing structure, funder, production, and contract language. Canadian tax-credit criteria, Australian recoupment terms, and Irish funding documentation are program-specific examples, not interchangeable standards for private financing elsewhere. Ask local entertainment counsel to review the signed-party structure and all related project documents, including securities and corporate requirements, tax incentives, rights ownership, enforceability, and compatibility with existing production commitments. A checklist helps identify questions; it cannot determine what a particular agreement means under the law that governs it.
