What Farmers Need to Know Before Signing a Contract

Before signing a farm contract, verify what you must deliver, how quality and price are determined, when payment is due, and what happens if either side cannot perform.

Before signing, make sure you can explain what you must produce or deliver, how it will be inspected and priced, when you will be paid, what the buyer must provide, and what happens if either side cannot perform. Read the whole agreement—including attachments—and resolve unclear terms before signing. The right answer depends on the contract and where it applies; a general checklist cannot replace advice on your specific agreement from a qualified local professional.

First, identify what kind of contract you are reviewing

A production, marketing, or supply agreement can allocate different responsibilities. In contract farming, for example, a farmer and buyer agree in advance on production and marketing terms. The FAO’s Contract Farming analysis page defines it as an agreement in which they agree on “price, quantity, quality, and delivery dates.” The label on the document is less important than the obligations it creates: read what each party must do, and when.

The checklist below is a review framework, not a statement of what every jurisdiction requires or what a court would enforce. FAO materials and the UNIDROIT-FAO-IFAD Legal Guide identify common issues to examine, but local law and the actual wording matter.

Check the parties, authority, product, and production site

  • Parties: Confirm the legal names and addresses of the farmer, buyer, and any other party taking on obligations. Check that the person signing is authorized to bind the named business or organization.
  • Purpose and location: Make sure the agreement identifies what is being produced or supplied and the farm, facility, or production site covered.
  • Scope: Confirm whether you must deliver all of your production or a specified amount, and whether the buyer’s commitment is for a fixed quantity or a stated range.

Understand the product standards and acceptance process

Product descriptions and quality requirements should be objective enough that both sides can tell whether a delivery complies. Do not rely on a phrase such as “acceptable quality” without understanding how acceptance will be decided.

  • Check the quantity, any permitted variation, and the product or grade covered.
  • Find out who inspects, samples, tests, and grades the product, and when and where this happens.
  • Read what happens if a delivery fails a standard: whether it can be rejected, downgraded, retested, or corrected, and who pays the associated costs.
  • If an independent tester is involved, check who selects and pays that party and how you can challenge a sample or result.

FAO’s contract-farming materials emphasize clear standards and assessment. China’s Ministry of Agriculture and Rural Affairs also published guidance calling for specific delivery and acceptance terms; that guidance is for China, not a universal rule.

Map delivery responsibilities and costs

Confirm the delivery date or window, location, and required method. The agreement should make clear who arranges and pays for transport, who bears risk while goods are in transit, and what happens if the buyer cannot receive the product or you cannot deliver on schedule. A delivery obligation is harder to assess if the logistics and consequences of delay are left open.

Work out how the price and payment are calculated

Identify whether the price is fixed or determined by a formula. If it is a formula, look for each input that can change the amount—not just a reference to “market price.” USDA Economic Research Service describes price or a pricing formula as a typical production-contract term; its June 2022 article concerns U.S. contract use and does not establish a universal pricing rule.

  • For a benchmark-based price, identify the benchmark, the date it is measured, the grade or quality basis, and the calculation.
  • Check any minimum price, bonus, quality adjustment, deduction, fee, or other adjustment and how it is applied.
  • Confirm the quantity basis, payment deadline, method, and place of payment, along with the records used to support the calculation.
  • Compare how much market movement you retain, which production costs or quality measures affect your return, whether the calculation can be checked, and when the final amount becomes known.

No single pricing approach is automatically best. The practical question is whether the terms are understandable, verifiable, and workable for your operation and cash flow.

Check inputs, services, and production rules

If the buyer supplies seeds, feed, fertilizer, chemicals, animals, equipment, or services, find out what you will receive, when it will arrive, and whether it is free, charged upfront, or deducted from later payments. Check who is responsible if an input is defective or late, and how any repayment or deduction is calculated.

Read production-method, recordkeeping, and technical-support requirements closely. A support promise is more useful when the agreement says what assistance the buyer will provide and when. Make sure required methods and records are feasible for your farm. FAO materials address inputs and production obligations; the China ministry’s 2026 guidance also addresses them within its China-specific context.

Know what happens when performance is disrupted

Review the agreement’s response to crop failure, disease, weather disruption, input failure, a quality shortfall, late payment, or refusal to accept a delivery. Check what notice you must give, by when, and what evidence or records you must keep. The UNIDROIT-FAO-IFAD Legal Guide identifies excuses for non-performance, remedies, and related issues as common sources of contract disputes.

A force-majeure clause may address events outside a party’s control, but its effect depends on the wording and governing law. The University of Tennessee Extension discusses force majeure in the specific context of U.S. grain-marketing contracts; that resource should not be treated as a rule for every commodity or jurisdiction.

Review the term, renewal, termination, and remedies

  • Note the start and end dates, whether renewal is automatic, and how much notice is required to prevent renewal.
  • Check the grounds for termination, who may terminate, and whether the other party gets time to fix a breach before termination.
  • Understand the remedies for non-performance, including what happens after a missed delivery, rejected product, or late payment.
  • Determine what happens to buyer-supplied inputs, unpaid balances, debts, and production already committed if the agreement ends.

Duration, renewal, termination, excuses, and remedies are among the subjects addressed in FAO and UNIDROIT materials. The specific effect of a clause depends on the agreement and applicable law.

Understand dispute steps and keep a complete record

Find the process the parties must follow if they disagree. It may call for direct discussion, mediation, arbitration, or court proceedings. Check any deadlines, named institution or venue, location, and practical cost implications. Whether a particular forum or clause is suitable or enforceable is a local legal question.

Keep the signed agreement and every attachment, amendment, delivery receipt, inspection or test result, payment record, and relevant communication. These documents can help establish what was promised, delivered, measured, and paid.

Compare offers on the same assumptions

If you have more than one offer, compare them using the same commodity, quantity, and farm-cost assumptions. A useful comparison includes:

  • Price and exposure: Fixed or formula price, any floor or adjustment, and whether the calculation is transparent and checkable.
  • Acceptance risk: How clear the standards are, how testing works, and whether you can challenge a result.
  • Operational fit: Quantity, timing, location, delivery logistics, production restrictions, and input requirements.
  • Cash flow and costs: Payment timing, deductions, input charges, financing obligations, and who bears costs if performance is disrupted.
  • Flexibility: Contract length, renewal, termination grounds, notice requirements, and remedies.
  • Dispute practicality: Required steps, forum and location, cost, and access to records or evidence.

Make time to review and get help where needed

Ask for the complete draft and its attachments early enough to read them, compare the obligations with your farm’s operations, and ask questions. FAO’s responsible contract-farming principles recommend sufficient time to review a draft and seek advice before signing. A producer organization, government extension officer, or qualified local lawyer may help explain terms or assess a specific agreement.
