What was sold, and who bought it?
On March 14, 2024, Embracer announced an agreement to sell selected assets from the former Saber Interactive operating group to Beacon Interactive, a company controlled by Saber co-founder Matthew Karch. The transaction closed on March 28, after Embracer said all conditions had been met. (Embracer’s March 14 announcement; March 28 closing announcement.)
The March announcement included all Saber-branded studios, Saber Interactive Inc., DIGIC, Fractured Byte, Mad Head Games, New World Interactive, Nimble Giant, Sandbox Strategies, Slipgate, and 3D Realms. It also covered the listed entities’ owned or licensed intellectual property and related liabilities, contractor relationships, and certain proprietary engine technology and tools. Embracer said Russian employees transferred to new entities owned by local management and working exclusively with the buyer; Embracer would begin liquidating its Russian companies in accordance with local law.
That list describes a substantial portfolio, but it is not the same as saying every company once associated with Saber changed hands. Embracer named 34BigThings, 4A Games, Aspyr, Beamdog, Demiurge, Shiver, Snapshot, Tripwire, Tuxedo Labs, and Zen Studios among the companies it retained, with 4A Games and Zen Studios initially subject to an option for Beacon.

How much was the deal worth?
Embracer’s announced purchase price was $247 million (SEK 2.527 billion), including $44 million (SEK 450 million) in assumed earnout liabilities. The release said $203 million would be paid through promissory notes. It also described up to $94 million (SEK 962 million) in separate conditional additional consideration if the buyer resold assets for higher consideration under specified conditions and within specified time periods. Those figures describe different elements of the announced structure; they should not be treated as a single amount of cash paid at closing or simply added together as a final sale price. On September 13, 2024, Embracer said it had received $168.4 million and that a further $28.1 million would be paid later in 2024 and 2025. The settlement reflected early repayment of promissory notes and cancellation of Beacon’s option to buy 4A Games and Zen Studios. Embracer said this concluded the transaction’s financial aspects. This later disclosure does not confirm a final $500 million price; the official releases do not give a final total of that size or an implied value for the cancelled studio option. What stayed with Embracer?
Beacon’s option to acquire 4A Games and Zen Studios was cancelled. In its September update, Embracer confirmed both studios remained within the group. The March announcement had not disclosed the full terms of the option, and the later cancellation does not establish what the studios might have been worth under it. (September update.)
Studio ownership and franchise rights were also distinct. Embracer said long-term licensing and publishing rights to all current and future PC and console Metro games remained within its PLAION group, regardless of whether Beacon exercised the 4A Games option. The sale therefore did not transfer those Metro publishing rights to Beacon under the terms Embracer described. (March announcement.)

Why did Embracer sell?
Embracer said the divestment allowed it to cease all operations in Russia and was expected to improve cash flow while reducing capital expenditure, net debt, and future liabilities. It described the sale as part of a wider restructuring. Those are the company’s stated rationale and expected effects, not an independent assessment of the transaction’s outcome. (March announcement.)
For context, Embracer reported the divested assets had 2023 net sales of SEK 1.606 billion, adjusted EBIT of SEK 47 million, and 2,950 internal staff. These are company-reported illustrative figures for January 1 through December 31, 2023; Embracer cautioned that their presentation was subject to the option agreements for 4A Games and Zen Studios.
