Windows Errors? Fix Them Before They Spread

Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minuteBefore signing a commercial shipbuilding contract, verify five things in the executed documents: the vessel is described in measurable terms, each instalment is protected by an effective refund guarantee, delay and change procedures produce predictable remedies, trials and acceptance have objective pass/fail rules, and governing law makes those rights enforceable. A standard form is only a starting point; the signed contract, technical specification, guarantee wording and applicable law control your exposure.
Use the review below as a negotiation and due-diligence checklist. Have maritime, technical and financial advisers read the same document set, because a payment clause that looks safe can be undermined by a guarantee expiry, an acceptance definition or a local registration requirement elsewhere in the transaction.

1. Identify the contract form, edition and amendments
Write down the form name, edition, every rider and amendment, the language that controls, and the order in which documents prevail. Do not assume that a familiar form gives you a balanced deal. BIMCO describes NEWBUILDCON as an international standard shipbuilding contract intended for any jurisdiction and type of ship; the latest edition identified on its page is from 2007. A 2026 BIMCO seminar also lists SAJ, AWES, SHIP2000 and SHIP25 as forms encountered in the market. Those names do not establish that one form is universally best.

| NEWBUILDCON | BIMCO standard form; latest edition shown by BIMCO is 2007 | Every amendment, annex, precedence rule, governing law and project-specific allocation of risk |
| SAJ, AWES, SHIP2000, SHIP25 | Named by BIMCO’s 2026 seminar as market forms | The actual edition, local adaptations and whether the clauses fit this vessel and financing structure |
| Negotiated project form | Terms are whatever the signed agreement and incorporated documents say | Conflicts between the main contract, specification, drawings, guarantees and side letters |
Ask the yard to provide a clean execution copy and a redline against the underlying form. Confirm whether technical annexes, approved drawings, correspondence, lender requirements or builder quotations are incorporated. If two clauses conflict, the contract should state which document wins and whether a later drawing can override an earlier specification.

2. Make the vessel promise measurable
Describe the intended service
State the route, operating profile and commercial purpose that the vessel must support. Translate that purpose into measurable commitments: carrying capacity, speed, fuel consumption, emissions or other efficiency characteristics where relevant, class notation, statutory standards, equipment lists and tolerances. Avoid phrases such as “world class,” “fuel efficient” or “fit for purpose” unless the agreement also supplies an objective test.
The technical specification and the legal contract must be read together. BIMCO’s seminar identifies technical specifications, class, design risk and modifications as core issues. The sources do not establish universal numeric thresholds; the figures must be tailored to the vessel, service and regulatory regime. For each performance figure, specify the test method, permitted tolerance, operating condition and consequence of a shortfall.
Control drawings and document hierarchy
Set a drawing-submission schedule, the buyer’s review period, the responsible contact, and the effect of approval. “Approval” should not silently transfer design responsibility or waive a later warranty claim unless that is intended. Create a hierarchy covering the signed contract, specification, approved drawings, class requirements, maker documents and change orders. State how an inconsistency is resolved and which revision is current.
Recommended Free Tools
Allocate design and buyer-supply risk
List every design duty, interface and item the buyer must supply. For buyer-furnished equipment, identify delivery dates, data requirements, installation responsibility, testing, warranty pass-through and the schedule consequence of late or defective supply. If the builder is responsible for integration, say so expressly and require an interface register. A gap here can turn a supplier delay into a buyer-caused delay or leave a performance failure without a responsible party.

3. Put project information and changes under written control
Require a written change order before work outside the agreed scope proceeds. Each order should identify the technical change, price adjustment, schedule effect, effect on class or regulatory approval, impact on performance tests, and the person authorised to approve it. State how changes affect instalments, the refund guarantee and any delivery or warranty commitment.
Set deadlines for submitting drawings, answering comments and escalating unresolved issues. Specify what happens when the parties disagree about a proposed modification: work may pause, proceed only on undisputed portions, or follow an agreed technical determination process. Keep a numbered change log and document register. Without revision control, the yard may test one version of the vessel while the buyer believes another specification governs.
4. Match every instalment with evidence and financial security
Build a milestone payment map
List each instalment, its due date or milestone, the evidence required before payment, and the person who certifies completion. Evidence might include an inspection record, approved drawing package, class document or photographic record, but the contract must name the required proof. Check whether a milestone can be reached while material defects remain and whether payment is suspended when the builder is in default.

|---|---|
| What triggers payment? | A precisely defined milestone and documentary evidence, not an informal progress assertion |
| Who receives the money? | The contracted builder or an approved account, with controls against unauthorised assignment |
| What protects pre-delivery sums? | A refund guarantee covering the relevant instalments, issued by the agreed guarantor |
| What happens after a change? | Written confirmation of revised price, milestones and continued guarantee coverage |
Read the refund guarantee as a separate instrument
BIMCO calls the refund guarantee an integral project feature and says it is “often regarded as the ‘financial cornerstone’ of a shipbuilding project.” Review the guarantee itself, not just the shipbuilding clause. Confirm the named guarantor, maximum amount, currencies, covered instalments, demand conditions, required supporting documents, notice method, expiry date and any automatic extension.

Check whether an amendment, extension of time, assignment, novation or dispute between buyer and yard can reduce or suspend the guarantee. Determine whether the guarantee is payable on demand or only after a contractual declaration, judgment or arbitral award. Confirm where a demand must be presented and which law governs the guarantee. A guarantee that expires before the buyer can terminate, or that requires documents the buyer cannot obtain after a yard failure, may not protect the money when it matters.
A 2015 Scottish Government document shows that staged payments and guarantee coverage were debated in a particular vessel project. Treat that document as an example of negotiated risk allocation, not as a standard schedule for other builds.
5. Connect delivery dates, delay relief and termination
Write one schedule clause that can be followed in a real delay. Identify the contractual delivery date, notice deadlines, permissible-delay categories, force-majeure definition, extension-of-time procedure, liquidated damages, any cap, and the point at which the buyer may rescind or terminate. Require the yard to provide timely delay notices with causes, expected duration and mitigation steps.
Test the interaction between delay and performance failure. Can the builder claim an extension while a failed trial is being corrected? Do liquidated damages continue during a permitted extension? When termination occurs, does the buyer receive instalments through the refund guarantee, and are damages or interest preserved? A filed contract provides an example of cancellation provisions linked to delay or vessel performance, but it represents one negotiated transaction rather than a general rule.

Review exclusions carefully. Broad force-majeure language, an unlimited right to extend for subcontractor problems, or a notice rule that is impossible to meet can remove the practical value of the delivery date. Conversely, a damages cap may make a long delay cheaper for the yard than timely completion. Have counsel test the clause under the chosen governing law rather than assuming an English-language term has the same effect everywhere.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.6. Define trials, acceptance and handover
Write a trial protocol
Attach a trial protocol stating the sequence of dock, harbour and sea trials; participants; instruments and data records; weather, draft, load and machinery conditions; calibration requirements; and repeat-test rights. Set numerical performance thresholds and tolerances for speed, fuel, capacity, manoeuvrability, noise or other agreed characteristics. Explain how a failed test is documented and who decides whether the cause is a defect, an approved deviation or an external condition.
Give defects a graduated remedy
For each deficiency, state whether the builder must repair and retest, pay an agreed price adjustment, accept a permanent deviation, or face rejection or termination. Set cure periods and identify which defects prevent delivery. A punch list should distinguish minor incomplete work from a safety, class or performance defect and should state who pays for completion, travel and repeat trials.
Make delivery a defined legal event
Specify the documents and certificates delivered with the vessel, including class and statutory records, manuals, spare-parts lists, test data and evidence of title or discharge of encumbrances. State when title and risk pass, when insurance responsibility changes, and whether physical possession can occur before contractual acceptance. Clarify whether signing a delivery certificate waives visible defects or only records handover. Acceptance should occur at a defined point, not merely when the buyer’s personnel step aboard.

7. Preserve useful post-delivery remedies
Read the warranty as an operating remedy, not a marketing promise. Define its start date, duration, covered systems, geographic scope, notice method, response time, repair location, replacement obligations and responsibility for removal and reinstallation. Coordinate builder warranties with equipment-maker warranties so that a component failure does not leave the buyer between two parties.
List exclusions and caps in plain terms. Check treatment of normal wear, misuse, modifications, consumables, consequential loss and downtime. If the warranty is an exclusive remedy, verify that it still covers the failures most damaging to the vessel’s revenue and safety. Ensure the responsible builder entity remains solvent and reachable for the full warranty period, and that assignment to a lender or subsequent owner does not unintentionally terminate protection.
8. Fit governing law, dispute resolution and regulation to the transaction
State the governing law and a workable dispute clause: seat, rules, language, tribunal appointment, technical-expert procedure, confidentiality and availability of interim relief. Decide how urgent security or arrest applications can be made without breaching the arbitration agreement. Check recognition and enforcement in the jurisdictions where the builder, guarantor, vessel and buyer hold assets.

Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →Scan for outdated or missing drivers - takes under a minuteDriver Scan →Regulatory formalities can affect payment protection. Confirm required approvals, foreign-exchange registrations, currency controls, tax documents, export permissions, class filings and corporate authorisations. A 2025 filed contract includes PRC-specific commitments to register and document a refund guarantee. That provision illustrates why the guarantee’s regulatory path must be checked for the actual buyer, bank and shipyard; it is not a universal PRC rule.
9. Compare competing bids on the same risk axes
When evaluating yards or forms, score the documents rather than comparing headline prices alone. Use the same questions for each bid:
- Who carries design and technical responsibility, and which document prevails if specifications conflict?
- When are payments due, what evidence supports them, and how much of each instalment is covered by the refund guarantee?
- How are permissible delays, liquidated damages, extensions and termination rights calculated?
- What objective trial thresholds govern acceptance, rejection, repair and price adjustment?
- What does the warranty cover, what are its exclusions and caps, and who remains liable after delivery?
- Can the buyer assign rights to lenders or a successor owner?
- Which law, forum and regulatory process make the remedies enforceable?
BIMCO’s materials identify these as central shipbuilding-contract topics, but they do not provide standardized comparative scores or prove that one form is superior for every project. A lower price can conceal weaker security, broader delay relief or a narrower acceptance remedy.
10. Run a disciplined sign-off process
- Assemble one controlled document set. Include the main agreement, specifications, drawings, class and regulatory requirements, payment schedule, refund guarantee, trial protocol, warranty, approved deviations and all amendments.
- Create an obligations matrix. For every buyer and builder obligation, record the deadline, evidence, responsible person, dependency and consequence of failure. Mark obligations that appear in more than one document.
- Stress-test failure scenarios. Model a six-month delay, a failed performance test, a rejected change order, builder insolvency before delivery, guarantor refusal and a regulatory registration problem. Confirm which notice, payment, termination and security rights operate in each case.
- Obtain independent sign-off. Maritime counsel should review law, remedies and guarantee wording; naval architects or technical managers should validate specifications and tests; finance staff should verify cash timing, currencies and security; insurance advisers should check risk transfer.
- Make unresolved points conditions to signature. Do not rely on a promise to “sort out” the guarantee, drawing hierarchy, trial thresholds or delivery documents later. Put the agreed text and exhibits into the execution copy and confirm that the guarantor has issued the final instrument.
Red flags that justify pausing signature
- The contract names a standard form but does not identify its edition or list amendments.
- The specification uses commercial aspirations without test methods, tolerances or consequences.
- Approved drawings can override the specification without a stated hierarchy.
- Instalments are due on calendar dates while the refund guarantee expires on an earlier date.
- The guarantee requires a court judgment or documents unavailable after a yard failure, contrary to the buyer’s assumed remedy.
- Force majeure covers broad cost or subcontractor problems with no meaningful notice or mitigation duty.
- Liquidated damages are capped at an amount that does not compensate for the likely commercial impact of delay.
- Acceptance occurs automatically on delivery, even when material defects or failed tests remain.
- The warranty has a short period, broad exclusions, a low cap or an exclusive-remedy clause that does not match operational risk.
- Foreign-exchange, registration or approval requirements for the guarantee and payment flows are undefined.
The safest signing decision is not the form with the most familiar name. It is the document set in which the vessel, money, schedule, tests, remedies and enforcement path remain aligned when the project goes wrong. Treat every standard clause as a starting point, then make the executed contract and guarantee precise enough that your advisers, bank and yard would reach the same answer to each failure scenario.
