Boeing completed its acquisition of Spirit AeroSystems on December 8, 2025. Boeing took in Spirit’s Boeing-related commercial operations, aftermarket businesses and specified Belfast operations—not the whole company. Airbus separately acquired assets supporting Airbus aircraft programs, and Composites Technology Research Malaysia (CTRM) acquired Spirit AeroSystems Malaysia.
What Boeing acquired
Boeing’s completion announcement says the transaction included Spirit’s Boeing-related commercial operations and aftermarket businesses. Boeing reported that approximately 15,000 teammates across five sites became part of Boeing.
Commercial aircraft structures
- 737 program fuselages.
- Major structures for the 767, 777 and 787 Dreamliner.
- Commercially procured fuselages for the P-8 and KC-46.
Aftermarket and other operations
Boeing also brought Spirit’s spare-parts business in house, expanded its global maintenance, repair and overhaul footprint, and added Spirit’s rotable, lease and exchange aftermarket businesses.
Belfast and defense
Boeing acquired portions of Spirit’s Belfast, Northern Ireland, operations. The Belfast site is to operate as an independent subsidiary branded Short Brothers, a Boeing Company. Spirit Defense continues as an independent supplier to the defense industry and a non-integrated subsidiary of Boeing Defense, Space & Security, with independent governance and operations.

Boeing said commercial and aftermarket operations in Wichita, Dallas and Tulsa, along with Spirit’s Aerospace Innovation Center in Prestwick, were to begin integrating into Boeing.
What Airbus acquired separately
Airbus completed its separate transfer of former Spirit assets on the same date as Boeing’s acquisition. Its closing announcement lists the following operations:

Airbus said more than 4,000 colleagues joined it. It reported $439 million in compensation, subject to customary purchase-price adjustments and post-closing review.
The final transfer list matters: Airbus’s April 2025 agreement described sale processes or contingencies for some Belfast and Prestwick operations. Spirit’s October 2025 SEC filing later said sale processes for the Prestwick assets and Belfast A220 mid-fuselage work had been abandoned, leaving those assets in the Airbus transaction. Airbus’s closing announcement confirmed the completed asset list.

What happened to Spirit’s Malaysia business
Spirit’s December 8, 2025 SEC filing says the Boeing merger, the Airbus transaction and the CTRM transaction all closed that day. CTRM acquired all outstanding equity interests in Spirit AeroSystems Malaysia. Spirit’s October 2025 filing had described a proposed cash price of $95.2 million, subject to adjustments and regulatory and other closing conditions; that is the disclosed proposed price, not a final closing value.
What the deal was worth—and when that figure applied
When Boeing announced the definitive agreement on July 1, 2024, it described an all-stock transaction with an approximate equity value of $4.7 billion, or $37.25 per Spirit share. Boeing put the total transaction value at approximately $8.3 billion including Spirit’s last reported net debt. Those are announcement terms, not a stated final closing value.

The exchange ratio was based on Boeing’s volume-weighted average share price over a 15-trading-day period, subject to a floor and ceiling, and was set to fall between 0.18 and 0.25 Boeing shares per Spirit share.

What closing does—and does not—establish
The closing announcements and SEC filings establish which transactions closed and describe the assets and businesses transferred. They do not establish that Boeing’s integration has improved safety, quality or production outcomes. Boeing executives described alignment of commercial production, safety and quality systems as a goal; that statement is an intended outcome, not evidence that the outcome has occurred.
