Re:

What Are the Risks of Holding Stablecoins With a Custodian?

A custodian can add access, insolvency, and legal-claim risks to stablecoin ownership. Understand segregation, pooled wallets, sub-custody, withdrawal terms, and the separate risks posed by the issuer.

Holding stablecoins with a custodian adds intermediary, access, and legal-claim risks. If the custodian or a sub-custodian fails, you may face delays or uncertainty proving which assets are yours or getting them back. The outcome depends on the custody agreement, wallet and recordkeeping structure, the custodian’s treatment of customer property, and the law that applies. These risks are separate from whether the stablecoin issuer can maintain its reserves and honor redemptions.

Custodian risk and issuer risk are different

A custodian holds or controls your stablecoins or the keys needed to move them. The issuer is responsible for the token’s backing and redemption arrangement. A failure at either layer can create a different problem: a custodian failure can interrupt access to tokens, while issuer trouble can affect their backing or redemption value even if the custodian is operating normally.

Do not treat safeguards at one layer as protection against failure at the other. For example, a sound reserve does not guarantee prompt access through a failing custodian, and secure custody does not establish that an issuer has adequate reserves or will redeem your tokens.

What happens if a custodian becomes insolvent?

A custodian’s failure may leave customers waiting for access or trying to establish which assets belong to them. The practical outcome can turn on whether customer assets are segregated from company assets, whether pooled balances can be reconciled to individual customers, and whether the agreement and applicable law recognize your interest as ownership rather than a claim against the firm.

In the United States, the GENIUS Act includes a custody provision for specified payment-stablecoin reserves, collateral, or issuance keys held by covered custodians. It requires covered custodians to treat specified customer property as belonging to customers, take steps to protect it from the custodian’s creditors, and account for and segregate it. The statute also provides for customer-claim priority subject to its terms and exceptions. This is not a blanket rule for every token, entity, account, or jurisdiction; the provision has defined scope and permits specified arrangements, including certain omnibus accounts and cash deposits at depository institutions. The Act addresses issuer insolvency separately. Read the GENIUS Act text.

New York DFS’s September 30, 2025 guidance applies to the virtual-currency entities within its stated scope. It calls for covered custodians to separately account for and segregate customer virtual currency from corporate assets on-chain and in internal ledgers. For omnibus wallets, it expects records that provide a clear audit trail and current evidence of each customer’s beneficial interest. The guidance replaced its January 23, 2023 version. See the New York DFS guidance.

How segregation, pooling, and records affect your claim

Segregation and reliable records can help identify customer property, but the word “segregated” alone does not tell you how the arrangement works. Ask whether assets are separated from the custodian’s own holdings both on-chain and in its books, and how the books are reconciled to blockchain activity.

An omnibus wallet is not necessarily the same as mixing customer assets with the custodian’s company assets. New York DFS describes arrangements in which an omnibus wallet contains only customers’ virtual currency, with records showing each customer’s beneficial interest. Federal law also permits specified omnibus arrangements, subject to statutory terms and exceptions. The key question is whether the records can reliably identify your share if a custodian or service provider fails.

  • Are tokens held in a wallet in your name, or in an omnibus wallet used only for customers?
  • How often does the custodian reconcile its internal customer ledger with on-chain balances, and how are discrepancies handled?
  • What records document your beneficial interest, and can customers access account statements or transaction histories?
  • Does the agreement describe customer assets as your property and characterize the arrangement as custody, rather than a debtor-creditor relationship?

Sub-custodians add another counterparty

A custodian may rely on another firm to hold tokens or control keys. That firm’s systems, controls, contract, and insolvency can affect your access even if your direct provider remains solvent. New York DFS says covered primary custodians should conduct due diligence and document risk assessments, service agreements, and controls; it also expects relevant sub-custody terms and material risks to be disclosed to customers.

Ask who actually holds the tokens and keys, which entity and jurisdiction govern that service, what duties each provider has, and how a reconciliation failure is handled. Review whether a sub-custodian can assert a lien, set-off, or security interest over customer assets. An app balance or brand name does not answer these questions.

Asset use, liens, and withdrawal restrictions

A safekeeping arrangement can differ substantially from a product that permits lending, pledging, or reuse of your stablecoins. New York DFS’s guidance says covered custodians should preserve customers’ equitable and beneficial interests and should not use customer currency for their own purposes; it also expects agreements to describe the relationship and permitted use. Its sub-custody guidance addresses collateral, set-off, and liens, with a limited qualification for ordinary fees and expenses. These are statements about that guidance’s scope, not universal rules for every custodian.

Read the actual agreement for clauses allowing the provider or a sub-custodian to lend, pledge, rehypothecate, transfer, freeze, or otherwise use tokens. Check for liens, security interests, set-off rights, withdrawal conditions, and circumstances in which transfers may be delayed or blocked. The label “custody” does not settle what the contract permits.

Operational, cyber, and access risks

Even when assets are correctly accounted for, you may lose access temporarily through account restrictions, service outages, compromised credentials or keys, transaction controls, or a provider’s operational failure. The Federal Reserve, FDIC, and OCC’s July 14, 2025 joint statement discusses existing risk-management principles for banks engaged in crypto-asset safekeeping. It says it creates no new supervisory expectations and reminds banks to operate safely and comply with applicable law. It does not quantify incident likelihood or guarantee recovery. Stablecoin reserves and redemption are a separate check

Custody protections do not establish the quality or liquidity of a stablecoin’s backing, nor do they determine whether you can redeem directly with its issuer. Check the token’s issuer disclosures and redemption terms separately, including who is eligible to redeem and what procedures apply.

European Union

MiCA Article 36 sets reserve requirements for issuers of asset-referenced tokens, including requirements addressing liquidity risks associated with holders’ permanent redemption rights, legal and operational segregation, reserve disclosures, and independent reserve audits every six months. It also specifies that the minimum amount held as deposits in credit institutions in each referenced official currency cannot be lower than 30% of the amount referenced in that currency. That 30% is a regulatory requirement for the covered framework, not a measure of loss likelihood or proof of safety. Article 36 does not establish a customer’s rights against a particular custodian. See MiCA Article 36.

Canada

Canada’s Department of Finance describes legislation introduced through the 2025 Budget Implementation Act that would require covered issuers to maintain reserves at least equal to tokens issued, hold those reserves in cash or high-quality cash-like assets with a qualified custodian, segregate them, and publish redemption policies. The described framework would also prohibit representing stablecoins as deposits or as insured under a public deposit insurance system. These are requirements described for the Canadian framework, not universal properties of stablecoins. Read Finance Canada’s description.

Which rules apply depends on your location and provider

Regulatory protections are limited by jurisdiction, entity type, asset, and effective date. A rule that applies to one regulated custodian or token may not cover another. Confirm which legal entity is providing custody, where it is regulated, and whether the relevant provision covers your service and asset.

  • United States: The GENIUS Act is enacted federal law, but its custody provision has defined coverage and exceptions. Its application to a particular business, token, and account depends on those terms and applicable implementation rules.
  • New York: DFS’s September 30, 2025 guidance applies to covered entities within its stated scope and addresses segregation, accounting, sub-custody, and customer disclosures.
  • United Kingdom: The FCA reports that final rules and guidance under CP25/14 were published June 30, 2026, for cryptoasset firms authorised under FSMA on or after October 25, 2027. The stated future application date is time-sensitive. See the FCA publication.

A practical framework for comparing custody arrangements

Compare the customer agreement and applicable rules across these points before deciding where to hold stablecoins:

Question What to establish
Customer legal interest Whether tokens remain customer property and whether the contract describes custody or a debtor-creditor relationship.
Segregation and accounting Whether customer assets are separated from company assets, whether wallets are individual or omnibus, and how on-chain balances reconcile to customer ledgers.
Sub-custody Whether another firm is involved, which entity holds the assets or keys, and what disclosed terms and controls govern the relationship.
Use and encumbrances Whether assets may be lent, pledged, or reused, and whether liens, set-off rights, or other claims are permitted.
Access and withdrawal What conditions, controls, or delays may affect transfers or redemptions.
Issuer and token What reserve and redemption disclosures apply, and who is eligible to redeem directly with the issuer.
Law and supervision Which entity and jurisdiction govern the relationship, and whether relevant safeguards cover this service and asset.

Custody versus self-custody

Self-custody removes the custodian as an intermediary but does not remove issuer or redemption risk. It shifts responsibility for private-key security, backup, and recovery to you. The GENIUS Act excludes a person solely providing hardware or software to facilitate a customer’s own custody from the custody requirements described in the Act. That distinction is not a guarantee that self-custody is safer for every holder; the choice trades intermediary and account-access risks for the responsibility of securing and recovering your own keys.
