Apple did not pay $600 million in cash to buy all of Dialog Semiconductor’s power-management business. The 2018 agreement was valued at $600 million in total: $300 million in cash for technology licensing and selected asset transfers, plus a $300 million prepayment for Dialog products to be delivered over three years after closing. More than 300 Dialog employees joined Apple.
What did Apple buy from Dialog Semiconductor?
The deal, announced October 11, 2018, combined licenses to certain technologies, transfers of selected assets, and the transfer of more than 300 employees to Apple. Dialog described it as a technology-licensing and asset-transfer transaction—not a purchase of Dialog Semiconductor as a whole.
The agreement focused on power-management technology. A PMIC is a power-management integrated circuit. Dialog’s announcement also said Apple awarded it new contracts for power-management, audio-subsystem, charging, and other mixed-signal integrated-circuit development and supply.
A license was not the same as owning all the intellectual property
Dialog’s 2019 annual-report disclosure said Apple received a perpetual license over Dialog power-management intellectual property as it existed at closing, as well as an effective license over certain intellectual property as it existed at closing and was developed for at least four years afterward. Dialog also stated that legal ownership of the licensed IP rights did not transfer, although a relatively small number of patents were included among the business assets transferred to Apple. The public disclosures do not provide a complete asset or patent schedule.

Did Apple pay Dialog $600 million in cash?
No. Dialog’s announcements described two components, each valued at $300 million. The first was cash consideration for the transaction; the second was a prepayment for products Dialog would supply to Apple over the three years following closing. The full $600 million is the stated total value of the arrangement, not a cash purchase price for Dialog’s business.

When was the Apple–Dialog deal announced and closed?
- October 11, 2018: Apple and Dialog announced the agreement.
- April 8, 2019: Dialog announced that the transaction had closed after regulatory approvals and other closing conditions were met.
Did Dialog keep supplying Apple?
Yes. Dialog’s 2018 announcement said the arrangement included new contracts to develop and supply Apple with a range of mixed-signal chips. Dialog had also said in December 2017 that it remained a supplier of customized PMICs to Apple, while noting that its ongoing role depended on meeting Apple’s expectations for technology, quality, price, and volume. The deal therefore included a continuing supplier relationship rather than simply ending Dialog’s work with Apple.

The figure describes the total agreed value of a package of cash consideration and future-product prepayment. It does not mean Apple acquired Dialog Semiconductor outright or took legal ownership of every licensed technology right. Dialog CEO Jalal Bagherli said the agreement reaffirmed the companies’ long-standing relationship and reflected the value of Dialog’s business and technologies.
