What Anthropic’s Reported IPO Filing Says About Nvidia—and What It Doesn’t

Reuters’ account of Anthropic’s confidential prospectus points to major computing needs, not a verified Nvidia revenue forecast. Here’s what investors can conclude and what remains unknown.

The exact Nvidia-related quote implied by the headline has not been verified in the sources reviewed here. Reuters has reported figures from Anthropic’s confidential IPO prospectus that suggest substantial demand for computing capacity, and NVIDIA has disclosed a conditional investment agreement with Anthropic. Those facts may support a bullish Nvidia thesis, but they do not show that Anthropic’s spending will become Nvidia revenue or prove that Nvidia stock is undervalued.

Is there a verified Nvidia quote in Anthropic’s IPO prospectus?

Not in the available reporting. Reuters reported on September 29, 2026, on the contents of a confidential Anthropic prospectus, but the exact single Nvidia-related passage suggested by the headline was not identified in the reviewed sources. The full confidential prospectus was not available in the reviewed SEC record, so it would be misleading to invent a quote or present Reuters’ account as though it were a publicly accessible S-1.

Reuters did quote the prospectus describing the reach of Anthropic’s cloud partners as “market penetration at a scale we believe would be difficult for any single organization to directly replicate.” It also quoted a warning that reliance on those partners “creates complex dynamics that could give rise to conflicts of interest and adversely affect our access to compute.” These are statements about distribution and partner dependence, not a verified Nvidia-specific endorsement or purchase signal.

What the reported figures say about Anthropic’s computing needs

The figures Reuters attributed to the confidential prospectus point to fast growth alongside unusually large infrastructure needs and losses. They describe Anthropic’s reported business, not Nvidia’s sales or the share of Anthropic’s computing supplied by Nvidia.

The scale suggests long-range infrastructure plans. The reported total is not the same measure as the non-cancellable hosting and computing commitments above, and it does not establish how much will be spent on Nvidia products.

How Anthropic’s plans could support a bullish Nvidia thesis

The bullish interpretation has two parts. First, Anthropic’s reported computing commitments suggest it expects to need substantial infrastructure to train and serve its AI systems. Second, NVIDIA said in its 2026 fiscal-year proxy statement that it entered into an agreement in November 2025 to invest up to $10 billion in Anthropic. A major AI developer with large computing plans and a financial relationship with Nvidia could be viewed as evidence of continuing demand for AI infrastructure.

That is a plausible investment thesis, not a demonstrated revenue forecast. The reported commitments do not establish which companies will supply the hardware, how much capacity will use Nvidia accelerators, when equipment will be delivered, or what economics Nvidia will earn. Nor does a strategic investment by itself establish that Anthropic’s spending creates incremental Nvidia sales, profit, or cash flow.

What complicates the demand story

  • Growth has not meant profitability. Reuters’ reported figures show substantial revenue growth but also operating losses exceeding $8 billion in 2025. Investors need to assess whether growth can eventually cover compute costs and other expenses.
  • Revenue and distribution are concentrated. Reuters reported that two unnamed customers each accounted for 12% of 2025 revenue. Cloud marketplace sales through Amazon and Google represented 47% of revenue, and marketplace fees were about $351 million by Reuters’ analysis. A large customer or platform relationship can accelerate growth while making results more sensitive to partner terms and customer retention.
  • Some demand may not be contractually durable. Reuters reported that many large customers were not bound by long-term contracts. A plan for infrastructure capacity is not the same as guaranteed recurring customer demand.
  • Partner relationships cut both ways. Amazon and Google are distribution partners, computing providers and investors in Anthropic, according to Reuters’ reporting. Those overlapping roles can support Anthropic’s reach but also create competing interests and dependence on access to partner compute.
  • Government revenue is limited, but policy effects may reach further. Reuters reported that government contracts accounted for less than 1% of annual revenue. The prospectus also warned, according to Reuters, that government attitudes toward Anthropic could affect wider commercial relationships and its partners.
  • NVIDIA’s investment is not guaranteed to close as expected. NVIDIA’s proxy statement says the agreement is subject to closing conditions and cautions that there is no assurance the investment will be completed on expected terms, if at all. The filing also notes that private-company investments may be illiquid and may fail to generate a return.

Has Anthropic gone public, and can investors buy its shares?

As of October 7, 2026, the reviewed material does not establish that Anthropic has completed an IPO or that its shares trade publicly. The SEC EDGAR detail reviewed for WU Anthropic LP is a Form D dated June 1, 2026, not a public S-1 registration statement. A Form D is not evidence that a public stock offering has been priced or completed.

The Associated Press reported on June 1, 2026, that Anthropic said its confidential filing “gives us the option to go public after the SEC completes its review.” The company also said, “The proposed initial public offering will depend on market conditions and other factors.” AP reported that Anthropic had not decided the share count or price. That describes a possible future offering, not a confirmed date or terms for public investors.

What investors would need to assess before treating this as an Nvidia catalyst

Anthropic’s reported infrastructure plans are relevant to the AI demand outlook, but they are only one input in an Nvidia investment decision. To judge whether the plans could materially benefit Nvidia, investors would need evidence about supplier and accelerator mix, the timing and financing of commitments, and how much of Anthropic’s spending reaches Nvidia. They would also need to consider Anthropic’s ability to convert revenue growth into sustainable economics, customer and distribution concentration, Nvidia’s margins and cash flow, and the expectations already reflected in Nvidia’s valuation.

The available prospectus reporting does not resolve those questions. The responsible conclusion is narrower: Anthropic’s reported commitments point to significant planned computing needs, while the amount of resulting Nvidia business—and its effect on Nvidia’s stock price—remains unestablished.
