An IAG takeover of TAP Air Portugal could reshape connections between Europe, Portugal, Brazil and other Portuguese-speaking markets—but there is no IAG-TAP deal in the current privatization process, and its effects cannot yet be predicted. As of 8 October 2026, Portugal’s official record says Air France-KLM and Lufthansa were invited to negotiate final improved offers; IAG was not. A hypothetical IAG purchase would face questions about route competition, Lisbon airport capacity and whether it met Portugal’s strategic objectives.
Is IAG buying TAP Air Portugal?
No. Portugal’s 4 September 2026 resolution says Air France-KLM and Deutsche Lufthansa submitted binding offers and were invited to a three-week negotiation stage for final improved offers. The privatization process was extended through 31 December 2026. IAG was among the parties interested earlier in the process, but it is not one of the two parties invited to this final negotiation stage. The cited official record reports no completed sale. That status matters: an IAG-TAP combination is a scenario for analysis, not an announced transaction or the government’s selected outcome. The privatization plan provides for a direct sale of up to 44.9% of TAP’s shares to an investor, with up to 5% reserved for employees. Those terms do not establish that IAG would buy the whole airline or specify the ownership and control arrangements of any hypothetical transaction. Portugal’s 23 April 2026 announcement
Why would TAP matter to IAG and Europe?
TAP combines a substantial Lisbon operation with links between Europe and the Americas. In its September 2025 company overview for the reprivatization, Portugal’s public holding company Parpública described TAP as a leading operator between Europe and Brazil and said the airline deployed more than half of its available seat kilometres to the Americas. Those are claims in the seller’s transaction document, not independent current-market measurements. Parpública’s September 2025 company overview

Parpública’s overview also reported that TAP accounted for 46% of seats at Lisbon airport, based on 2024 seats. Separately, the European Commission’s 2022 restructuring decision describes TAP’s role in connecting Portugal with Portuguese-speaking countries, including Brazil and parts of Africa, and discusses its Lisbon hub-and-spoke model in relation to slot measures. That history helps explain why the airline’s network and access to Lisbon capacity are strategically important; it does not show what a future owner would do. What Portugal says it wants from a buyer
Portugal’s stated goals make the question broader than whether a buyer can add flights or combine networks. Its published privatization objectives include:
- Stronger air connectivity, including to the autonomous regions, Portuguese communities abroad and Portuguese-speaking countries.
- More national airport operations, with particular emphasis on Porto.
- Investment in TAP’s fleet and a ten-year growth plan, alongside sustainability commitments.
- Stronger Portuguese maintenance and engineering hubs.
The government says its selection criteria include price, the proposed industrial plan, connectivity and the buyer’s financial capability. Parpública’s September 2025 overview also sets out objectives to retain TAP’s brand, headquarters and management in Lisbon, support strategic routes, and sustain skilled aviation and engineering jobs. How could an IAG-TAP combination affect airlines and passengers?
The direction and scale of any effect would depend on the transaction, the routes involved, available airport capacity and any conditions imposed by regulators. The available sources do not establish route overlaps between IAG and TAP, nor do they predict fares, schedules, capacity, jobs or passenger outcomes under a hypothetical deal. Several questions would need transaction-specific answers:

- Would the networks complement or overlap? More coordinated connections could be possible where the airlines’ networks fit together. Where both provide independent choices on the same route, a merger could instead reduce the number of competing operators. Which situation applies cannot be inferred from the material available here.
- What would happen at Lisbon and Porto? Lisbon is central to TAP’s hub-and-spoke operation, while Portugal has identified Porto as a priority for expanded operations. A buyer’s plans and airport capacity would shape what expansion or network changes were feasible; the prospect of a takeover alone does not establish that either airport would gain flights or slots.
- Could connecting itineraries change? A combined network could alter how passengers connect between Portugal, Europe and markets farther afield. Whether that means more convenient choices, fewer alternatives or no material change would depend on actual route and schedule decisions.
- Would Portugal’s goals be met? A proposal would have to be assessed against the government’s connectivity, investment, industrial-plan and financial-capability criteria, not just its scale as an airline group.
What does the EU competition precedent show?
A separate IAG transaction illustrates the kinds of issues European regulators can examine, but it is not a forecast of a TAP decision. On 24 January 2024, the European Commission opened an in-depth investigation into IAG’s proposed acquisition of Air Europa. It raised preliminary concerns about certain Spanish domestic, short-haul and long-haul routes, including Madrid routes, and access to slots. The Commission said that opening the investigation did not prejudge its outcome. Air Europa’s routes and market circumstances differ from TAP’s, so the case does not establish which issues or remedies would arise in a hypothetical IAG-TAP transaction. In that release, then-competition-policy Executive Vice-President Margrethe Vestager said: “IAG and Air Europa are leading airlines in Spain and key providers of connectivity within the country and between Spain, the rest of Europe and Latin America. With our in-depth investigation, we want to make sure that the transaction does not negatively affect the prices or the quality of passenger air transport services in and out of Spain.” The statement concerned the Air Europa case, not TAP.

What would determine whether a hypothetical deal worked for Portugal?
The ownership label alone would not answer that. A meaningful comparison of potential buyers would examine how each proposal addressed:
- Connections to Portugal’s autonomous regions and Portuguese-speaking markets.
- The distinct network and capacity roles of Lisbon and Porto.
- Fleet investment and the development of maintenance and engineering activity in Portugal.
- Portugal’s stated preferences concerning TAP’s brand, Lisbon base and management.
- The buyer’s financial capability and the competition concerns raised by the specific transaction.
These are evaluation dimensions, not evidence that IAG—or any other buyer—would deliver a particular outcome. The cited sources establish neither a current IAG-TAP transaction nor its effects on competition, routes, fares, capacity, employment or passengers.
