What Airbus Acquired from Spirit AeroSystems—and What Happens Next

Airbus’s Spirit AeroSystems acquisition is complete. The selected sites and work packages are now being integrated, with the A220 ramp-up still paced by that work.

Airbus completed its acquisition of selected Spirit AeroSystems businesses on 8 December 2025. The deal brought aircraft components and work packages for the A220, A320, A321 and A350 into Airbus ownership; the next step is integrating those operations into Airbus’s production system. Airbus says that work is still pacing the A220 ramp-up, so the transaction is complete but its operational effects remain a work in progress.

What did Airbus acquire?

The transaction covered selected Spirit AeroSystems businesses whose activities were mainly tied to Spirit’s supply contracts with Airbus. Airbus’s FY 2025 financial statements list these locations and work packages:

The listed operations span seven production locations or operations across five countries or territories. The scope is limited to these selected activities; it is not an acquisition of all of Spirit AeroSystems.

When did the deal close?

Airbus says the acquisition closed on 8 December 2025 after required regulatory approvals. An earlier definitive-agreement announcement, dated 28 April 2025, had said the deal was then expected to close in the third quarter, subject to approvals and customary conditions. That was a forecast, not the outcome; the actual closing was in December.

The April 2025 agreement described a revised perimeter compared with a 2024 term sheet and said Spirit would receive $439 million, subject to closing adjustments. That figure was an agreement term, not a current estimate of the value of all acquired assets or Airbus’s integration costs. Airbus’s closing announcement and FY 2025 financial statements provide the completed transaction context.

Why did Airbus bring the work in-house?

Airbus’s stated aim was to support stable supply for its commercial-aircraft programs and create a more sustainable operational and financial path for key work packages. The rationale reflects Airbus’s view of the transaction. Its public disclosures do not, by themselves, establish that supply has since stabilized or that aircraft delivery performance has improved because of the acquisition.

What does Airbus say happens next?

The immediate task is integration: fitting the acquired work packages into Airbus’s operations while managing production rates and the balance between supply and demand. At Airbus’s 2026 annual press conference, CEO Guillaume Faury said: “The A220 ramp-up is ongoing and paced by the integration of Spirit AeroSystems work packages and the balance between supply and demand.” This is Airbus’s account of the program’s status, not an independent assessment of the sites.

Airbus has set the following production-rate targets. They are company targets, not guaranteed outcomes; Airbus has not attributed all of the broader targets specifically to the Spirit acquisition.

What do the integration cost figures mean?

Airbus has reported integration-related EBIT adjustments in two periods. These are accounting adjustments, not the deal’s purchase price and not necessarily cash outlays. They show that Airbus has recognized financial effects associated with the transaction and integration; on their own, they do not establish whether operational integration is succeeding or failing.

What is—and is not—established so far?

Airbus has disclosed the transaction’s completion, the selected operations it acquired, its supply-stability rationale, ongoing integration, production-rate targets and integration-related EBIT adjustments. The disclosures cited here do not independently verify progress at each site or demonstrate that the acquisition has already improved supply or deliveries. The clearest near-term measure Airbus has identified is whether integration advances enough to support the A220 ramp-up it has targeted.
