Western Digital Completed Its Split Into Two Public Companies: What WDC and Sandisk Shareholders Need to Know

Western Digital completed its separation on February 21, 2025: WDC retained HDDs, while Sandisk became the independent Flash company trading as SNDK.

Western Digital completed its separation into two publicly traded companies on February 21, 2025. Western Digital Corporation (Nasdaq: WDC) retained the hard-disk-drive business, while Sandisk Corporation (Nasdaq: SNDK) became the independent company for the former Flash business. Sandisk began regular-way trading on February 24, 2025.

What split, and what did each company keep?

This was a corporate separation and spin-off, not a stock split. Western Digital did not divide its shares into a larger number of shares, and shareholders did not exchange or surrender their WDC shares. Instead, the Flash business was separated into Sandisk, whose shares were distributed to eligible WDC shareholders.

Sandisk’s business includes Flash technology and products such as solid-state drives, memory cards and USB drives. An SSD is a product category that uses Flash memory; an HDD stores data magnetically. The separation assigned the former Flash business to Sandisk and left WDC focused on HDDs. WDC’s SEC filing and Sandisk’s SEC filing describe the post-separation companies.

The separation did not mean every product, customer or brand relationship changed overnight. The businesses’ formal ownership changed, while product, channel, support and other arrangements could continue through the transition.

When was the separation announced and completed?

  1. October 30, 2023: Western Digital’s board authorized a plan to separate its HDD and Flash businesses into two independent public companies.
  2. February 5, 2024: Western Digital incorporated Sandisk Corporation as the entity intended to hold the Flash business.
  3. January 25, 2025: WDC’s board approved the distribution terms, including the one-for-three share ratio.
  4. February 21, 2025: The separation and distribution became effective.
  5. February 24, 2025: Sandisk began regular-way trading on Nasdaq under SNDK.

The dates and transaction details are set out in the companies’ SEC filing and Sandisk SEC filing. Older coverage describing the separation as planned refers to the period before completion.

What did WDC shareholders receive?

Under the distribution terms, eligible WDC shareholders received one Sandisk share for every three WDC shares they held. They kept their WDC shares and did not have to pay for or exchange them to receive the distribution. Fractional Sandisk shares were not delivered; cash was paid in lieu of fractional shares.

  • 3 WDC shares resulted in 1 SNDK share.
  • 30 WDC shares resulted in 10 SNDK shares.
  • 10 WDC shares represented 3⅓ SNDK shares under the ratio; the fractional portion was settled in cash rather than delivered as a fractional share.

Check your brokerage account for the final allocation and cash-in-lieu entry, and use your broker’s tax records for your account’s reported cost basis and distribution details. Account records and tax reporting, rather than a simple calculation from the ratio, determine what was actually posted to an individual account.

Why did Western Digital separate the businesses?

Western Digital presented the transaction as a way to give each business greater focus. Management’s stated rationale was that separate companies could pursue distinct product and technology roadmaps, serve different market dynamics, set their own capital-allocation priorities and be evaluated independently by investors. These were objectives, not guaranteed outcomes.

Separation also brings costs and risks that a combined company did not face in the same way. Two stand-alone companies may have duplicated corporate expenses, transitional arrangements, stranded costs and more complex supplier or manufacturing relationships. Each is also more exposed to the cycles and competitive pressures of its own core business.

What were the financial mechanics?

Western Digital distributed 80.1% of Sandisk to its shareholders and initially retained 19.9%. Sandisk also paid WDC approximately $1.5 billion and incurred $2.0 billion of principal under a Term Loan B facility in connection with the separation. Those transactions mean the spin-off was more than a change of name: it established Sandisk with its own financing obligations, while WDC retained an equity interest for a time.

In June 2025, WDC exchanged approximately 21.3 million Sandisk shares in a transaction tied to reducing approximately $800 million of WDC term-loan principal. The companies’ filings describe these figures and the separation’s ownership and financing terms: Sandisk’s SEC filing and WDC’s SEC filing.

Operational independence, separate public trading and WDC’s ownership stake are distinct questions. Sandisk became an independent public company even though WDC initially retained shares; that retained interest and subsequent share exchange did not make the two operating businesses one company again.

How should investors compare the two companies?

The distribution gave former WDC shareholders two different securities to assess, not an automatic gain. A shareholder’s resulting position consisted of WDC, the distributed SNDK shares and any cash paid for a fractional share. Whether that combination suits an investor depends on their goals, portfolio and view of each business; selling one security is an allocation decision.

What to watch at WDC

  • Demand for HDDs, including demand tied to cloud and data-center spending.
  • Customer concentration, supplier dependence and the economics of HDD technology transitions.
  • Margins, debt and management’s capital-allocation choices.
  • Risks cited by WDC, including competition, demand volatility, tariffs, cybersecurity and geopolitical conditions. See the company’s fiscal first-quarter 2026 financial release.

What to watch at Sandisk

  • NAND pricing, average selling prices, inventory cycles and manufacturing economics.
  • Technology transitions and competition in Flash products.
  • Its strategic relationship with Kioxia, debt and ability to manage financing costs.
  • Risks including supply disruptions, customer concentration, product defects, trade policy and intellectual-property issues. See Sandisk’s fiscal second-quarter 2026 financial release.

Do not compare WDC’s pre-separation share price directly with its post-separation price as though nothing had been distributed. The pre-separation price reflected a company that included both businesses; afterward, shareholders separately held WDC and the distributed SNDK shares. The legal effective date, distribution and first regular-way trading date are also different events. No current stock price is included here.

Why are WDC’s older financial results hard to compare?

Before the separation, Western Digital’s reported business included both HDD and Flash. Afterward, its continuing business is primarily the HDD operation, and WDC no longer consolidates Sandisk. WDC’s filing presents historical Sandisk results as discontinued operations for periods before the separation.

As a result, comparing pre-separation WDC revenue or earnings with post-separation WDC figures without accounting for the Flash business can give a misleading impression of growth or decline. Use continuing-operations presentations and note whether a period includes the former Flash business when reviewing financial statements.

What should shareholders know about taxes and brokerage records?

The separation was intended to qualify as tax-free for U.S. federal income-tax purposes, but that wording is not a guarantee that every shareholder or every related transaction has a tax-free result. Individual treatment can depend on the account, circumstances and applicable tax rules.

For your records, look for the broker’s allocation of cost basis between WDC and SNDK, the value assigned to the distributed shares, any cash-in-lieu amount and applicable Form 1099 information. Consult a qualified tax professional about your own circumstances rather than relying on a general description of the transaction.
