Video Game Juggernaut Electronic Arts Gets Acquired for $55 Billion

Electronic Arts is now privately held after a consortium led by Saudi Arabia’s PIF completed its acquisition. Here is what the $55 billion valuation, $210-per-share payout and reported $18 billion debt mean for investors.

Electronic Arts was not merely “bought for $55 billion” in a cash handout to shareholders. The transaction announced on September 29, 2025, was a leveraged buyout led by Saudi Arabia’s Public Investment Fund (PIF), alongside Silver Lake and Affinity Partners. It valued EA at approximately $55 billion on an enterprise-value basis, while the agreed payment to shareholders was $210 per share in cash.

The merger received shareholder approval on December 22, 2025, and closed on August 4, 2026. EA is now privately held and no longer trades on Nasdaq. For investors, the practical result is that EA shares were converted under the merger terms rather than remaining available for public-market trading.

What happened to Electronic Arts?

EA agreed to be acquired by a consortium made up of:

  • Saudi Arabia’s Public Investment Fund: the consortium’s lead investor;
  • Silver Lake: a large private-equity and technology investment firm; and
  • Affinity Partners: the investment firm led by Jared Kushner.

The agreement called for EA shareholders to receive $210 per share in cash, without interest, subject to the merger’s conditions. After the transaction closed on August 4, 2026, EA became a privately held company and its publicly traded Nasdaq listing ended.

The original “gets acquired” wording described the announcement in 2025. The accurate current description is that EA has completed a roughly $55 billion go-private transaction.

What does the $55 billion figure mean?

The headline number refers to EA’s approximate enterprise value, not necessarily the amount paid directly to shareholders.

Enterprise value is a measure of the value assigned to the operating business. It generally reflects the value of the equity plus debt and other financing considerations, less certain cash balances. In an acquisition, it can therefore be substantially different from the cheque received by existing shareholders.

That distinction matters. Saying “EA was bought for $55 billion” is a useful shorthand, but it can imply that $55 billion went directly to people who owned EA stock. It did not. The consideration for each share was $210, while the enterprise-value figure incorporates the deal’s broader capital structure.

Why is this called a leveraged buyout?

A leveraged buyout, or LBO, uses borrowed money to help finance the purchase of a company. The acquired business typically becomes responsible for servicing that debt after the transaction closes.

Reports indicate that EA took on approximately $18 billion in debt as part of the financing. That creates a different financial profile from an all-cash purchase funded entirely by the buyers’ equity.

  • principal repayments or refinancing;
  • game development and marketing;
  • employee compensation and operating costs; and
  • investment in franchises, technology and live services.

Debt does not automatically mean the company will struggle. It does mean that more of the company’s cash flow may be committed before owners can reinvest it or take distributions. If a major game release underperforms, recurring-player revenue weakens or development costs rise, that financial leverage can make the consequences more severe.

What happened to EA shareholders?

Before the closing, EA was a public company whose shares traded on Nasdaq. Under the merger terms, shareholders were entitled to receive $210 in cash for each eligible share, subject to the transaction documents and closing conditions.

Once the merger closed, EA shares were no longer a continuing public-market investment. Former shareholders generally could not simply keep trading EA stock as they had before. Instead, the transaction converted their shares into the agreed cash consideration, with the exact treatment depending on the holder’s account and the merger process.

Investors who received cash should review their brokerage records and tax documents. A cash acquisition can create a taxable capital gain or loss based on the difference between the shareholder’s tax basis and the amount received. The tax result may also depend on holding period, account type and jurisdiction. A taxable brokerage account, traditional IRA and Roth IRA can each produce different reporting consequences.

Does this mean Saudi Arabia bought EA outright?

No. PIF was the lead member of the buying group, but it was not the only buyer. Silver Lake and Affinity Partners were also part of the consortium.

That distinction is important when assessing ownership, financing and responsibility. The transaction was a consortium acquisition rather than a purchase made solely by the Saudi government’s investment fund. PIF’s role nevertheless makes the deal part of Saudi Arabia’s wider effort to invest in the global gaming industry.

Why would investors agree to the deal?

A proposed cash price gives public shareholders a defined exit value. Instead of continuing to bear the risk that EA’s share price could fall, investors who accepted the merger consideration received cash tied to the agreed $210-per-share price.

That certainty comes with a trade-off: shareholders no longer participate directly in any future upside from EA’s franchises after the company goes private. If the private owners substantially increase the company’s value, former public shareholders generally do not benefit unless they retained some separate economic interest.

Shareholders also faced the usual merger risks before closing, including regulatory review, financing conditions and the possibility that the transaction could be delayed or fail. Approval at the December 22, 2025 special meeting removed one major condition, but closing still depended on the remaining requirements being satisfied.

What could the deal mean for EA’s games and workers?

The new owners inherit a company built around major franchises and recurring revenue from games, downloadable content, subscriptions and other live services. EA’s best-known properties include EA Sports FC, Madden NFL, The Sims, Battlefield and Apex Legends.

Private ownership can give management more freedom from quarterly public-market pressure. It can also bring pressure to improve margins and produce cash for a highly leveraged capital structure. That combination may influence hiring, studio budgets, release schedules, project cancellations and the use of recurring in-game revenue.

It is too early to treat any individual prediction about layoffs, game quality or franchise strategy as a confirmed outcome. The defensible financial point is narrower: taking on substantial debt increases the importance of dependable cash flow and disciplined spending.

What should investors do now?

  1. Check the transaction credit. Confirm how many EA shares were converted and the gross cash amount recorded by your broker.
  2. Compare proceeds with your cost basis. This helps identify a possible capital gain or loss in a taxable account.
  3. Keep the merger and tax documents. The broker’s year-end tax form may not tell the entire story if basis information is incomplete.
  4. Do not treat the $55 billion headline as your payment amount. Use the number of eligible shares multiplied by $210 as the starting point for the stated cash consideration, then check the account records.
  5. Reassess your portfolio. If EA represented a meaningful position, the cash proceeds may have changed your asset allocation and concentration risk.

Investors should consult a tax professional for advice about their own basis, holding period and account type. The merger itself does not make every shareholder’s tax result identical.
