Vertex announced the agreement in April 2024 and reported that the acquisition closed on May 20, 2024, so “will buy” describes a historical headline, not a pending deal. The $4.9 billion figure is one of several measures Vertex reported, and the differences between them matter if you are reading the deal for its financial meaning.
How the deal unfolded
- April 10, 2024: Vertex announced a definitive agreement to acquire Alpine for $65 per share in cash, in a transaction valued at approximately $4.9 billion in equity value. Vertex’s announcement is the primary source for these terms.
- May 20, 2024: Vertex’s Form 8-K reported completion of the acquisition, with equity value of approximately $5.0 billion. Alpine became a wholly owned Vertex subsidiary.
- 2025 annual report: Vertex’s 2025 Annual Report states that Vertex paid $5.0 billion in cash at acquisition, including $4.8 billion to acquire Alpine and $197.6 million for cash-settled unvested Alpine equity awards.
Why the headline number differs from other figures
Each figure below is accurate for what it measures. None of them is a correction of another.

The practical reading: $65 per share is the price Alpine holders were offered. The $4.9 billion headline is the announced equity value. The later figures reflect completion and accounting detail, including equity awards settled in cash, so they should not be swapped for the headline number without noting what they measure.
What Vertex bought
Alpine was a clinical-stage biotechnology company focused on protein-based immunotherapies. Vertex said the deal would add Alpine’s protein engineering and immunotherapy expertise to its own capabilities and bring its lead candidate, povetacicept, into Vertex’s portfolio. Those were company expectations at the time of the announcement, not evidence of efficacy or regulatory approval. The filings cited here do not describe Alpine’s headquarters, so this article does not evaluate the “Seattle” label in the headline.

How povetacicept works
Vertex’s 2025 Annual Report describes povetacicept as a dual inhibitor of the B-cell activating factor (BAFF) and a proliferation-inducing ligand (APRIL) pathways. Both pathways are involved in the immune activity that Vertex is targeting in IgA nephropathy.
Development stage and other kidney indications
- At acquisition: Vertex said povetacicept was in Phase 2 development in May 2024 and had shown potential efficacy in IgA nephropathy.
- Later indications: Vertex’s 2025 Form 10-K discusses potential in primary membranous nephropathy and lupus nephritis. These are development possibilities, not approved uses.
- Timing: Phase 3 timing given in April 2024 was a forward-looking expectation. The filings reviewed do not establish the candidate’s development stage as of October 2026, so treat the 2024 timing as historical, not as a current forecast. Check a clinical-trial registry for current status.
The 2024 IgA nephropathy estimate
In its April 2024 announcement, Vertex said IgA nephropathy affected approximately 130,000 people in the United States and that no approved therapies targeted the disease’s underlying cause at that time. These are Vertex’s 2024 statements, not a current prevalence count or treatment guidance. Vertex’s April 10, 2024 announcement is the source for both.

What the cash price meant for Alpine shareholders
A cash offer fixes what a shareholder receives at closing. Holders of Alpine stock were paid $65 per share in cash, so their outcome was set by the price rather than by any later trial result or regulatory decision. Vertex, as the buyer, took on the risk that povetacicept’s development would not meet expectations. For a personal investor, this is the main lesson of a cash acquisition: the seller’s payout is known, while the buyer’s return depends on what happens next.

- Check the announcement date and the closing date. A headline in the present tense may describe a deal that has already closed.
- Identify the measure. A per-share price, an equity value, a value net of cash, and a cash-paid total are different numbers.
- Look for cash-settled equity awards, which can make the cash paid differ from the headline value.
- Treat pipeline timing and efficacy claims in announcements as dated company expectations, and look for the most recent filing before relying on them.
- Use Vertex’s April 10, 2024 acquisition call transcript for the original management statements in context.
Vertex’s CEO, Reshma Kewalramani, described the deal on the April 10, 2024 call as follows: “We are very pleased to announce that we’ve entered into a definitive agreement to acquire Alpine Immune Sciences for $65 per share in cash in a transaction valued at approximately $4.9 billion.” That statement reflects the terms as of the announcement date.
