UPL announced on 1 February 2019 that it had completed its acquisition of Arysta LifeScience from Platform Specialty Products for US$4.2 billion. The seller reported that the transaction closed on 31 January 2019, so the closing date and the buyer’s announcement date are distinct.
When did UPL acquire Arysta LifeScience?
The parties announced the agreement in July 2018. Platform Specialty Products reported the sale had closed on 31 January 2019; UPL Limited published its completion announcement the following day, 1 February 2019. These dates refer to different milestones, not conflicting accounts of the closing.
How much did UPL pay?
The announced transaction value was US$4.2 billion. The July 2018 agreement described the sale as a cash transaction subject to customary closing conditions, adjustments and regulatory approvals. The completion announcements confirm the transaction closed at the announced price; they do not establish any later accounting adjustments.
What business did UPL acquire?
Platform described the divested Agricultural Solutions business as Arysta LifeScience Inc. and its subsidiaries. In its July 2018 announcement, UPL characterized Arysta as a global provider of crop-protection solutions, including BioSolutions and seed treatment. Those descriptions reflect the companies’ statements at the time of the transaction, not a guide to current product ownership or availability.

What did UPL say the deal meant for the company?
UPL said the acquisition broadened its agricultural portfolio and strengthened its position in agricultural solutions. Its 2019 completion announcement also put the combined companies’ sales at approximately US$5 billion and EBITDA at around US$1 billion. These were UPL’s announcement-time estimates, not independently verified or audited figures established here.
UPL launched its OpenAg purpose alongside the completion announcement. CEO Jai Shroff said, “Through our purpose of OpenAg, we aim to transform agriculture by creating an open agriculture network that feeds sustainable growth for all.” This was the company’s stated ambition, not evidence that the intended outcomes had been achieved.

Why might the seller appear under two names?
Platform Specialty Products said the closing marked a new chapter for the company and that it changed its name to Element Solutions Inc. in connection with the transaction. Platform and Element Solutions therefore refer to the seller before and after that corporate name change; UPL remained the buyer.
