United Airlines held a 5.9% equity stake in Republic Airways Holdings after Republic and Mesa Air Group completed their merger on November 25, 2025. The shares were issued to United in full and final satisfaction of Mesa Parent’s outstanding liabilities at closing. That ownership stake is separate from the 10-year capacity purchase agreement under which Mesa flying supports United.
What changed in the Republic–Mesa merger
Republic Airways Holdings and Mesa Air Group announced an all-stock combination on April 7, 2025. The transaction closed on November 25, 2025. The closing filing says Legacy Republic merged into Mesa, with Mesa’s legal entity surviving; later company materials refer to the combined business as Republic Airways Holdings Inc. (SEC Form 8-K, November 25, 2025; merger announcement exhibit).
The companies projected at announcement that the combined airline would have approximately 310 Embraer 170/175 aircraft and more than 1,250 daily departures. Those were forward-looking scale estimates announced in 2025, not a verified current fleet count or schedule. (Republic Airways and Mesa Air Group, April 7, 2025.)
Who owns the combined company
Republic Airways Holdings’ 2026 annual report gives the final allocation after escrow shares were distributed. It reports 88.1% for pre-merger Republic shareholders, 6.0% for pre-merger Mesa Parent shareholders, and 5.9% for United Airlines. The report says United’s shares were issued in full and final satisfaction of Mesa Parent’s outstanding liabilities at merger closing. (Republic Airways Holdings, 2026 annual report.)

The final Mesa Parent allocation is 6.0%. An earlier announcement described a contingent range of 6% to 12%, subject to closing conditions; that range should not be mistaken for the final allocation reported after closing.
United’s ownership stake is not the same as its operating contract
United’s 5.9% is an equity interest in the combined company. Separately, the merger announcement said Mesa would support United flying under a new 10-year capacity purchase agreement. A capacity purchase agreement governs contracted airline operations; it does not describe the size of United’s ownership stake. The announced term and relationship appear in the companies’ 2025 announcement and its transaction exhibit (announcement; SEC merger exhibit).

Timeline: announcement, closing, final allocation
- April 7, 2025: Republic and Mesa announced the all-stock combination, the proposed 10-year capacity purchase agreement for Mesa flying supporting United, and projected combined scale.
- November 25, 2025: The merger closed, with Mesa’s legal entity surviving the merger.
- 2026 annual report: Republic reported the final escrow-share allocation, including United’s 5.9% stake and the 6.0% Mesa Parent stake.
