Why did Ultra Safe Nuclear file for bankruptcy?
USNC and named subsidiaries filed voluntary Chapter 11 petitions in the U.S. Bankruptcy Court for the District of Delaware on October 29, 2024. In its announcement, the company said it intended to seek a sale under Section 363 of the U.S. Bankruptcy Code and planned to continue operating during the process, subject to court approval of requested motions and financing. That was the company’s stated plan, not confirmation that every operation continued without interruption. USNC’s announcement
Chapter 11 provides a court-supervised restructuring process in which a debtor can seek approval to sell assets. Here, the filing was part of the sale process: it created a path to auction and transfer particular assets under court oversight. The filing itself did not mean the whole company had been sold.

What did Nano Nuclear buy—and what did it not buy?
The completed transaction was an asset purchase, not a purchase of USNC as an entire corporate entity. Nano’s SEC filing describes assets associated with USNC’s MMR Energy System and Pylon Transportable Reactor Platform businesses. They included certain contracts, intellectual property rights, demonstration-project rights and equity interests in non-U.S. entities. The disclosed cash price was $8.5 million for those specified assets; it should not be read as a valuation of all of USNC or as a measure of the broader nuclear industry. The filing separately described Nano as a backup bidder for other assets, including the fuel business and EmberCore and Nuclear Thermal Propulsion technologies, under stated contingencies. Those assets are distinct from the assets in the completed $8.5 million transaction; the backup-bidder status does not establish that Nano acquired them in that sale.

The bankruptcy process did not end with the January closing. A liquidation plan was confirmed on April 10, 2025, and took effect April 14, according to a later SEC-filed purchase agreement. That agreement says assets were transferred to a liquidating trust. Nano Nuclear SEC filing

On August 14, 2025, the liquidating trust, Global First Power Limited, Nano Nuclear and Nano subsidiary Kronos MMR entered into another purchase agreement. It covered interests in Global First Power and rights related to the Canadian Nuclear Safety Commission license application for the Chalk River project. The agreement establishes that the parties signed a contract; the available filing does not establish that this later transaction closed. Nano Nuclear SEC filing

What the bankruptcy means for the sale’s scope
- Filing: USNC entered Chapter 11 to pursue a court-supervised sale, according to the company.
- Completed transaction: Nano Nuclear bought specified assets relating to the MMR and Pylon businesses, not the entire company.
- Later process: USNC’s liquidation plan became effective in April 2025, and an August agreement involving Global First Power is documented, but its closing is not established by that agreement.
