Ubisoft completed Tencent’s €1.16 billion investment in Vantage Studios on November 21, 2025. Ubisoft reported that Tencent received a 26.32% economic interest in the subsidiary, which is built around Assassin’s Creed, Far Cry, and Tom Clancy’s Rainbow Six. The franchises were not sold outright: Ubisoft said it retained exclusive control of Vantage and continued to consolidate it.
What changed between the announcement and closing?
Ubisoft first announced the transaction on March 27, 2025, as a binding agreement to create a subsidiary and bring in Tencent as a minority investor. At that stage, Ubisoft described Tencent’s planned investment as approximately 25% and said it was subject to completion of the carve-out, regulatory clearances, and other conditions. Vantage Studios launched on October 1, and the investment closed on November 21, 2025.

The figures are Ubisoft’s reported deal terms. The title’s “$4 billion” and “25 percent” reflect the announcement-stage shorthand, not the closing figures: the valuation was denominated in euros, and Ubisoft reported a more precise final interest at closing. Neither valuation is a post-money equity valuation. Ubisoft’s March announcement and closing announcement give the respective terms.
Which games and rights are part of Vantage?
Vantage Studios is built around three major franchises: Assassin’s Creed, Far Cry, and Tom Clancy’s Rainbow Six. The carve-out encompasses teams developing those franchises in Montréal, Quebec, Sherbrooke, Saguenay, Barcelona, and Sofia, along with the franchises’ back catalog and games in development or to be developed.

Ubisoft said Vantage would receive a worldwide, exclusive, irrevocable, perpetual license to related Ubisoft intellectual property in exchange for a royalty. That arrangement puts franchise-related development and rights within the subsidiary’s operating scope; it is not an outright transfer of ownership of Ubisoft’s underlying intellectual property. Ubisoft’s transaction announcement describes the scope, while its October launch announcement calls Vantage a “creative house” responsible for developing and expanding the brands.
Who was named to lead it at launch?
At Vantage’s October 2025 launch, Ubisoft named Charlie Guillemot and Christophe Derennes as co-CEOs. Ubisoft said the teams came from its studios in the six listed locations. Those are launch details; the cited announcements do not establish whether leadership or organization changed afterward.

Does Tencent control Assassin’s Creed or Ubisoft?
No. Tencent acquired a minority interest in Vantage, not control of Ubisoft or the franchises. Ubisoft reported that Vantage remained exclusively controlled and consolidated by Ubisoft. Its shareholder-agreement disclosure says Tencent subscribed for new ordinary shares representing 26.32% of Vantage’s share capital and voting rights, while Ubisoft held 73.68%.
Tencent did receive contractual protections. Ubisoft’s closing announcement reports customary minority-protection veto rights and certain consent rights over disposals of important Vantage assets. The shareholder-agreement disclosure details additional transfer and change-of-control provisions. These rights give Tencent protections as an investor, but they do not amount to control of Vantage.

Key governance and transfer terms
- Tencent’s Vantage securities are subject to a five-year lock-up, unless Ubisoft ceases to own a majority of Vantage’s voting rights and share capital.
- Ubisoft agreed not to cease holding a majority for two years.
- If Ubisoft intends to transfer Vantage shares, Tencent has a right of first offer. After the lock-up, Ubisoft has a right of first refusal if Tencent seeks to transfer shares.
- Tencent has tag-along rights in specified circumstances. Ubisoft has drag-along rights subject to conditions, including an offer for at least 80% of Vantage securities.
- The agreement also describes conditional call and put options connected to a board-approved change of control of Ubisoft.
These terms are set out in Ubisoft’s shareholder-agreement disclosure and its closing announcement.
Why did Ubisoft bring in Tencent?
Ubisoft said it intended to use the proceeds to reduce consolidated net debt, support selected investments across the group, and provide financial flexibility for its strategic transformation. It also presented Vantage as a way to focus investment and creative capacity on the three franchises. Those are Ubisoft’s stated aims; the transaction disclosures do not establish later financial or creative results.

Ubisoft CEO Yves Guillemot described Tencent as a minority shareholder in Vantage after closing. Tencent President Martin Lau said the investment built on the companies’ existing relationship. The statements appeared in Ubisoft’s November 21, 2025 closing release.

For players, the transaction places development and expansion of three Ubisoft franchises within a dedicated subsidiary, but Ubisoft’s disclosures do not announce a change in game ownership, player access, or franchise sales as a result of the investment. For investors, the central distinction is between Tencent’s economic stake and Ubisoft’s retained control: Tencent owns a substantial minority interest in Vantage, while Ubisoft says it remains the controlling and consolidating parent.
