Turo Filed for a Proposed IPO, Then Withdrew Its Registration

Turo’s proposed 2022 IPO did not become a completed listing under that registration. The company filed to withdraw the registration statement in 2025.

Turo publicly filed paperwork for a proposed initial public offering on January 10, 2022. It did not become a completed IPO under that registration: on February 13, 2025, the company filed a request to withdraw it. The filing story is therefore about a proposed offering that was later withdrawn, not shares that went public.

What Turo filed—and what happened next

Turo operates a peer-to-peer car-sharing marketplace: vehicle owners list cars, and customers book them through the service. On January 10, 2022, Turo announced that it had publicly filed a registration statement for a proposed IPO. Its announcement described a proposed offering, not a completed stock-market listing. Turo’s announcement and TechCrunch’s contemporaneous report establish the original filing context.

A Form S-1 is a registration statement used for a proposed securities offering. Turo amended its S-1 over time, but the transaction continued to be described as proposed. The SEC’s filing index records Turo’s February 13, 2025 Form RW, a request to withdraw registration statement No. 333-262088. Turo’s IPO filing timeline

  • August 9, 2021: Turo’s press archive lists its announcement of a confidential submission of a draft registration statement for a proposed IPO.
  • January 10, 2022: Turo announced the public filing of its registration statement for a proposed IPO.
  • August 8, 2024: Turo filed Amendment No. 11 to its S-1. The amendment still described a proposed offering subject to completion. SEC filing
  • November 14, 2024: The SEC index records a further S-1/A amendment.
  • February 13, 2025: Turo filed Form RW requesting withdrawal of the registration statement.

What the 2022 filing said about Turo’s business

The numbers reported when Turo filed publicly are historical snapshots, not current performance figures. TechCrunch’s 2022 report on the S-1 said Turo had 85,000 active hosts and 160,000 active vehicle listings across more than 7,500 cities as of September 30, 2021. The same report gave the following financial figures from the filing:

These periods are not directly comparable: the 2020 figures cover a full year, while the 2021 figures cover nine months. They describe Turo’s reported results at the time of the proposed IPO, not later or current results. TechCrunch, January 10, 2022

Why there is no IPO price or ticker to report

The January 2022 S-1 described a proposed offering and, according to TechCrunch, did not include offering terms. The withdrawal means the filing did not establish an IPO price, ticker, or proceeds for a completed offering. No future IPO plan is established by the cited filing records, so the withdrawal should not be read as evidence either that Turo will or will not pursue a different offering later.
