Trump Media & Technology Group, Truth Social’s parent, became publicly traded through its March 2024 merger with Digital World Acquisition Corp. The roughly $3 billion attributed to Donald Trump at the time was an estimate of the market value of his reported shares—not cash he received. It is a historical figure, not a current valuation of his stake.
Did Truth Social go public?
Not as a separate company in the 2024 transaction. Shareholders of Digital World Acquisition Corp. approved its merger with Trump Media & Technology Group, the company that owns Truth Social. Trump Media’s 2024 Form 10-K lists its common stock under the Nasdaq ticker DJT: Trump Media’s 2024 Form 10-K.
So the accurate shorthand is that Truth Social’s parent went public. Owning shares of DJT is not the same as owning separately listed Truth Social shares.
What did the $3 billion figure mean?
A March 23, 2024 CNN transcript put Trump’s merger-era stake at roughly 79 million shares and valued it at about $3 billion using the share price then prevailing: CNN’s March 23, 2024 transcript. The figure was a paper market-value estimate—the share count multiplied by a quoted price—not a payment of $3 billion to Trump.

Market value does not guarantee that a shareholder can sell the full holding at that price or receive that amount. The 2024 report said the shares were subject to a lock-up of at least six months, with a possible board exception. A sale after a restriction ends would still depend on the market price at that time and on the terms that apply.
Possible earnout shares
The same CNN transcript reported that Trump could receive an additional 40 million shares if a specified trading-price condition was met. That was a conditional earnout, not part of the roughly 79 million shares already included in the reported estimate. Neither the earnout nor the original estimate establishes his current share count, ability to sell, or stake value.
Is Truth Social a separate public company now?
The reviewed 2026 materials do not establish that it is. In August 2026, Trump Media said it was pursuing a proposed merger with TAE Technologies, subject to customary regulatory and closing conditions. A September 2026 SEC registration filing discussed a possible later spin-off of media assets, including Truth Social, into a separately traded entity after the TAE transaction. Trump Media’s August 2026 release reported Q2 revenue of $1.7 million and a net loss of $238.1 million. The company said much of the loss reflected non-cash changes in the value of digital assets and equity securities. Launched August 1, 2026, the service offers licensed, low-latency access to public posts from selected high-profile Truth Social accounts. Revenue and share value answer different questions. A market price can change based on investor expectations and other factors; it does not show how much cash the company earns, nor how much a particular shareholder can realize. The reported Q2 figures provide company context, but do not calculate Trump’s current stake value.
