President Donald Trump signed Executive Order 14352, “Saving TikTok While Protecting National Security,” on September 25, 2025. It recognized a proposed U.S.-controlled restructuring of TikTok as a “qualified divestiture” and directed the Justice Department not to enforce the federal TikTok law for 120 days while the arrangement was implemented. The order created a legal path for TikTok to keep operating in the United States; it did not, by itself, prove that a sale had closed.
What the order did at a glance
- Recognized a proposed framework: The White House determined that the planned restructuring could meet the law’s qualified-divestiture standard.
- Set out a U.S.-controlled structure: The proposed U.S. joint venture would be majority-owned and controlled by U.S. persons, with ByteDance and its affiliates holding less than 20% under the administration’s description.
- Addressed technical and security controls: The framework covered the U.S. operation’s algorithm, source code, content moderation, data handling, software updates, and monitoring.
- Paused enforcement: The order directed the attorney general not to enforce the relevant law for 120 days, allowing time for the proposed divestiture to be completed.
- Did not establish closing: The order referred to a proposed framework and contemplated later implementation agreements. Approval of that framework was not the same as proof that the transaction had been completed.

Why TikTok faced a U.S. ban
The underlying law is the Protecting Americans from Foreign Adversary Controlled Applications Act, enacted as Division H of Public Law 118-50. The covered prohibitions took effect on January 19, 2025, according to the executive order. The law restricts certain services from distributing, maintaining, updating, or hosting applications controlled by a foreign adversary unless a qualifying divestiture occurs.
That legal test was broader than whether TikTok had U.S. users or U.S. employees. It focused on who controlled the application and whether a foreign adversary could retain an operational relationship with it, including through cooperation on recommendation algorithms or data sharing. A transaction therefore had to address ownership and practical control of the service’s technology and information, not just its corporate address.

How the proposed U.S. structure was supposed to work
The administration described a new U.S.-based joint venture that would operate TikTok’s U.S. application. Its proposed governance and security arrangements went beyond setting a maximum ByteDance stake.

These were descriptions of the proposed framework, not proof that every governance arrangement had taken effect. The White House summarized the ownership, board, Oracle, and application provisions in its September 2025 fact sheet.
What the algorithm provisions meant—and what they did not establish
The proposed arrangement placed operation of the U.S. algorithm and source code under the joint venture’s control. It also called for recommendation models using U.S. user data to be retrained and monitored by trusted U.S. security partners, with software updates, algorithms, and data flows subject to monitoring. The White House said the new entity would control content-moderation decisions.

That is not the same as establishing that the entire global TikTok algorithm was sold or transferred. The order described a control and governance framework for the U.S. operation. At the signing event, officials discussed the algorithm, but the precise technical and contractual relationship remained a consequential question. Contemporary coverage likewise raised questions about whether the system would continue to be licensed or otherwise connected to China. For users and creators, implementation details would matter: whether the U.S. recommendation model was separate, what data it used, how updates were approved, and whether changes affected recommendations, moderation, or reach. The order did not settle those product-level questions in public.
How U.S. data protections fit into the proposal
The framework called for sensitive U.S. user data to be stored in a trusted U.S.-based cloud environment run by Oracle, alongside monitoring of data flows and software updates. Those measures were intended to prevent the data from remaining under foreign-adversary control.
Data security is not only a question of where information is stored. It also depends on who can access it, who controls encryption keys and administrator accounts, who can alter code or updates, and whether vendors, support teams, or backup systems create cross-border access paths. A U.S.-based cloud environment can address storage location, but it is only one part of a wider package involving corporate governance, technical control, and monitoring. The order described that package; it did not establish that every operational safeguard had already been implemented.

What the 120-day pause changed
The executive order directed the attorney general not to enforce the act for 120 days from the order. It also instructed the Justice Department not to impose penalties during the specified period and provided protection for covered providers for specified past conduct. This was more than a statement that the deadline had moved: it was a temporary federal non-enforcement direction intended to give the proposed transaction time to proceed.
The statute remained the legal backdrop. The order did not repeal it or permanently exempt TikTok from it. The proposed divestiture still depended on implementation agreements and compliance with the conditions that made it qualify under the law. Contemporary reporting identified Oracle, Silver Lake, and Abu Dhabi-based MGX as proposed investors. The complete ownership table and final governance rights were not established in the publicly described order, so those names and any reported percentages should be treated as reported transaction terms rather than settled closing facts. A Techmeme summary of September 25 coverage linked reporting on the investor group.
Vice President JD Vance described the proposed U.S. business as having an approximate $14 billion valuation. That was a deal-related estimate reported in officials’ remarks, not proof of a final purchase price, equity value, or independently audited valuation. TechCrunch’s contemporaneous report characterized the transaction as a proposed framework and noted that ByteDance had not publicly acknowledged all of its details at the time.

What Trump said about China’s role
Trump said he had spoken with Chinese President Xi Jinping and that Xi had given the proposed deal a go-ahead. That is Trump’s account at the signing event; it should not be read as independent confirmation that China formally approved every final transaction term. What remained unresolved for users, creators, and advertisers
The order’s immediate aim was continuity: keep TikTok available while the proposed restructuring was implemented. The White House said the service had about 170 million U.S. users; that was the administration’s figure, not a current independent user count. The order did not announce a new consumer app, login system, or immediate interface changes.
Any later change would depend on how the transaction and its controls were implemented. For users, creators, small businesses, and advertisers, the material questions include whether recommendations, moderation, monetization, advertising products, privacy disclosures, or data-governance practices would change. The order itself did not specify a user-facing redesign or promise that those business and product policies would remain unchanged.
