The $1.5 billion figure was not a cash raise by World Liberty Financial (WLFI). Nasdaq-listed ALT5 Sigma Corporation announced an offering expected to generate approximately $1.5 billion in gross proceeds before fees and expenses, alongside a private placement in which WLFI contributed tokens as consideration. ALT5 said it would use net proceeds for WLFI purchases and treasury operations, as well as other corporate purposes. Its later SEC filing says the treasury program began in August 2025; the latest dated holding and fair-value figures established here are from March 28, 2026.
What the $1.5 billion announcement actually covered
On August 11, 2025, ALT5 Sigma said it had entered into agreements for two related financings: a registered direct offering and a concurrent private placement. Each covered up to 100 million common shares or equivalents at $7.50 per share. ALT5 expected approximately $1.5 billion in gross proceeds across the two parts, before placement fees and other expenses.

The distinction matters: the headline-sized amount describes ALT5’s expected gross financing proceeds, not money raised by WLFI itself, the market value of ALT5’s tokens today, or a guaranteed cash contribution of $1.5 billion. The private-placement consideration included WLFI tokens. The company announcement does not establish that the entire combined amount was cash.
How ALT5 said it would use the proceeds
ALT5 said net proceeds would support purchases of WLFI tokens and cryptocurrency treasury operations. It also listed a litigation settlement, debt repayment, business operations, working capital, and general corporate purposes. Those were planned uses in the announcement; they should not be treated as proof that each use occurred or that the treasury strategy produced a particular return.

The company’s later Form 10-Q says the treasury program began on August 12, 2025. It reports purchases in two tranches at $0.20 per WLFI token. As of March 28, 2026, ALT5 reported that AI Financial Corporation held 7,283,585,650 WLFI.
Why the reported value changed
ALT5 published two different dated value figures. They refer to the token holdings at different times and should not be read as competing estimates of one current value.

The gap between those figures shows that a token treasury’s stated value can move with its market price and the company’s measurement date. It does not, by itself, establish that ALT5 sold tokens or realized a loss. The March 28, 2026 figure is the latest dated balance and valuation established here; it is not a verified value as of October 8, 2026.
ALT5’s October update also said WLFI launched on Robinhood on September 25, 2025. That is a dated company statement, not evidence of a particular level of adoption, liquidity, or future performance.

The tokens were subject to transfer restrictions
The Form 10-Q describes contractual lockups on the reported holdings. This means the reported token balance was not simply freely tradable inventory.
- 3,533,585,650 tokens under the Token Purchase Agreement: non-transferable for 12 months, subject to limited uses such as collateral, staking, or lending when those uses did not involve a sale or permanent transfer.
- 3.75 billion tokens under the Securities Purchase Agreement: locked for 12 months from closing. The filing says release also depended on specified shareholder approval, a charter amendment, and resale-registration conditions.
ALT5 reported no waivers or early releases beyond the stated limited uses. The filing’s terms therefore matter when assessing how quickly the company could sell, pledge, or otherwise monetize the tokens; the balance alone does not show that all of them were immediately available for sale.

What the deal means for ALT5 shareholders
The announced financing connected ALT5’s public-company shares to WLFI in two ways: the private-placement investor contributed WLFI tokens, and ALT5 said it planned to build a WLFI treasury. An investor buying ALT5 stock is buying shares in ALT5, not direct ownership of a matching quantity of WLFI. The value of the shares can also depend on the company’s other assets, liabilities, financing terms, business performance, governance, and the market price investors assign to ALT5 itself.
The announcement said that, following closing, Zach Witkoff, described as a WLFI co-founder and CEO, would become ALT5 chair; Eric Trump would become a director; and Zak Folkman, described as a WLFI co-founder and COO, would become a board observer. ALT5’s subsequent quarterly filing describes WLFI founders’ board connections, treats WLFI as a related party, and reports WLFI equity and warrant interests in ALT5.

In that filing, ALT5 said transactions between the companies—including token purchases and a January 2026 loan agreement—were reviewed and approved by its audit committee under the company’s related-party transaction policy. That is the company’s disclosure about its governance process; it is not, by itself, a legal finding that a conflict did or did not occur.
Why the arrangement drew conflict-of-interest criticism
WIRED reported criticism that the financing and treasury strategy could connect public-market investors to the value of WLFI through ALT5 shares. Michael Green, chief strategist at Simplify, argued that financing from WLFI was being used to buy WLFI’s own token and said the structure could function as a holding company intended to increase the token’s market capitalization. That is Green’s criticism, not an adjudicated finding about the companies’ purpose or the effect on the token price.
WIRED also quoted White House press secretary Karoline Leavitt rejecting media claims of conflicts as irresponsible. The competing statements are arguments about the arrangement; neither substitutes for the transaction terms, SEC disclosures, or an independent legal determination.
A different comparison came from Cosmo Jiang, a general partner at Pantera Capital, who told WIRED that crypto treasury companies reminded him of banks that hold deposits and seek yield. That is an investor’s analogy, not a claim that ALT5 is a bank, that its tokens are insured deposits, or that its holdings carry bank-like protections.

- Identify the issuer: ALT5 Sigma announced the financing and treasury strategy; WLFI was the lead investor in the concurrent private placement.
- Separate proceeds from asset value: the approximately $1.5 billion expected gross financing amount and the later token-valuation figures describe different things.
- Use dated values: the approximately $703.4 million fair value is from March 28, 2026, not a current October 2026 quote.
- Account for restrictions: contractual lockups constrain how holdings may be transferred or monetized.
- Consider share dilution and governance: the announced transactions involved up to 200 million shares or equivalents and related-party connections described in ALT5’s filing. A token balance alone cannot show whether ALT5 shares are cheap or expensive.
For a comparison with another listed-company crypto treasury, use the same valuation date and examine the asset held, liquidity, holdings per share, financing dilution, lockups, the company’s market capitalization relative to its treasury assets, and related-party governance. The disclosures above do not establish ALT5’s October 2026 token balance or fair value, nor do they provide a complete peer comparison.
