Tripledot Acquires AppLovin’s Mobile Game Business: What the $800M Deal Included

Tripledot acquired ten studios and their mobile-game portfolios from AppLovin. The announced $800 million headline differs from AppLovin’s later $715.6 million reported consideration.

Tripledot Studios completed its acquisition of AppLovin’s mobile-game business on June 30, 2025. The deal was announced with an $800 million headline, but AppLovin’s closing announcement described $400 million in cash, subject to adjustments, plus equity equal to about 20% of Tripledot’s fully diluted equity. AppLovin later reported $715.6 million in total consideration in its second-quarter filing. Those figures reflect different descriptions and accounting at different points; the company’s public filings do not provide an independent valuation reconciling the $800 million headline to the reported closing-date amount.

What did Tripledot acquire?

The transaction transferred ten studios and their mobile-game portfolios from AppLovin to Tripledot. AppLovin named the following studios in its July 1, 2025 completion announcement:

  • Athena Studio
  • Belka Games
  • Clipwire Games
  • Leyi
  • Lion Studios
  • Machine Zone
  • Magic Tavern
  • PeopleFun
  • Zenlife Games
  • Zeroo Gravity

Games AppLovin cited as examples included Hexa Sort, Wordscapes, Clockmaker, Cooking Madness, West Game and Project Makeover. The announcement presents these as examples, not an exhaustive list of every game included.

Why does the deal have both an $800 million headline and a $715.6 million reported figure?

The $800 million figure is the deal’s headline shorthand. AppLovin’s closing announcement described the consideration as $400 million in cash, subject to closing adjustments, plus approximately 20% of Tripledot’s fully diluted equity. In its second-quarter 2025 filing, AppLovin reported $715.6 million in total consideration, comprising $430.6 million in cash and Tripledot shares valued at $285 million.

The filing said the cash amount included $30.6 million in preliminary purchase-price adjustments based on estimated closing-date net assets, subject to finalization. It also reported that 596,869,142 Tripledot ordinary shares represented approximately 22% of outstanding ordinary shares and 20% of fully diluted equity at closing. AppLovin’s disclosure is an accounting figure; the available company materials do not establish a final independent calculation that reconciles it with the $800 million headline.

How did the payment terms change before closing?

AppLovin and Tripledot signed the purchase agreement on May 7, 2025. The original proposed cash consideration was $400 million, structured as $150 million payable at closing and a $250 million secured promissory note, alongside Tripledot equity representing about 20% of its fully diluted capitalization.

Before the transaction closed, the companies amended the agreement to allow cash in place of the note. The transaction closed June 30, and AppLovin said no promissory note was issued. Its July 1 public announcement described the completed sale as $400 million cash, subject to closing adjustments, plus approximately 20% of Tripledot’s fully diluted equity. The later second-quarter filing supplied the more detailed accounting figures.

How did the companies describe the sale?

AppLovin characterized the divestiture as a way to concentrate on its core business. CEO Adam Foroughi said the closing “streamlines the Company to its core business” and lets AppLovin focus on future opportunities. That is the company’s stated rationale, not an independent assessment of the transaction’s impact.

Tripledot’s May 8, 2025 announcement said it welcomed the ten studios and their teams. The transaction documents and announcements establish the deal terms, closing date and transferred portfolio, but do not establish how the games or studios performed after the acquisition.
