The shareholding and stadium were separate parts of the transaction: the 45.64% figure referred to shares in the club, while the stadium was to be transferred to SCL.
When the takeover completed—and why reports differ on the stake

The club board’s announcement, issued the following day, described the completed acquisition as a 45.64% stake in Birmingham City Limited plus full ownership and control of St Andrew’s. It does not explain why its percentage differs from the BBC’s 45.98% figure. The board announcement named Wagner chairman and Garry Cook chief executive. It said SCL would be responsible for the club’s day-to-day running and provide funding to rebuild.
