Sometimes—but the label “tokenized stock” does not tell you whether you own a company’s shares, an indirect interest in shares, or a separate instrument linked to a stock. Even when the token carries shareholder rights, the venue where it trades may operate under different rules and safeguards.
What does a tokenized stock actually represent?
Tokenization is a way to represent a security and record ownership using a crypto asset and, in whole or in part, a blockchain or other crypto network. It does not, by itself, establish who issued the instrument, what the holder owns, or which rights come with it.

A January 28, 2026 staff statement from the SEC’s Divisions of Corporation Finance, Investment Management, and Trading and Markets explains that federal securities laws apply regardless of whether a security is issued or recorded onchain or offchain. The statement is staff guidance, not a Commission rule. It also describes structures in which tokenized securities have different rights or constitute a different class from conventional-format shares.

Issuer-sponsored or native shares
In an issuer-sponsored structure, the company or its agent incorporates network records into the system used to record shareholders. A transfer on the network can update the issuer’s master securityholder file. The token may represent the company’s equity, but “native” or “issuer-sponsored” does not prove that it is the same class as the company’s other shares. The governing documents determine the class and its rights.
Custodial or wrapped tokens
A custodian or other intermediary may hold the underlying shares while issuing tokens that represent an indirect interest or security entitlement. The token transfer may not itself transfer the underlying share or give the token holder the same direct rights as a shareholder of record. The SEC Investor Advisory Committee has highlighted possible differences in voting and bankruptcy rights between wrapped tokens and native issuer-sponsored equity. Those are risks to check, not assumptions that every wrapped product has the same limitations.
Synthetic or linked exposure
A third party may issue its own security or derivative whose value is linked to a company’s stock. A price link is not proof that the holder owns the referenced company’s shares or can claim against that company. Investor.gov, the SEC’s investor education site, says rights, obligations, and benefits for holders of synthetic tokenized securities may differ significantly from those of traditional owners of the underlying stock. Its educational material is not legally binding.

Do tokenized stocks have the same rights as regular stocks?
They can, if the token represents the same class of the issuer’s shares and the governing documents provide the same rights. They may not if the token represents a different class, an indirect custodial interest, or a separate linked instrument. Check the instrument’s legal terms rather than relying on a ticker, marketing label, or similarity in price movement.

Why can trading protections differ from shareholder rights?
Shareholder rights concern what the instrument entitles its holder to receive or do: for example, voting, distributions, transfers, or recourse. Trading protections concern how an instrument is offered and traded, including the venue’s rules, disclosures, records, market conduct, and safeguards. Similar rights in the underlying instrument do not establish that two trading venues have the same protections.

As of October 11, 2026, a September 17, 2026 SEC order, published in the Federal Register on September 22 as Release No. 34-106402, provides temporary, conditional exemptions for specified permissioned trading of qualifying tokenized NMS stocks on defined Tokenized Securities Venues. The relief covers a limited arrangement using designated automated-market-maker liquidity pools; it is not blanket approval for tokenized stocks or all platforms. The order excludes synthetic linked securities and tokenized security-based swaps from its definition of Tokenized NMS Stock. Its term is five years from publication, subject to its conditions and limitations.
The SEC described conditions that include public notice, transaction transparency, coordination around trading stoppages, books and records, and technology safeguards. Acting Chairman Mark T. Uyeda characterized the relief in his September 17 statement as an opportunity to learn how the venues function. A venue’s use of blockchain, or its reference to this order, is not by itself proof that the venue or a particular token falls within the relief.

How to evaluate a specific token and venue
Review the instrument and the trading venue separately. The offering documents and applicable rules matter more than a product’s name or a claim that it tracks a familiar stock.
- Identify what is issued. Determine whether the instrument is the public company’s own stock, an indirect custodial interest or entitlement, or a separate linked security or derivative.
- Identify the issuer and its relationship to the company. Find out whether the token is issued by or for the public company, a custodian, or an unaffiliated third party.
- Read the class and rights terms. Look for voting rights, dividends or other distributions, transfer restrictions, treatment of corporate actions, and recourse if something goes wrong. Do not infer these rights from price tracking.
- Trace ownership records and transfers. Ask whether the token itself is part of the issuer’s master securityholder file, or whether a token transfer only prompts a separate, offchain record to be updated.
- Check custody and insolvency terms. Identify who holds any underlying shares and what claim the token holder has if the issuer, custodian, or platform fails. Read the documents for how assets and claims are treated in that event.
- Assess the venue independently. Identify where the token trades, the rules governing that venue, who may access it, what disclosures are provided, and how records and trading safeguards work. If the venue invokes the SEC’s temporary relief, check whether the order’s defined instruments, venue, and conditions actually apply.
What the U.S. regulatory position does—and does not—establish
The January 2026 SEC staff statement addresses how securities laws apply to tokenized formats and describes several tokenization models; it does not make every tokenized instrument equivalent to ordinary shares or itself create a new Commission exemption. Investor.gov’s discussion is educational staff material and expressly has no legal force or effect. The SEC’s September 2026 order is a Commission action, but its exemptions are limited to the specified arrangement and subject to its terms.
