A tokenized share does not automatically give its holder the same rights as a conventional share. The answer depends on the legal instrument behind the token: it may be the share itself, an indirect interest held through an intermediary, or a separate security or derivative linked to a share. U.S. regulators have clarified some points, but bank capital treatment and financial-statement accounting are different questions.
What a tokenized share can represent
A tokenized security is a financial instrument—such as a stock, bond, or fund interest—formatted as or represented by a crypto asset on a blockchain or similar distributed ledger. The digital format alone does not determine what the investor legally owns. The SEC staff says stock remains an equity security regardless of whether it is issued in traditional or tokenized form, while noting that tokenized arrangements can involve different classes and rights. The SEC staff statement dated January 28, 2026 is staff views, not a Commission rule, regulation, guidance, or statement; the Commission has neither approved nor disapproved it.

The SEC’s investor-education page describes three broad structures. The names are useful starting points, not a substitute for the instrument’s governing documents. Investor.gov’s tokenized securities overview also notes that it reflects staff views, not a Commission rule or statement.

|---|---|---|
| Issuer-sponsored | The issuer, or its agent, issues a security directly on a blockchain. | The token may carry the rights of a traditional share of the same class, although it may be a different class. It might be integrated into the issuer’s official master securityholder file, or an on-chain transfer might prompt an update to an off-chain file. Confirm which record is authoritative and how transfers take effect. |
| Custodial | An indirect interest in an underlying security through a securities entitlement, much like holding securities through an intermediary. | The holder’s position depends on the intermediary and custody arrangement. Review the entitlement and custody terms, recordkeeping, and risks if an intermediary or custodian fails. |
| Synthetic or linked | A separate security or derivative issued by a third party to provide exposure to a referenced share. | The token’s price may track the referenced stock, but the holder may have no claim or shareholder rights against that stock’s issuer. The holder instead depends on the linked instrument’s terms and its issuer or other counterparties. |
The structures and possible recordkeeping arrangements in the table are described by the SEC staff and Investor.gov; the documents for a particular token determine its actual terms.

Why two tokens tracking the same stock can confer different rights
Price exposure is not the same as ownership. A token can follow a stock’s market price without making its holder a shareholder in the company. Conversely, an issuer-sponsored token could represent a share, but its class and governing terms still matter. Voting, dividends, information rights, transfer mechanics, and recourse in a dispute can therefore differ even when two tokens refer to the same ticker.
Intermediaries add another layer. If a token represents an interest through a custodian or other third party, the holder may rely on that party’s records and performance. The SEC staff identifies potential intermediary-related risks, including exposure to a third party’s bankruptcy, that a direct holder of the underlying share would not necessarily face.
How to assess a token before treating it like a share
Start with the offering materials, security terms, custody or entitlement agreement, and transfer procedures—not the token’s name, ticker, or price chart. These questions help distinguish ownership from economic exposure:

- Issuer relationship: Did the company issue or authorize the token, or did an unaffiliated third party create it?
- Legal interest: Do the documents say the holder owns the share, holds an indirect securities entitlement, or owns a separate linked security or derivative?
- Shareholder rights: What do the terms say about voting, dividends, information, and other rights? Are they direct, exercised through an intermediary, limited, or absent?
- Authoritative ownership record: Is ownership recorded in the issuer’s master securityholder file, an intermediary’s books, or another system?
- Transfer process: Does an on-chain transfer itself transfer the security or entitlement, or does it trigger an update to an off-chain record?
- Custody and counterparty risk: Who holds any underlying shares, and what happens under the agreements if an issuer, intermediary, or custodian becomes insolvent?
These questions are practical prompts, not a legal test. The controlling answer for a particular arrangement comes from its documents and applicable law.
What U.S. regulatory clarification does—and does not—settle
SEC staff: securities classification depends on the instrument, not its format
The January 28, 2026 SEC staff statement says securities laws apply whether a share is issued in traditional or tokenized form and that stock remains an equity security regardless of format. It also describes structures with different rights and classes. Because the statement represents staff views from three SEC divisions and is not a Commission rule or guidance, it should not be presented as a binding Commission determination about every tokenized product. Read the statement and its status qualification.

Bank regulators: capital treatment is not financial-statement accounting
On March 5, 2026, the Federal Reserve, FDIC, and OCC said an eligible tokenized security generally should receive the same treatment as its non-tokenized form under the bank capital rule. The agencies said that rule is technology neutral and that the technology used to issue and transact in a security generally does not affect its capital treatment. They also emphasized sound risk management and compliance with applicable law. The joint release addresses bank regulatory capital; it does not supply a comprehensive GAAP or IFRS recognition and measurement rule for issuers or investors.
FASB: a transfer project addresses certain crypto-asset questions
FASB’s “Accounting for Transfers of Crypto Assets” project, last updated July 8, 2026, describes work on expanding Topic 350-60 to wrapped and receipt tokens and clarifying derecognition in crypto-asset transfer arrangements, including whether control has transferred. The project description is relevant to some tokenized asset transfers, but it does not establish a comprehensive accounting model for all tokenized shares.

Why financial-statement accounting remains instrument-specific
There is no single accounting answer that follows merely from calling an asset a tokenized share. An analysis must identify the instrument and rights, the reporting entity’s role, the applicable accounting framework, and the contractual and transfer details. Depending on those facts, the questions may include whether the token is the share itself, a securities entitlement, a separate linked security, or a derivative; which records demonstrate ownership and control; whether a transfer has occurred for derecognition; and which existing requirements apply to the underlying equity, financial asset, liability, or derivative.
These are distinct from the bank capital question. A regulator’s statement about how an eligible security is treated in a bank’s regulatory capital calculation does not, by itself, determine how an issuer or investor recognizes, measures, presents, or discloses that instrument in financial statements. FASB’s cited project addresses particular crypto-asset transfer issues; it does not resolve every accounting question above.

Can the adoption trend be quantified?
The official sources cited here do not provide a comparable adoption statistic for tokenized shares. They establish that regulators are addressing tokenized securities and certain related capital and transfer-accounting issues, but those developments do not measure how widely investors or companies are adopting tokenized shares. Transaction figures for other digital-asset categories would not establish tokenized-share adoption.
