Re:

Tokenized Assets vs. Traditional Securities: Key Differences in Trading and Settlement

Tokenization can change how a security is recorded and transferred, but not automatically its legal rights. Compare ownership records, trading venues, settlement, netting, risks, and U.S. rules.

Tokenization changes how a security is represented, recorded, and potentially transferred; it does not, by itself, change the security’s legal character or the rights attached to it. Traditional securities typically move through account-based book-entry systems and intermediaries. Tokenized securities use crypto-asset representations and may use distributed ledgers for ownership records or transfers. The legal record, trading controls, cash settlement, and risks depend on how each token is structured.

What is a tokenized security?

The SEC staff defines a tokenized security as a financial instrument that qualifies as a security under federal securities laws and is formatted as or represented by a crypto asset, with ownership recorded in whole or in part through one or more crypto networks. The definition is about the representation and ownership record—not a new category of legal rights. (SEC staff statement, January 28, 2026.)

As an Amazon Associate I earn from qualifying purchases.

That distinction separates a tokenized security from the broader category of tokenized assets. A token might represent a security, a contractual claim, or another kind of asset or right. The label “tokenized” alone does not establish what the holder owns, who owes obligations to the holder, or which record determines ownership.

It is useful to keep three questions separate: what is the underlying legal instrument, what does the token represent, and where is ownership recorded? Those answers may align, but they do not have to. A crypto-asset representation can be linked to a security while the legally effective record or the holder’s claim still depends on an issuer, agent, custodian, or other intermediary. The technology describes part of the arrangement; it does not answer the legal questions by itself.

Issuer-sponsored tokens

In an issuer-sponsored structure, the issuer or its agent participates in the token arrangement. A transfer recorded on the network can update the issuer’s or agent’s master securityholder file. The critical question is whether the network record is authoritative under the structure and applicable rules, or whether another record remains controlling.

This distinction matters because an on-network transfer may serve as the mechanism for updating the issuer’s ownership file, rather than being a separate record with no connection to the issuer’s records. Even then, investors should check the governing arrangements to understand how a transfer is recognized, which party maintains the master file, and what process applies if records conflict or an operational problem interrupts transfers. The existence of a ledger does not, on its own, tell a holder which record has legal priority.

Third-party tokens

A third party may issue a token linked to securities held by that party or another custodian. The token may convey a claim against the token issuer or another entity rather than direct ownership of the underlying security. The holder should examine the governing documents, custody arrangement, redemption terms, and the identity of the party responsible for performance. SEC Commissioner Hester M. Peirce has cautioned that a third-party token can present counterparty risks and may itself be a distinct security or other instrument depending on the facts. (Commissioner Peirce’s statement, July 9, 2025.)

In practice, the token’s connection to a referenced security is not enough to establish that the token holder has the same rights as a holder recorded directly in the security’s ownership system. The documents and structure determine whether the token conveys an interest in the underlying instrument, a claim on the issuer or custodian, or some other right. That is why the identity and obligations of each party in the chain matter, especially if the party holding the referenced securities cannot perform.

How traditional and tokenized securities differ

Issue Traditional securities Tokenized securities
Ownership record Usually electronic book-entry records. A central securities depository (CSD), broker, custodian, or other intermediary may record positions at different points in the custody chain. Ownership may be recorded on or through one or more crypto networks. Which record controls depends on the legal structure and governing arrangements.
Transfer and settlement Account-based book-entry movements through intermediaries and market infrastructure. Ledger-based transfers may use smart contracts. Securities and cash on the same ledger could potentially be coordinated, but cross-system connections may still be needed.
Trading access Trading typically occurs on conventional exchanges or over-the-counter markets, subject to applicable rules and market infrastructure. Access and controls depend on the token structure and venue. Some arrangements are permissioned; tokenization does not remove securities-law requirements.
Settlement timing and liquidity For U.S. equities, T+1 is the comparison discussed by the SEC Investor Advisory Committee. Multilateral netting can reduce the amount participants need to fund. Atomic settlement may shorten the time between a trade and exchange of assets, but could constrain multilateral netting and increase participants’ capital needs.
Important risks Counterparty, custody, operational, and settlement-failure risks remain relevant. Those risks remain, with additional questions about token rights, third-party exposure, the authoritative ownership record, interoperability, and technology operations.

Traditional securities are commonly held as electronic book entries, often through intermediaries and CSDs. Because different entities may maintain records for different layers of the custody chain, a customer’s position at a broker is not necessarily recorded in the same place or form as the issuer’s overall securityholder record. Tokenization can change where and how records are maintained, but a ledger entry does not automatically settle the question of legal ownership. The Bank for International Settlements describes these structures and the continuing importance of account-based and token-based systems in its March 2020 discussion of the future of securities settlement.

The contrast is therefore not that traditional securities have records and tokenized securities do not, or that one system is necessarily centralized and the other necessarily self-contained. Both involve records, parties, and rules. In traditional book-entry arrangements, records can be distributed among intermediaries and market infrastructure. In a tokenized arrangement, a crypto network may be one recordkeeping layer, but other systems may still maintain the legally significant position or connect the token to a cash payment. What changes is the arrangement of the records and transfer mechanisms, not the need to determine whose record counts.

Similarly, “on-chain” does not mean every step is performed on one network. A security token could depend on off-chain custody, account-based records, or a separate payment system. Conversely, a conventional book-entry system already moves electronic records rather than paper certificates. The useful comparison is whether the chosen rails coordinate the relevant records and transfers reliably, and whether the rules make the resulting ownership position clear.

What happens in trading and settlement?

Traditional account-based workflow

In a conventional securities transaction, a trade is executed through a market venue or other permitted channel. The resulting obligations are processed through clearing and settlement arrangements, and book-entry records are updated through the relevant intermediaries. The parties may not exchange the full gross amount of every trade individually: netting can offset obligations across transactions before participants deliver the remaining amounts.

There is thus a distinction between the moment a trade is agreed and the later process of completing the corresponding securities and payment obligations. The trade creates obligations that have to be carried through the applicable settlement arrangements. Intermediaries and infrastructure connect those obligations to the accounts and records in which positions are held. The use of electronic book entries does not mean that all participants update one shared record at the same time; custody and settlement can involve multiple linked records.

Potential tokenized workflow

A tokenized trade may be recorded and transferred on a crypto network, potentially through a smart contract. If the cash leg and security leg can be coordinated on the same ledger, the system may support delivery-versus-payment: the security is transferred only as payment is made, according to the system’s design. That possibility is not a guarantee of instant or final legal settlement. The payment asset, custody structure, controlling ownership record, and applicable rules all matter.

In a structure designed for atomic exchange, the goal is to make delivery of the security conditional on delivery of payment, so that one leg does not complete without the other under the system’s rules. This can address one form of exposure during the interval between delivery and receipt. But readers should distinguish the intended technical behavior from the legal effect of a completed transaction. The parties still need to know which asset counts as payment, what record establishes ownership, and how the governing arrangement treats a successful ledger transaction.

Where the securities and cash legs sit on different networks or in account-based systems, some form of interoperability or connection is needed. A token system therefore has to work with existing financial infrastructure as well as with other ledgers. A successful on-chain transfer may not, in every structure, be the final legally effective settlement.

That connection is not a minor detail: it is part of the settlement design. If one leg is represented on a ledger while the other is held or paid through an account-based arrangement, the link between them must ensure that the two sides are coordinated. The possibility of using tokens for both cash and securities on a ledger may simplify coordination in some designs, but available information does not establish that every tokenized market uses the same arrangement or can avoid outside systems. Interoperability remains a requirement to examine, not an automatic feature of tokenization.

Atomic settlement: speed versus netting

Atomic settlement links the delivery of one asset to the delivery of another so that either both occur or neither does, as defined by the system. Its appeal is clear: it can reduce the interval during which one party has delivered an asset but has not received the corresponding payment. But faster settlement changes more than timing.

Multilateral netting lets a market infrastructure offset participants’ obligations across multiple trades, reducing the amount of cash or securities that must be mobilized. If each trade instead settles individually and immediately, participants may lose some of those netting benefits and need more capital or liquidity available at the point of each transaction. The SEC Investor Advisory Committee’s February 26, 2026 recommendation discusses this trade-off in relation to tokenized equities and the U.S. T+1 settlement comparison. So the practical question is not simply whether atomic settlement is faster. It is whether reduced exposure between trade and settlement is worth the liquidity and capital demands of settling transactions more individually, and how the system handles failures, funding, and linked payment rails.

This is why “faster” is not a complete measure of efficiency. A system that settles each transaction quickly may reduce the time obligations remain outstanding, yet it may also require participants to have funds or securities available for each exchange instead of relying as much on obligations offset against one another. Netting can reduce gross funding needs; removing or limiting that netting can therefore change the amount of capital participants must mobilize. The right comparison is between the full settlement designs, including their timing, funding demands, and failure handling—not just the number of minutes or seconds between a trade and transfer.

For U.S. equities, T+1 is the relevant comparison raised by the SEC Investor Advisory Committee in its discussion of tokenized equities. That reference is not a claim that every security or jurisdiction uses the same settlement cycle. It is a way to frame the trade-off in the context identified by the committee: how a move toward atomic settlement would interact with existing netting benefits and capital requirements.

Does tokenization make securities safer or cheaper?

Not automatically. A shared ledger may help coordinate records and transfers and could reduce some complexity, but it does not eliminate the possibility that a party fails to settle. Nor does it remove custody, operational, or counterparty risk. It may add technology and interoperability dependencies, and it can make the token issuer or custodian especially important when the token does not itself establish direct ownership of the underlying security.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Benefits and risks are design-dependent. A ledger could coordinate a security and its payment leg, but only where the relevant assets, records, and settlement arrangements can be linked as intended. A token that depends on a third party also leaves the holder exposed to that party’s role and performance. The technology may change the way a transfer is initiated or recorded without eliminating the underlying need for a reliable custodian, a clear ownership record, and a functioning payment path.

The question “What are the benefits of atomic settlement, and what are the risks?” is a useful way to test a proposal. The potential benefit is a shorter period in which one side may have delivered without receiving the other side. Risks and trade-offs include continuing settlement-failure possibilities, dependence on the parties and systems involved, and less room for multilateral netting if transactions settle individually. SIFMA posed related questions to the SEC in a request-for-information response; those are questions for analysis, not evidence that atomic settlement has a single outcome for every market.

For a specific token, assess the arrangement rather than relying on claims about blockchain generally:

  • Rights: What legal interest does the token holder have, and which documents establish it?
  • Record authority: Is the network record controlling, or does an issuer, transfer agent, custodian, or other system maintain the legally effective record?
  • Counterparty: If a third party holds the underlying security, what claim does the token holder have if that party fails?
  • Settlement legs: What asset pays for the security, and how are payment and delivery linked?
  • Interoperability: Can the arrangement connect to account-based infrastructure or other ledgers, and what happens if that connection is unavailable?
  • Controls and operations: Who can access the venue, authorize transfers, correct errors, or respond to a system outage?

These questions apply to the full chain, not only to the token contract. A token can have clearly specified transfer mechanics while still depending on an intermediary for custody or on another system for the payment leg. Likewise, a record that is technically visible on a network may not be the only record relevant to legal ownership. A sound comparison asks what happens in ordinary operation and which party and record matter if the components stop matching.

U.S. regulatory status: tokenized securities remain securities

In the United States, tokenization does not take a security outside securities-law analysis. Commissioner Peirce put the point plainly in July 2025: “Tokenized securities are still securities.” The SEC staff’s definition likewise describes an instrument that qualifies as a security under federal law, regardless of its crypto-asset representation.

On September 17, 2026, the SEC announced a temporary, conditional Innovation Exemption concerning limited tokenized NMS stock trading on qualifying permissioned venues. It is not a general authorization for unrestricted tokenized-stock trading. Its scope is limited by the exemption’s conditions and eligible venues. Anyone assessing a particular offering or trading arrangement should consult the SEC’s announcement and applicable order rather than infer permission from the word “tokenized.” (SEC announcement, September 17, 2026.)

The exemption is a specific, time-limited regulatory development, not a blanket change to the legal character of securities or a general approval of tokenized trading venues. The stated conditions and the permissioned nature of eligible venues are central to describing its scope. Market participants should not assume that a tokenized stock may be traded on any venue, or that the exemption applies to every security or token arrangement. Details should be checked against the actual order and conditions before relying on it.

That U.S. development should not be generalized to other jurisdictions, which may define, regulate, or supervise securities, trading venues, custody, and settlement differently. Even within the United States, the legal treatment depends on the instrument and arrangement, not merely the technology used.

How to evaluate a tokenized security

  1. Identify the instrument. Determine whether the token represents an equity, debt security, fund interest, claim against an intermediary, or another right. Do not assume it is the same instrument as any referenced underlying security.
  2. Read the governing documents. Find the terms describing ownership, transfers, redemption, voting or payment rights, and remedies if an issuer, custodian, or other party defaults.
  3. Find the authoritative record. Establish whether the ledger updates the issuer’s master securityholder file or whether ownership depends on off-chain books or an intermediary’s records.
  4. Map the settlement chain. Identify the trading venue, clearing or settlement arrangements, cash asset, custodians, and any bridge between networks or account-based systems.
  5. Understand timing and funding. Ask whether settlement is atomic, whether trades are netted, what liquidity must be available, and what happens when payment or delivery fails.
  6. Check applicable rules. Confirm the jurisdiction, venue status, and any conditions or exemptions relevant to the exact security and transaction.

These steps help expose the difference between a token that updates an issuer-associated record and one that depends on a third party’s promise. Start by tracing the holder’s legal claim, then identify each record and intermediary through which that claim is maintained. Finally, follow both sides of a transaction: where the security goes, where payment comes from, and which rules govern completion. A design that looks simple at the token-transfer level may rely on several records or institutions outside the ledger.

For settlement in particular, ask whether a transaction is processed individually or participates in netting, how the payment and securities legs are linked, and what the participants must fund. For trading access, identify the venue and its controls rather than assuming that a crypto network makes a security freely transferable. The answers can vary among token structures, even when they refer to the same category of underlying security.

Choosing between the structures

For investors and market participants, the useful comparison is not “old system versus blockchain.” It is a comparison of enforceable rights, record reliability, access, settlement design, and operational dependencies. Traditional book-entry systems have established intermediaries and netting arrangements, but ownership records can be distributed across a custody chain. Tokenized structures may coordinate records or settlement in new ways, but their legal effect and practical protections vary materially by design.

Before treating a token as equivalent to a conventional security, confirm what the holder owns, which record governs, who stands behind the promise, and how the cash and security legs reach final settlement. Those details—not the token label—determine the real differences in trading and settlement.

Frequently Asked Questions

Does tokenization change the legal rights attached to a security?

Not by itself. Tokenization changes the security’s representation or recordkeeping and may change its transfer rails. The instrument’s legal character and the holder’s rights depend on the security and governing arrangements, not simply on its being represented by a crypto asset.

Does a tokenized security mean I directly own the underlying shares or bonds?

Not necessarily. An issuer-sponsored token may be linked to a transfer that updates the issuer’s or agent’s master securityholder file. A third-party token may instead represent a claim connected to securities held by another party. Check the governing documents, custody structure, and the identity of the party responsible for performance.

What are the benefits of atomic settlement, and what are the risks?

Atomic settlement can link delivery of a security with payment so one leg does not occur without the other under the system’s design, reducing the interval in which a party may have delivered without receiving payment. It does not eliminate settlement failure or other counterparty, custody, or operational risks. If transactions settle individually, participants may also lose some multilateral-netting benefits and need more capital or liquidity.

Does an on-chain transfer always mean legal settlement is final?

No. The controlling ownership record, payment asset, custody arrangement, connection to account-based systems or other ledgers, and applicable rules all matter. A successful ledger transfer is not necessarily the final legally effective settlement in every structure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Does the SEC’s September 2026 Innovation Exemption permit unrestricted tokenized-stock trading?

No. The exemption is described as temporary and conditional, and applies to limited tokenized NMS stock trading on qualifying permissioned venues. Its conditions and eligible venues matter; it should not be read as general authorization for unrestricted trading.

Should the SEC encourage adoption of atomic settlement?

That is a policy question, not a settled conclusion. SIFMA posed a related question to the Commission. The trade-off to assess includes reduced exposure between trade and settlement versus possible constraints on multilateral netting and the associated capital or liquidity needs.

The Bottom Line

Tokenization can change how a security is represented, recorded, and transferred, but it does not automatically change the legal rights involved or make settlement instant, safer, or cheaper. Compare the controlling ownership record, the holder’s actual claim, venue controls, cash-and-securities settlement links, and the cost of reduced netting before treating a tokenized instrument as equivalent to a traditional book-entry security.
