That works out to about $2.95 million, calculated from the filing’s share count and average price. Nike’s Form 4 lists his post-transaction holding as 105,480 shares. The filing records the trade but does not explain why Cook made it.

The filing says, “The price reported in Column 4 is a weighted average price.” It explains that the average combines multiple transactions at prices ranging from $58.96 to $58.97. The $2.95 million figure is therefore an arithmetic estimate from the disclosed average, not a separate exact dollar amount reported by Nike.
Why Tim Cook is a Nike insider
Cook’s purchase was disclosed because he is a Nike director. Nike’s 2024 proxy statement identified him as the company’s lead independent director, said he had served on the board since 2005, and also identified him as Apple’s CEO. The proxy’s biographical section lists Nike Air Max 270, Nike Pegasus and Nike Tech Pack among Cook’s favorite Nike products. That information is background, not evidence that he bought shares because of those products or was recommending them.
What the filing does—and does not—say about the trade
The Form 4 documents the reported transaction, its weighted-average price and Cook’s resulting beneficial holding. It does not state his reason for buying, describe a view on Nike’s prospects or establish that the transaction predicts how Nike stock will perform.

Nike’s filing says market transactions by its officers and directors are governed by the company’s trading-window policy, except for approved Rule 10b5-1 plans. The relevant Form 4 box for a Rule 10b5-1 plan is unchecked, so the filing does not identify this purchase as having been made under such a plan.
Nike’s investor-relations events page lists a Q4 FY26 earnings call dated June 30, 2026, and a Q1 FY27 call dated October 1, 2026. How investors should read an insider purchase
A director’s stock purchase can be a notable disclosure, but the filing alone is not a complete investment case. Here, the concrete evidence is the number of shares acquired, the reported average price and the resulting holding. The filing supplies no motive or forecast, so readers should not treat the transaction by itself as advice to buy or sell Nike shares.
