On June 6, 2024, Bacasable Global Limited, the company operating The Sandbox, announced that it had raised US$20 million through convertible promissory notes carrying a US$1 billion valuation cap. Animoca Brands and Kingsway Capital co-led the financing, with LG Tech Ventures and True Global Ventures also participating. The cap is a term for calculating a possible future conversion into equity—not proof that The Sandbox completed a priced equity round at a US$1 billion valuation.
What The Sandbox raised—and what the $1 billion figure means
The financing was announced on June 6, 2024. Bacasable Global Limited issued US$20 million in convertible promissory notes. The announcement said noteholders could convert the notes into Bacasable Global equity on the same terms as existing preference shares. It did not say that the notes had already converted. Animoca Brands’ announcement describes the financing and its stated purpose; The Block’s coverage likewise characterizes the notes as debt that could later convert into equity.
A valuation cap sets the maximum company valuation used to calculate the price at which a convertible note may turn into shares. It can limit the conversion price for investors if a later financing values the company above the cap. It is not the same as investors buying shares in a completed priced round at exactly that valuation, nor does it show that the company could have raised US$1 billion in a conventional equity offering. “US$20 million in notes with a US$1 billion valuation cap” is therefore more precise than saying the company was definitively valued at US$1 billion.
The public announcement did not state the notes’ interest rate, maturity date, discount rate, conversion trigger, seniority, investor protections, or conversion status. Without those terms, it is not possible to calculate the notes’ eventual ownership or dilution.

Who issued the notes and who invested?
The Sandbox is the platform and brand; Bacasable Global Limited is the operating company named in the financing announcement. The investors were Animoca Brands and Kingsway Capital, which co-led the round, plus LG Tech Ventures and True Global Ventures.
Animoca Brands is also the parent-company backer associated with The Sandbox, so its participation is not simply a vote of confidence from an unrelated outside investor. That connection is relevant context when weighing the company’s financing announcement and promotional claims; it does not, by itself, invalidate the financing.

Why raise through convertible notes?
Convertible notes are debt that may convert into equity under specified conditions. In venture financing generally, this structure can let a company raise capital without agreeing immediately on a full share price. A valuation cap can protect noteholders against a higher conversion price in a later round, while conversion can defer the point at which the company issues shares. These are general features of convertible notes, not confirmed details of The Sandbox’s specific deal beyond the announced conversion right and cap.
The trade-off is that notes create obligations before conversion and may dilute existing shareholders when converted. Because key note terms were not disclosed, the precise cost of this financing to the company and its shareholders cannot be determined from the announcement.

What the funding was intended to support
The company framed the capital as support for expanding The Sandbox’s creator economy and decentralized virtual world, including user-generated content, creator tools, gameplay, and community participation. Related coverage also discussed work on Game Maker, VoxEdit, multiplayer functionality, and the wider creator ecosystem, but the announcement did not provide a project-by-project spending breakdown. For creators, free creation does not mean every route to publishing or earning is free. The Game Maker FAQ says publishing a game onto LAND requires purchased or rented LAND: Game Maker FAQ. Asset creation is more open than marketplace selling: The documentation says selling is restricted to the Sandbox Team, approved creators, and Partners: VoxEdit documentation. Marketplace reference prices can change; the Marketplace FAQ displayed 1,011 SAND for regular LAND, 4,683 SAND for premium LAND, and 100 SAND for some avatars when crawled. Treat those as documentation-listed figures, not guaranteed current prices. For secondary-market LAND, The Sandbox advises checking that a collection is official and verified: Marketplace guidance.

At the time of the June 2024 announcement, Animoca reported more than 1,000 user-generated experiences and 5.7 million members. Contemporaneous coverage also reported more than 330,000 unique creators. Animoca promotional material cited more than 400 brand partnerships and more than 60,000 avatar NFTs sold and used in-world. These are company or promotional figures, not independently audited engagement measures. The announcement and contemporaneous coverage provide the reported counts.

“Members” does not establish how many people play regularly. The financing announcement did not disclose monthly or daily active users, paying users, average spending, retention, revenue, profitability, cash burn, or independent verification of the reported totals. Nor does an experience count show how many games attract repeat players or generate sustainable creator income.
How to assess the financing as a business signal
The round shows that investors were willing to provide capital to The Sandbox’s operating company, with participation from both an associated backer and other named investors. It does not establish that the metaverse gaming sector as a whole had recovered, or that The Sandbox had found a durable business model.
The important test is whether investment in tools and content produces experiences people return to and a creator economy that can sustain itself. More assets, LAND, or brand activations do not automatically mean stronger player retention, marketplace activity, or recurring revenue. Useful evidence would include active-player trends, retention, playtime, revenue, marketplace volume, and creator earnings—figures not included in the financing announcement.
For anyone considering the ecosystem as a creator or buyer, platform access also matters. Publishing rules, marketplace eligibility, technical changes, and moderation decisions can affect what creators can distribute and sell. SAND and NFTs can be volatile and may have limited liquidity; owning an NFT does not automatically provide intellectual-property rights, revenue, access, or interoperability. Buying LAND or assets is not an investment in Bacasable Global or Animoca Brands.
