Kmart’s decline was a long contraction, not a single bankruptcy event. The chain grew from a discount-store launch in 1962 to more than 2,000 U.S. stores at its height, but a 2002 liquidity crisis, a difficult reorganization, falling sales and store closures left it far smaller. Its 2005 merger with Sears did not reverse the decline, and the 2018 Sears Holdings bankruptcy was a separate filing from Kmart’s first Chapter 11 case.
How Kmart grew into a national chain
S.S. Kresge Co. launched the Kmart discount-store format in Michigan in 1962. The chain expanded quickly: the Associated Press reported it had reached about 2,000 locations within 20 years and had more than 2,000 U.S. stores in its heyday. That peak figure is a broad description, not a year-by-year audited store-count series.
Kmart’s parent also pursued businesses beyond its core discount-store format. The AP recounts acquisitions including Waldenbooks, Borders Books, Builders Square and The Sports Authority, as well as a stake in OfficeMax that was later sold. The same report says Kmart needed $5 billion in refinancing by the late 1990s. What happened when Kmart filed for bankruptcy in 2002?
In January 2002, Kmart and 37 U.S. subsidiaries sought Chapter 11 reorganization. The company’s later SEC filing described a rapid deterioration in liquidity after fourth-quarter fiscal 2001 sales and earnings came in below plan. It also identified several pressures contributing to the decision:

This is the company’s account of the immediate crisis, not a court’s ranking of causes. The filing lists several contributing factors but does not quantify how much each one mattered. How Kmart emerged—and why that did not end the decline
Kmart emerged from Chapter 11 on May 6, 2003. Its reorganization plan aimed to strengthen the balance sheet, reduce debt, concentrate on productive stores, end leases for closed locations, improve efficiency and lower operating costs. Those were steps to restructure the business; emergence from bankruptcy did not guarantee that the remaining stores could regain sales momentum. Why did Kmart keep losing ground?
Its competitive position was difficult
The AP characterized Kmart as struggling against Walmart’s low prices and Target’s more fashion-forward offerings. That captures the competing value propositions Kmart faced, but it is journalistic context rather than a measured estimate of how much either rival contributed to Kmart’s losses. Associated Press

Stores that remained were also selling less
Sears Holdings’ 2017 Form 10-K shows that Kmart’s contraction involved both a shrinking store base and weaker comparable-store sales. Comparable-store sales fell 5.3% in 2016 and 11.4% in 2017. In 2017, Kmart revenue decreased by $3.0 billion to $5.6 billion. The company attributed about $2.4 billion of that decrease to fewer operating stores and about $689 million to the 11.4% comparable-store-sales decline. It also reported declines across categories including pharmacy, grocery and household, home, drugstore, consumer electronics and apparel.
These are Kmart-specific figures reported in Sears Holdings’ filing. They show why store closures alone do not explain the deterioration: the stores still operating also generated lower comparable sales. Leadership is one interpretation, not an official finding
Mark Cohen, a former Sears Canada CEO and former director of retail studies at Columbia University’s graduate school of business, offered a stark judgment to the AP: “Kmart went down the drain because it was led by incompetent managers.” That is Cohen’s attributed opinion. It should be distinguished from the company’s contemporaneous explanation of its 2002 filing and from the later sales figures in company filings; the evidence here does not establish a single definitive cause or causal ranking. No. Kmart’s Chapter 11 reorganization began in 2002, and the company emerged in 2003. Sears Holdings filed for Chapter 11 on October 15, 2018, in the Southern District of New York; this was a later parent-company proceeding, not Kmart’s first bankruptcy. In a quarterly filing, Sears Holdings reported 766 combined Sears and Kmart full-line and specialty stores as of November 3, 2018. In September 2024, the AP reported that Kmart’s Bridgehampton, New York, store was scheduled to close on October 20, which would leave no full-sized Kmart on the U.S. mainland. At that time, the report identified a small Miami store and locations in Guam and the U.S. Virgin Islands. A follow-up described the Miami location as a fraction of a big-box store. The clearest explanation for Kmart’s rise and fall
Kmart’s story is best understood across two periods. The first was the 2001–2002 liquidity crisis, which the company linked to below-plan sales and earnings, supplier and surety-market pressures, competition, unsuccessful initiatives, recession and market volatility. The second was the longer deterioration after reorganization: Kmart merged with Sears, yet its store base and comparable sales continued to weaken. The filings document those events and measures; they do not prove that bankruptcy, the merger, competition or management alone explains the outcome.
