Texas Instruments has agreed to acquire Silicon Laboratories, better known as Silicon Labs, for $231 per share in cash, in a deal valued at approximately $7.5 billion on an enterprise-value basis. Announced February 4, 2026, the transaction is expected to close in the first half of 2027, subject to Silicon Labs shareholder approval, regulatory clearances and other customary conditions. It is an agreement—not a completed acquisition.
What Texas Instruments agreed to buy
Texas Instruments (Nasdaq: TXN) signed a definitive agreement to acquire Silicon Laboratories (Nasdaq: SLAB), an Austin-based semiconductor company whose portfolio centers on secure wireless connectivity, embedded wireless system-on-chips and related mixed-signal products. Both companies’ boards unanimously approved the agreement. The companies’ announcement describes an all-cash offer of $231 for each Silicon Labs common share and an approximately $7.5 billion enterprise value.
Enterprise value is a measure of the value of the business as a whole; it is not the same as the cash paid directly to shareholders. The $231-per-share offer is the stated shareholder consideration. Contemporary coverage put that offer at about a 69% premium to Silicon Labs’ closing share price on February 3, 2026, the day before the announcement, according to Axios.
Why Silicon Labs fits TI’s portfolio
TI is best known for analog chips and embedded processing. Silicon Labs adds wireless connectivity expertise, embedded wireless chips, and software and development support used to build connected devices. That makes the proposed combination broader than a simple expansion of TI’s analog catalog: it would give TI a larger role in designs that need connectivity as well as power, signal processing or control components.

Silicon Labs’ products serve industrial automation, smart-home and building systems, IoT devices, energy and utility infrastructure, consumer equipment, medical applications and other embedded markets. Its connectivity portfolio is therefore not limited to household smart devices. TI says the acquisition would add approximately 1,200 products, according to Electronic Design.
For TI, a broader portfolio could mean more opportunities to sell multiple components into one customer design and to reach customers through TI’s established sales and distribution channels. For developers, the relevant question is whether the combined company will preserve the software, firmware, development kits and long-term product support that are part of choosing a connectivity platform—not just a chip.
Manufacturing is a central part of the strategy
TI’s rationale is not only about adding products. The company says Silicon Labs’ portfolio could benefit from TI’s internally owned wafer fabs, process technologies, assembly and testing operations. The transaction materials describe potential transfers of some production from external foundries and outside assembly-and-test providers into TI’s manufacturing network, with 28-nanometer process technology among the options discussed. That is a strategic direction, not a published schedule for moving every Silicon Labs product. The companies have not established a product-by-product conversion plan in the materials cited here, so the deal should not be read as a promise that all chips will be made in TI facilities or in the United States. If transfers occur, they could give TI greater control over production economics and supply, but they would also require engineering work and qualification by customers.

These terms come from the companies’ joint announcement and TI’s transaction materials. The enterprise-value figure is approximate; the final amount and payment remain subject to the merger agreement and closing terms.
If the deal closes as agreed, Silicon Labs shareholders would receive cash rather than TI shares. Until then, shareholders remain exposed to the possibility that required approvals are not obtained or other closing conditions are not met.

What TI says the synergies could be worth
TI estimates approximately $450 million or more in annual manufacturing and operating synergies within three years after closing. The company points to potential savings from optimized wafer-fab processes, lower-cost assembly and testing, operating efficiencies and use of TI’s sales and distribution infrastructure. TI also says it expects the acquisition to be accretive to earnings per share in the first full year after closing, excluding transaction-related costs. These are company projections, not guaranteed results; the estimates appear in the SEC-filed presentation.
Manufacturing and operating cost savings are different from revenue opportunities such as cross-selling. The announced $450 million figure refers to annual manufacturing and operating synergies; it should not be treated as a guaranteed revenue increase or as a realized saving today. Actual results would depend on integration, product demand, manufacturing transfers, employee retention and timing.
What customers and employees will want clarified
The announcement describes strategic intent, but it does not resolve every practical question for people who depend on Silicon Labs products or work at the company. Customers and developers will have reason to follow updates on:

- Whether software, firmware, development kits, reference designs and technical support will continue on current terms.
- Whether pricing, licensing, order minimums, sales channels or lead times change.
- Which products, if any, move to TI processes or manufacturing sites, and what requalification customers may need.
- Whether TI maintains investment in product lines that overlap with its existing portfolio.
These are integration questions, not announced decisions. A broader supplier portfolio and potential access to TI’s manufacturing network could help customers, while product rationalization or reduced supplier choice could create costs or uncertainty. Employees may also face changes to reporting lines, priorities, locations or team structures; the transaction announcement does not specify those outcomes.
What could delay or weaken the transaction
The companies targeted the first half of 2027 for closing, but completion is conditional. Silicon Labs shareholders must approve the transaction, regulators must provide required clearances, and customary closing conditions must be satisfied. A regulatory review could take time or impose conditions; no finding that the deal is anticompetitive is established by the announced agreement.
There are also execution risks after closing. Moving products between manufacturing systems can take longer or cost more than expected. Integrating wireless software and developer ecosystems is more complex than combining product catalogs, and disruption to engineering teams or customer relationships could undermine the strategic benefits. TI plans to use cash and debt financing and said it intends to maintain its investment-grade standing; debt still matters to investors because it can affect leverage and future capital allocation.

The proposed acquisition reflects a broader semiconductor-industry push to combine complementary portfolios and strengthen control over manufacturing and supply. Wireless connectivity is increasingly relevant across industrial, energy, building, consumer and embedded applications. Pairing connectivity with analog and embedded processing could make TI a more complete supplier for customers designing connected systems.
Scale can improve manufacturing economics and simplify sourcing for some customers, but consolidation can also reduce the number of independent suppliers. The deal’s practical importance will depend less on the announcement’s portfolio count than on whether TI preserves Silicon Labs’ technology and developer support while delivering the manufacturing efficiencies it expects.
