Tesla later said more votes favored the proposal than opposed it, with significant abstentions. The vote was advisory and did not approve a specific deal. Tesla subsequently reported an agreement to invest approximately $2 billion in xAI, still subject to closing conditions.
What Tesla shareholders were asked to decide
Tesla’s 2025 proxy statement included Proposal Seven, which asked the board to authorize an investment in xAI in an amount and form the board considered appropriate. The company’s annual meeting was scheduled for November 6, 2025. Tesla’s 2025 definitive proxy statement
The proposal’s supporting statement argued that closer ties could benefit Tesla in artificial intelligence, robotics and energy. It described Tesla’s integration of Grok into its vehicles as evidence of collaboration’s potential and argued that investing could improve access to AI capabilities and support product innovation. That was the proponent’s case for the proposal, not evidence that those benefits had been achieved. TechCrunch reproduced the statement in its contemporaneous coverage. How the vote worked—and what it did not approve
Tesla’s board made no recommendation for or against Proposal Seven. The proxy said the board would retain responsibility for any potential investment and assess it under Tesla’s related-party transaction policy. In its subsequent filing, Tesla reported that more votes were cast in favor than against, alongside a significant number of abstentions. The cited disclosure does not give an exact tally. That formulation does not establish that a majority of all shares supported the proposal, and the vote was not shareholder approval of the later $2 billion investment agreement.
What Tesla disclosed after the vote
Tesla’s 2025 Form 10-K says the company entered an agreement on January 16, 2026, to acquire approximately $2 billion of xAI Series E preferred stock as part of xAI’s financing round. Tesla described the terms as being on market terms consistent with those received by other investors, including price and customary information and registration rights. The agreement remained subject to customary limited closing conditions, including applicable regulatory approvals; the filing therefore describes an agreement to invest, not an unconditional completed purchase. What the agreement says about possible Tesla–xAI collaboration
Tesla and xAI also entered a framework agreement to evaluate possible collaborations. Tesla said any specific projects would require separate negotiations and applicable approval processes, including review under its related-party transaction policy. The proposal raised a strategic question—whether an investment might help Tesla pursue AI, robotics and energy opportunities—alongside a governance question about a potential transaction involving companies associated with the same high-profile executive. The proposal’s supporters presented the strategic rationale; Tesla’s disclosures describe the board’s responsibility, related-party review and the eventual agreement’s stated terms. Neither the proponent’s predictions nor the existence of a framework for possible collaboration establishes future benefits or returns.

For shareholders assessing the outcome, keep three events distinct: the advisory vote on a broad proposal, the board’s responsibility to evaluate a transaction, and Tesla’s later agreement to buy preferred shares subject to closing conditions. Tesla’s filing does not establish whether all conditions were later met or whether subsequent disclosures changed the status.
