T-Mobile completed its acquisition of substantially all of UScellular’s wireless operations and selected spectrum assets on August 1, 2025. The often-cited $4.4 billion was the announced transaction value; T-Mobile later reported approximately $4.3 billion in closing consideration after adjustments. UScellular did not sell all its assets: it retained its towers and agreed to license tower access to T-Mobile.
When did T-Mobile’s UScellular acquisition close?
The transaction closed on August 1, 2025, according to T-Mobile’s closing announcement. T-Mobile’s 2026 SEC filing also identifies the acquisition as completed. The deal was announced in May 2024.
What did T-Mobile buy from UScellular?
The purchase covered substantially all of UScellular’s wireless operations and selected spectrum assets, rather than every UScellular asset. T-Mobile’s SEC filing identifies spectrum in the AWS, PCS, 600 MHz and 700 MHz bands, along with other spectrum assets. See the 2025 T-Mobile annual filing for the company’s description.
UScellular retained its tower assets
UScellular retained its towers and entered a long-term license arrangement allowing T-Mobile to use them. The FCC order describes a minimum 15-year license covering at least approximately 2,000 existing or planned UScellular towers, and a new 15-year term for about 600 towers where T-Mobile was already a tenant. A later SEC filing by UScellular’s former parent reported a minimum commitment covering 2,015 towers. These are related disclosures of the tower arrangement, not evidence that T-Mobile bought the towers. The terms are described in the FCC order and the TDS SEC filing.

What did regulators say about the deal?
The U.S. Department of Justice Antitrust Division said it closed its investigation on July 10, 2025. The DOJ said its review considered the potential consumer impact of eliminating UScellular as a market participant, possible consumer benefits, and further concentration of wireless spectrum. The statement describes the agency’s review and its closure; it does not establish a particular outcome for consumers. Read the DOJ statement.
