T-Mobile’s U.S. Cellular Deal: What Was Reported and What Happened Next

A May 2024 report of talks became a completed acquisition: T-Mobile bought substantially all of U.S. Cellular’s wireless operations, while Array retained major infrastructure assets.

The May 2024 report that T-Mobile was nearing a deal to buy part of U.S. Cellular described the start of a transaction, not its final terms. T-Mobile announced a definitive agreement later that month and completed the acquisition on August 1, 2025. It bought substantially all of U.S. Cellular’s wireless operations and selected spectrum—not the entire company or all its towers.

What was originally reported?

On May 9, 2024, GeekWire reported that T-Mobile was nearing an agreement to acquire part of U.S. Cellular. The contemporaneous report also said Verizon was discussing purchases of other portions and that the contemplated transactions could involve wireless operations and spectrum licenses. At that stage, the report said a deal could come as soon as May; U.S. Cellular had previously said it was exploring strategic alternatives for its wireless business. Read the May 2024 report.

That early account was not the final transaction structure. T-Mobile went on to agree to acquire substantially all of U.S. Cellular’s wireless operating business, while the seller kept substantial infrastructure and spectrum assets.

What did T-Mobile agree to buy?

T-Mobile announced the definitive agreement on May 28, 2024; its filings identify May 24 as the securities purchase agreement date. The agreement covered substantially all of U.S. Cellular’s wireless operations, including its customers and stores, plus selected AWS, PCS, 600 MHz, 700 MHz and other spectrum assets. It also included a master lease under which T-Mobile would remain a tenant on at least 2,600 U.S. Cellular towers. Assets acquired and retained

Transferred to T-Mobile Retained by U.S. Cellular, later Array Digital Infrastructure

The transaction therefore was not a purchase of every U.S. Cellular asset. T-Mobile acquired the wireless operating business and selected spectrum, while the seller retained a sizeable tower and infrastructure portfolio. The retained assets and the continuing business are described in the 2024 transaction filing and the 2025 closing announcement.

How much did the deal cost?

The approximately $4.4 billion announced value and approximately $4.3 billion closing consideration refer to different stages of the transaction, rather than conflicting final prices.

The closing figures were subject to customary post-closing adjustments. T-Mobile’s closing announcement and U.S. Cellular’s closing filing provide the closing details; T-Mobile’s May 2024 announcement gives the announced value.

When did the acquisition close?

  • May 9, 2024: A report described the companies as discussing a potential deal.
  • May 24, 2024: Date of the securities purchase agreement identified in T-Mobile’s filings.
  • May 28, 2024: T-Mobile publicly announced the definitive agreement.
  • August 1, 2025: T-Mobile completed the acquisition.
  • August 5, 2025: Expected closing date for the debt exchange offer referenced in closing materials.

The acquisition’s legal closing did not mean every customer, plan or network asset changed over at once. Customer migration and network integration are operational processes that can happen in phases. T-Mobile’s closing release and annual filing document the completed transaction and chronology.

What does the deal mean for customers?

T-Mobile said more than four million U.S. Cellular customers, including business customers, would gain access to its network and could have new plan, benefit and savings opportunities. It also said the U.S. Cellular brand would transition to T-Mobile in phases. Those statements describe the company’s plans and anticipated benefits; they do not establish that every customer received the same coverage, price or plan outcome.

  • Coverage: T-Mobile said the acquired operations and spectrum would improve coverage in the former U.S. Cellular footprint, including rural areas. Actual service can depend on a customer’s location, local spectrum, tower configuration, roaming and the progress of network integration.
  • Plans and support: An acquisition does not by itself guarantee that every legacy plan, price, store or support process remains unchanged. Customers should use current notices from their provider for any specific account, device, SIM or network-setting change; the transaction materials do not establish a universal migration requirement.
  • Home Internet: T-Mobile cited the possibility of making its Home Internet service available to more households. Availability depends on location and network capacity, so the acquisition alone does not establish eligibility at a particular address.
  • Local choice: The deal moved U.S. Cellular’s wireless operating business to a national carrier. That reduced the number of independent regional wireless providers in communities where U.S. Cellular operated, a consideration distinct from any promised coverage or pricing benefit.

Why did T-Mobile want the assets?

T-Mobile said the acquisition would expand coverage in U.S. Cellular’s footprint, add spectrum capacity for 5G, extend its reach to more rural customers, increase potential eligibility for T-Mobile Home Internet and create operating scale and synergies. These are the buyer’s stated reasons, not independent proof that every market saw faster service, lower bills or more competition. The agreement announcement explains T-Mobile’s rationale.

Integration also brings execution costs and risks. T-Mobile’s filings discuss risks associated with integrating acquired operations; expected benefits depend in part on how that work proceeds. T-Mobile’s annual filing provides its transaction and risk disclosures.

What regulatory review did the deal require?

The transaction involved a wireless carrier’s customers and operating assets, multiple spectrum licenses, and tower and network arrangements, so it required regulatory approvals before closing. The FCC’s transaction materials describe the spectrum and tower components. T-Mobile’s filings state that the acquisition closed after the required conditions, including regulatory approvals, were met.

The fact that approvals were obtained and the deal closed does not, by itself, establish that regulators found the transaction harmless, procompetitive or free of trade-offs. Those are separate conclusions and should not be inferred from completion alone.

What happened to U.S. Cellular and the Verizon talks?

U.S. Cellular’s wireless business moved to T-Mobile, but the seller did not simply disappear. Its retained towers, certain spectrum, investments and infrastructure business continued under the name Array Digital Infrastructure. The closing announcement filed with the SEC describes the retained assets and the company’s post-transaction identity.

The May 2024 report’s Verizon angle was about discussions at that earlier stage. The final T-Mobile agreement covered substantially all of U.S. Cellular’s wireless operations, and the cited transaction records document T-Mobile’s completed acquisition; they do not establish that Verizon completed a parallel purchase of a defined portion of that same wireless operating business.
